What we file · Compliance

The yearly filings that keep your US company alive.

Your company owes two things every year. Leave the state's unpaid for long enough and the state dissolves the company. File Form 5472 late and the IRS penalty starts at $25,000. Both plans put the dates on your calendar.

01 · The route

What do you owe each year, and when?

The state's yearly charge, and Form 5472 with the IRS. Both go on your calendar the day the company exists.

Read the full explanation

The state's charge comes first. Wyoming charges $60 on the first day of the month the company was formed, every year. Strictly it's $60 or $0.0002 for every dollar of assets the company holds in Wyoming, whichever is more, but with nothing in the state it comes to $60. A Delaware LLC doesn't file an annual report. It pays a flat $400 tax by 1 June instead. A Delaware corporation pays $450 by 1 March, which is a $50 report plus the franchise tax.

Then there's the federal filing, and it's the one that catches most founders out. A foreign-owned single-member LLC owes Form 5472 with a pro forma 1120 by 15 April, even if it didn't earn a cent. Form 7004 pushes that to 15 October. The guide sets out the Form 5472 deadline and how to file. What you don't owe is a BOI report. FinCEN ended it for companies formed in the United States on 14 August 2026, so if someone is still selling you one, it's a filing you don't need.

02 · What arrives

How does the calendar work, and what if you miss a date?

A reminder a month ahead, with the fee named. Miss a state date and the company falls out of good standing.

Read the full explanation

The calendar shows each date and whether it's yours to file or ours. A month before it's due, you get a reminder that tells you the fee. Add annual state compliance and we file the state's part for you, then mark the date done. Some dates depend on what the company actually does, like a sales tax return once you've registered in a state, so we add those when they come up instead of guessing on day one.

If you miss the state's report or tax, the company falls out of good standing. If it stays that way, the state dissolves it, and getting it back costs more than the filing would have. If you'd rather close the company, we'll do it properly for no fee of ours. We prepare the dissolution and the final federal forms, and pass the state's own charge through with nothing added. That matters, because a company you simply walk away from keeps owing the state and the IRS.

ANNUAL

The state's annual report or tax

In Wyoming the report is due on the first day of the month you formed in. A Delaware LLC files no report, but its tax is due by 1 June. Both plans remind you a month ahead, and annual state compliance files it for you.

5472

Form 5472 and pro forma 1120

A foreign-owned single-member LLC owes it by 15 April, whether or not it had income, and the penalty for missing it starts at $25,000. It's on your calendar on both plans. You or your accountant file it.

At minimum, two things. One is the state's yearly charge, $60 in Wyoming or $400 in Delaware. The other is a federal filing, Form 5472 with a pro forma 1120, which is due even in a year with no income. Every plan puts both on your calendar.
