Who we are, and what we're not
BaseAcross (“we”, “us”) is a document filing and business services company. We prepare formation documents and submit them to state agencies, act as or arrange a registered agent, apply for an Employer Identification Number on your behalf, and provide the tools on this site for keeping a company in good standing.
We provide guidance for bank, Stripe and PayPal applications. You open those accounts directly with each provider, and each provider decides whether to approve you. We do not guarantee an account or payment processing.
We aren't a law firm, an accountancy practice or a tax adviser, and we don't give legal, tax or financial advice. What we publish about company types, states, taxes and deadlines is general information about how these systems work. It isn't advice about your circumstances, and reading it doesn't create a lawyer–client or accountant–client relationship. When a decision depends on your situation, we'll say so and suggest you get advice from someone licensed to give it.
Your account
You must be at least 18 and able to enter a binding contract to use this service. You're responsible for what happens under your account, for keeping its email address up to date, and for telling us if you think someone else has used it. You sign in with a code sent to your email, or with Google where that's offered, so anyone who can get into that inbox or Google account can get into yours. Keep them secure.
What you tell us
We file what you give us. The company name, the members and their ownership, the addresses and the facts on the EIN application all come from you. Before you pay, you confirm that they're accurate and that you're entitled to provide them. If a filing is based on wrong information, the state can reject it, and correcting a record that's already been filed costs a state fee we can't waive.
You also confirm that the company won't be used for anything unlawful and that you're not on a sanctions list that would stop us from acting for you. Banks, payment providers, mail carriers and government agencies may ask you to verify your identity with them directly.
Fees, state fees and renewals
Launch costs $249 per year. Operate costs $199 per month when billed annually ($2,388 charged for the year). We show the amount due before you confirm. State formation filing fees are separate and passed through at exactly what the state charges. Once a filing has been submitted, the state does not return its fee.
Both plans include the registered agent for the first year; state annual reports or taxes and optional services may cost more. Launch includes a domain for the first year and a three-month trial of one business email account, one business number and one managed WordPress site. Continuing those services after the trial may require separate payment. Operate includes five business email accounts, one business number, one Essential managed WordPress site, bookkeeping, Legal and People tools, Books and 10 GB of document storage while its subscription is active. A Shopify store setup does not include Shopify's subscription, paid themes or apps, or custom design. We tell you before renewal, and you can cancel before its date by emailing us. If a renewal price changes, we will tell you before charging it.
Refunds are covered by our refund policy, which is part of these terms.
Timelines
The state and the IRS set the pace, not us. Our estimates are based on how long those agencies are currently taking, and we chase them for you. A state backlog or an IRS delay is outside our control, though, and isn't a failure of the service. We'll keep you informed, and we won't charge you again for a step an agency has delayed.
Registered agent
If your plan includes it, we act as, or arrange, the registered agent for your company. Its registered office is a physical address in the formation state where legal papers and official notices can be served during business hours. It is not your company's principal operating address or an ordinary business mailbox. We'll promptly forward anything we receive in the registered agent role, so you need to keep a working email address with us. If the agent service lapses because a renewal isn't paid, the state can treat your company as no longer in good standing, and we'll tell you before that happens.
Both Launch and Operate include Mailroom infrastructure to connect your own PostScan account and view its mail in BaseAcross. If you want a separate US business mailing address, you arrange and pay for it directly with PostScan. PostScan handles receipt, scans, forwarding and disposal under its own terms and charges. You must complete any identity verification and USPS Form 1583 that PostScan requires before using the address. Whether a bank, payment provider or government agency accepts that address is up to that provider or agency.
Identity documents
We don't ask for a passport to form your company. If a bank, carrier or agency needs to verify your identity, you normally give the document directly to that provider. Any passport we collected in the past is deleted automatically 30 days after your company was filed, or 30 days after it was uploaded if that is later. The privacy notice explains how we handle identity data.
The company is yours
The company we form belongs to you and its members, not to us. You can download every document we prepare or receive for it from your account. If you stop using us, you can appoint another registered agent, or act as your own where the state allows it, and we'll hand over what we hold. We may stop providing our services to you if these terms are broken, if a payment fails and isn't sorted out, or if the law requires it. Unless we can't, we'll give you reasonable notice first. The exception is a site, app, email account or number that is causing harm or puts us or other people at legal risk. Clause 10 says when we may pause one of those at once.
Sites, apps, email and numbers: what you can use them for
These rules cover every service we host or run for you: managed WordPress sites, Managed Apps (the apps we build from your GitHub repository and run for you), business email and business phone numbers. The same rules apply to all of them. What you put on them or send through them is yours, and so is the responsibility for it.
You may not use any of them for anything unlawful. In particular, you may not use one to spread malware or run phishing pages; to pretend to be a real company, brand or person you aren't; to send spam, or to send email or texts or make calls in bulk to people who didn't ask for them; to mine cryptocurrency; to scan, probe or attack other systems, or to run a proxy or VPN exit used for any of these; or to publish material that infringes someone else's copyright, trademark or other rights.
Your site or app shares a server with other customers' sites and apps. Don't do anything that harms our servers or theirs, such as deliberately using up the memory, processor, disk or network they rely on, or trying to reach another customer's site, app, mailbox or data. Each plan sets how much memory, processor and space your site or app may use, and it runs inside those limits. When it hits a limit, it slows down or restarts. That on its own doesn't break these rules.
If we find, or are told, that a service breaks these rules, we may look into it: a site's or app's code, content and logs, or the records of what an email account or number has sent, which for texts includes the message itself. If it's causing harm, or keeping it running puts us or other people at legal risk, we may pause it or take it down at once, without notice. Malware, phishing, attacks on other systems and illegal content are all in this group. We'll tell you afterwards what we did and why. In every other case, we'll tell you what we found first and give you three days to fix it before we pause anything. A pause doesn't delete anything, and a paused site or app shows a notice page. If a breach is serious, or comes back after you've fixed it, we may end the service and delete what it holds. Before we delete anything, we'll give you the chance to download your files, unless the law stops us or the files are themselves the harm.
If you think something on a site or app we host infringes your copyright, email abuse@baseacross.com with the details US copyright law asks for: your name, address, phone number, email address and signature; the work you say is infringed; the web address of the material; a statement that you believe in good faith its use isn't authorised; and a statement that your notice is accurate and, under penalty of perjury, that you own the copyright or may act for its owner. If we take your material down after a notice like this, we'll tell you, and you can send a counter-notice to the same address.
If the law requires it, we'll keep a copy of a service's content and records and hand it to the authority that asked. We'll tell you when we're allowed to.
While a service is paused under these rules, its billing carries on, and we don't refund the time it was paused. If we end a service under these rules, we stop charging for it from that day and don't refund the rest of the period you've paid for.
To report something that breaks these rules, email abuse@baseacross.com with the web address, email address or phone number involved and what you saw. We look at every report.
Our responsibility to you
We'll carry out the services with reasonable care and skill. If we make a mistake in a filing, we'll correct it at our cost. Beyond that, and as far as the law allows, we aren't liable for indirect or consequential losses, for lost profits, or for the consequences of information you gave us being wrong. Our total liability to you for any claim is limited to the fees you paid us in the twelve months before the claim arose. Nothing in these terms limits any liability that the law doesn't allow to be limited.
Changes and disputes
We may update these terms. If a change matters to you, we'll email you before it takes effect, and if you keep using the service after that, you accept it. These terms are governed by the laws of the State of Wyoming, United States, and any dispute will be heard in its courts. Before either of us goes that far, we'll try to sort it out by talking, starting with hello@baseacross.com.
