Watch
Thinking of a US LLC while living in Brazil? Here's the honest version, one file at a time: why you'd want one when Stripe already works in Brazil, how Brazil can tax the yearly profit of a foreign company you control (Law 14.754), how Receita sees the usual single-owner US LLC (Cosit 56/2026), forming it, the bank and its address trap, moving money and naming every transfer, and the reports in both countries.
Before you form
Wyoming LLC
Owner-run remote business; assess operations and Brazilian classification first.
Delaware C-Corp
Institutional funding and a share structure; corporation taxes and state obligations differ.
These are state charges, before our plan, optional services and professional fees. Wyoming's annual charge has a minimum; Delaware corporate franchise tax depends on the calculation. US staff, inventory or premises can add obligations in another state. Nonresident-alien shareholders cannot elect S-corporation status.
Prepare the information
A Brazilian CNPJ is not a US LLC formation prerequisite. CPF and CNPJ details may be needed by your Brazilian accountant or a provider for their own checks. An EIN is the US business tax ID. Use a secure document request for identity records; confirm the requested documents before sending them.
How it works
Formation gives the company legal existence. An EIN identifies it for US tax. An approved account comes from a bank or payment provider's separate review.
You and your advisers
Define the customer, platform or investment need. Review Brazilian tax residence and entity treatment before ordering.
You leave this stage with: A structure and state that fit the actual business.
You choose; BaseAcross checks
We check the proposed name and provide the registered agent in the formation state. A registered office has a different role from your operating address.
You leave this stage with: Confirmed filing details and a registered agent.
BaseAcross files; the state approves
We submit the formation filing and return the state documents when approved. The company exists after state approval.
You leave this stage with: State-approved formation documents.

We prepare the LLC Operating Agreement or corporate bylaws. Confirm ownership and management details before using them.
You leave this stage with: Operating documents for your company records.
BaseAcross prepares; the IRS issues
The EIN is a separate tax-ID application after formation. Founders without an eligible US taxpayer ID generally cannot use the online EIN tool.
You leave this stage with: IRS-issued EIN evidence when processed.
You apply; the providers review
Use consistent company, ownership, website and address details. We guide applications; each bank and processor decides eligibility and approval.
You leave this stage with: An approved account if the provider accepts the application.
You and your accountants
Keep company funds separate and record contributions, withdrawals and transactions. Assign the US and Brazil filings to the appropriate person.
You leave this stage with: A filing calendar and clear responsibility for each obligation.

These are service estimates, not guaranteed completion dates. The IRS's published processing guidance depends on the application method and is separate from our service estimate. Missing details and inconsistent names or addresses can delay the process.

Plans, trials and add-onsThe $309 Launch renewal example uses the $249 plan renewal and Wyoming's $60 minimum license tax. The state uses the greater of that minimum or 0.0002 of assets located and employed in Wyoming; online payment can add a processor fee. The Operate renewal example uses the same minimum.
Prices are in USD. When paying from Brazil, check the final BRL amount, conversion rate, payment fees and any applicable IOF with your payment provider.

1 of 4: The tax treaty
The tax treaty
The United States has no income tax treaty with Brazil.
Some US-source payments face 30% withholding, but statutory exemptions can apply. Income source, tax classification and the type of payment matter; owning a US LLC does not mean all receipts are taxed at 30%.
What Brazil expects
Brazilian tax residence, your ownership and the LLC's classification determine the obligations at home. Keeping revenue in a US account does not remove them. Plan the US filings and the Brazilian review together.
Brazil can tax the annual profits of controlled foreign entities at 15%, even before distribution. Receita's April 2026 Cosit 56 ruling classifies US LLCs owned by US nonresidents and treated as transparent for US tax as a privileged fiscal regime. Active business income alone does not settle your treatment. Ask your Brazilian contador to review ownership, classification, any elections and the accounting required before you form.
Foreign income and assets can create Brazilian tax-return obligations, subject to the filing and asset-reporting rules. CBE is a separate Central Bank declaration: annual reporting starts at US$1 million of foreign assets at 31 December; quarterly reporting starts at US$100 million at the relevant quarter-end dates. Your accountant should check valuation, exemptions and the current filing calendar.
There is no US–Brazil income tax treaty. Some US-source income is subject to 30% withholding, but domestic exemptions can apply, including qualifying bank-deposit and portfolio interest. Personal-service income is generally sourced where the work is performed; a US customer or bank account alone does not make it US-source. Royalties, products and mixed activities need their own analysis.
On the record
We form US companies. We aren't Brazilian tax advisers. These are the rules as they're generally published, they change, and how they apply to you depends on details this page can't know. Take this list to a tax adviser in Brazil before you order, and we'll tell you what the US forms need.
After formation
A foreign-owned US disregarded entity with reportable related-party transactions generally needs Form 5472 with a pro forma Form 1120. Contributions or distributions can trigger reporting even without revenue. The IRS's failure-to-file penalty starts at $25,000.
For a calendar-year entity, the usual deadline is 15 April. Request any extension using Form 7004 by the original due date. Partnerships, corporations and businesses with other activities can have different returns and deadlines.
Form 5472 and the pro forma 1120Keep the registered agent active and track the state's annual obligations. Separately assign the Brazilian tax return, controlled-entity review and any CBE declaration to your accountant.
US-created companies are exempt from BOI reporting under FinCEN's current rule, effective 14 August 2026. Foreign-law companies registered in the US are a different category. Banks still verify beneficial owners.
| Task | Who handles it | Where the responsibility ends |
|---|---|---|
| Formation and EIN application | BaseAcross prepares and submits | The state approves formation; the IRS issues the EIN. |
| Bank and payment applications | You, with our guidance | The provider verifies information and decides approval. |
| Annual state filing | You, or our optional filing service | Calendar reminders are included; managed filing and the state charge are separate. |
| US federal returns | You and your US tax preparer | Launch and Operate provide reminders; they do not file your federal return. |
| Brazilian tax, DIRPF and CBE | You and your Brazilian accountant | We provide US company records; Brazilian advice and filings are separate. |

Questions
If yours is not here, email us at hello@baseacross.com before you order.
Yes, a Brazilian resident can generally own a US LLC and arrange formation remotely without an SSN or a US visit. Owning a company does not grant a US visa or permission to work physically in the United States. Banking and regulated business activities have their own requirements.
A Brazilian CNPJ is not a prerequisite for forming a US LLC. A CPF is a Brazilian identifier, not a replacement for an EIN. Your accountant or a provider may ask for Brazilian identifiers for their own checks. State filing, IRS and bank requirements are separate.
Launch starts at $351.40: $249 for the plan plus $102.40 for our Wyoming state filing. The plan and minimum state charge total $309 in later years, before optional services, payment charges and professional fees. Federal return filing and Brazilian advice are separate. Wyoming's license tax can exceed its $60 minimum.
A Wyoming LLC may suit an owner-run remote business. A Delaware C-Corp may fit institutional investment and a share structure. Actual US operations, ownership and Brazilian tax treatment matter more than the lowest filing fee. Nonresident-alien owners cannot be shareholders in an S-corporation.
An eligible foreign responsible party without an SSN or ITIN can apply using Form SS-4. The online EIN tool has location and taxpayer-ID requirements; it is not available to every international applicant. We prepare the application after formation, and the IRS issues the number.
They are separate stages. Wyoming's published formation turnaround is same day once a complete filing is accepted. Our ordinary EIN estimate is six to eight weeks after application, or two to three weeks with the $199 expedited option. These are estimates; IRS processing and provider review can take longer. Bank and payment approval is decided by each provider.
A Brazil-based founder can apply for an eligible US company. Mercury reviews documents, ownership, addresses, activity and existing or planned US operations. A real Brazilian principal business address can be acceptable; a registered-agent address cannot replace it. Approval is not guaranteed.
No. Stripe already supports businesses registered in Brazil. A US LLC can apply for a US Stripe account when there is a business reason for that structure, with the required company, bank and identity information. Stripe makes its own approval decision.
No. Brazilian tax residence and the foreign entity's treatment still matter. Law 14.754 and Receita's Cosit 56/2026 need to be considered, including for a US-tax-transparent LLC owned by US nonresidents. Ask your Brazilian contador to review the structure, records, elections and applicable declarations before formation.
No. Some US-source income faces 30% withholding, but US statutory exemptions may apply. Income type, source and tax classification matter; the absence of a treaty does not make every receipt taxable at 30%.
A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Contributions and distributions can be reportable even without sales. A calendar-year filing is generally due 15 April, with an extension requested on Form 7004 by the original deadline. Other classifications have different filings.
On Launch and Operate, we add deadlines and reminders; you or your accountant file the federal returns. Managed annual state compliance is an optional $149 service fee per year, with the state's charge separate. Your Brazilian accountant handles Brazilian filings and advice. Bookkeeping is not the same service as filing a tax return.
US-created companies are exempt under FinCEN's current BOI rule, effective 14 August 2026. A company formed under foreign law and registered to do business in the US is a different category. Banks still collect ownership information for their own verification.
Choose a provider that supports your company, the destination account and the purpose of the transfer. Compare the final exchange rate, charges and any applicable IOF before payment. Record whether a transfer is a contribution, expense reimbursement, loan or distribution, and confirm its treatment with your accountant.
