Cost to form and keep
What a Wyoming LLC costs: to form, then every year
A Wyoming LLC costs $102.40 to file online, then $60 a year, or $0.0002 per dollar of Wyoming assets if that is more, due on the first day of the month it was formed in, starting the next year.
The ordinary articles fee is $100. Current WyoBiz instructions add a 2.4% online card-processing charge, with a $1 minimum. That gives $102.40 for the ordinary online formation. Paper articles use the $100 base plus the actual delivery and applicable service costs.
The yearly charge is the annual licence tax, paid with the annual report. It is the greater of $60 or $0.0002 per dollar of assets located and employed in Wyoming. At $300,000 of relevant assets the calculation is $60; at $500,000 it is $100. It is worked out from the company's assets in Wyoming.
At unchanged rates and the annual minimum, online formation plus four $60 annual charges gives a $342.40 five-year registry illustration. Later online payment charges, agent services, provider renewal, tax preparation and activity-based taxes are extra.
Is Wyoming right?
A useful remote-company option, with obligations that still matter
If you live outside the United States, you can generally own an ordinary Wyoming LLC without a US partner. You need a registered agent in Wyoming, and you can use its office without living or working there. Forming the company does not give you a visa, the right to work in the US or a bank account.
Wyoming can suit a business you run from abroad: the yearly state minimum is modest. If the company will have staff, stock, premises or other activity in another state that needs registering there, compare forming in that state with the cost of a Wyoming LLC plus registering it in the other state as well.
If you plan to raise institutional investment or work in a specialist regulated field, an ordinary LLC may not suit you. Decide who owns it, who manages it, how it is funded and how it is taxed before you order. Wyoming is not always the cheapest state, and we cannot promise that a bank will prefer it.
Costs and worked example
What does a Wyoming LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The $60 annual amount is a minimum; the asset calculation can make it higher. Calculate the actual assets located and employed in Wyoming.
The direct-filing calculator and BaseAcross managed-service price are separate alternatives; do not add an included agent or EIN service twice.
Current state expedited examination is distinct from provider priority handling and does not guarantee acceptance or bank approval.
Formation sequence
Check the name and manual-review exceptions before promising timing
Check the legal name in WyoBiz and use a permitted LLC designation. The current online instructions say names beginning with the letter A require paper filing for manual name review. Other specialist forms or name issues can also need individual handling. Do not assume every proposed company is eligible for instant electronic formation.
Appoint a consenting eligible Wyoming agent, identify the real mailing and principal-office addresses, and have an organiser submit accurate articles. Keep the written agent consent; online filers certify they have it and must retain it. The ordinary form identifies the organiser and agent rather than requiring a complete public ownership roster.
Retain the accepted articles, Wyoming entity ID and confirmation. Prepare an operating agreement recording members, contributions, management, signing powers and transfers, then obtain the EIN. The legal entity, private ownership agreement and IRS identifier each perform a different job.
For routine eligible electronic filings, state processing can be fast, but name exceptions, incomplete information and manual review can change the route. A formation service’s preparation time, state acceptance, EIN processing and banking are separate milestones.
Agent and public records
Few owner details are public, and the agent keeps the rest on file
The Wyoming agent needs a qualifying physical local address. The SOS excludes a PO box, drop box, mail-forwarding service or UPS store as a substitute for that registered office. An individual agent must meet residence and age requirements; an eligible authorised entity is another route.
The agent keeps key-individual information and a communications contact. The latter must be a real authorised natural person rather than the agent’s own employee. This private compliance information can support lawful state or law-enforcement requests; it should not be advertised as a no-identification company.
Ordinary articles and LLC annual reporting do not require a complete public list of members and managers. Filed organisers, signatures, agent and office information can still identify people. Bank identity checks and IRS disclosures remain separate.
Under the stated rule, the asset worksheet stays private, while figures entered on the annual-report form are public. That protection covers the worksheet only, so treat other filed figures and details as visible.

Annual report timing
The first day of the anniversary month comes before the formation day
Wyoming’s annual report is due on the first day of the anniversary month, starting the following year. An LLC formed October 17, 2026 normally first reports by October 1, 2027, not October 17 or October 31. The report can be filed up to 120 days early.
Use the actual Wyoming asset calculation and keep the principal-office, mailing and agent details accurate. The SOS says online annual-report payment has a processor convenience charge; confirm the payable amount. Its FAQ also says annual reports with a licence tax greater than $500 cannot be e-filed.
Courtesy reminders are not a substitute for an independent calendar. The FAQ describes delinquency and administrative dissolution after continued nonfiling, including a 60-day post-due-date dissolution threshold. Resolve notices promptly; the agent’s invoice does not prove the state report was filed.
2026 processing update
State expedite and BaseAcross priority handling are different
The July 1, 2026 fee schedule now lists $700 for next-business-day and $1,400 for same-business-day expedited examination for eligible state filings. Older articles instructions saying Wyoming has no expedite should not be treated as a universal current rule.
The current cover sheet gives cutoffs of 5 PM Mountain Time for next-day service and noon for same-day service. It allows requests in person or by email, not mail, and explains that examination within the period does not guarantee acceptance. Confirm the document’s eligibility and current submission rules before buying the service.
BaseAcross priority preparation is a separate service option, not that state examination fee. Neither option guarantees an EIN, bank account or approval of an ineligible name. Review the plan and actual filing route rather than paying for speed based on a blanket same-day promise.
Tax boundaries
Wyoming has no income tax, and other taxes can still apply
Wyoming does not impose personal or corporate state income tax. The annual asset-based licence tax still applies, and sales and use, employer, property, industry and local obligations can arise from actual activity. Another state can require registration or tax even though the articles were filed in Wyoming.
For remote-seller analysis, the 2024 enacted change removed the separate 200-transaction test effective July 1, 2024. The relevant Wyoming rule retains a more-than-$100,000 revenue test for the specified sales delivered into the state in the current or preceding calendar year. Physical nexus, marketplace rules, exclusions and the actual taxable product still need review.
US federal tax depends on classification, income source, effectively connected income, treaties and owner status. Your home country may classify or tax the LLC differently from the US. A state agent address and an overseas owner do not by themselves prove a zero-tax result.
EIN and foreign-owner reporting
Plan Form 5472 from the first contribution
The direct IRS EIN application fee is $0. Apply after formation. A responsible party abroad who cannot use the online tool should follow current SS-4 and the permitted international phone, fax or mail route, including the allowed entry where the person has no eligible SSN or ITIN.
A wholly foreign-owned US disregarded single-member LLC can need Form 5472 attached to a pro forma Form 1120 when reportable transactions occur. Owner contributions and distributions can count even before customer revenue. The initial failure penalty is $25,000; bookkeeping should start with funding, not only the first sale.
An LLC with more than one member reports as a partnership by default, and an LLC that elects to be taxed as a corporation files a different federal return too. Either can also mean tax withheld for foreign owners. Check the deadlines and extensions for how your LLC is taxed. A service that gets your EIN may not prepare your tax returns.
Current FinCEN guidance exempts US-created companies from BOI reporting, including a Wyoming LLC owned abroad. A company created outside the US and subsequently registered in Wyoming needs separate analysis. BOI, the agent’s private records, public filings and IRS returns are distinct duties.
Banking and payments
Approval depends on the real owners and business
Prepare accepted articles, EIN confirmation, the operating agreement, ownership and control details and actual identity and residential-address evidence. Providers may ask for contracts, a website, proof of operations and expected countries and transaction volumes.
Check whether the chosen bank or payment processor supports your residence, industry and remote opening. A registered-agent address is not automatically an accepted physical business address. State acceptance and a US EIN do not guarantee approval, Stripe access or acceptance of a particular product.
Keep company money and records separate from personal transactions. Maintain an accurate funding and distribution trail for both account reviews and foreign-owner tax reporting. Do not rely on a state’s popularity as a replacement for the provider’s current eligibility rules.
Service scope and ongoing work
Review what BaseAcross handles and what the owner retains
BaseAcross offers Wyoming LLC formation. The service card on this page uses the current catalogue to show the plan charge, state filing charge, included first-year agent service and EIN application, and the later plan renewal plus minimum state annual charge. Tax preparation and optional extras are separate.
Review the plan inclusions and annual calendar before starting. The owner still needs to provide accurate identity and business information, confirm tax and licensing requirements, approve necessary filings and maintain records. The $342.40 registry illustration covers state charges only.
If closing, follow the current SOS dissolution route, preserve the accepted closure and settle final federal, other-state and home-country returns. The current ordinary state schedule lists $60 for dissolution. Cancelling an agent or service subscription does not itself dissolve the LLC or remove final reporting.
Questions
Questions about a Wyoming LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can I form a Wyoming LLC from abroad without a US partner?
Generally yes for an ordinary LLC, subject to activity and other restrictions. You need a qualifying local agent and accurate filings. Formation does not grant US work permission or guarantee banking.
Is Wyoming formation $100 or $102.40?
The ordinary articles fee is $100. Current WyoBiz instructions add 2.4% online card processing, giving $102.40. Paper delivery and provider services are separate.
What does a Wyoming LLC cost each year after the first?
$60 to the state, or $0.0002 per dollar of Wyoming assets if that is more. Paying online adds a small card-processing charge. A registered agent, any provider renewal and tax preparation are separate costs.
Is the Wyoming annual fee the same as the annual report?
They are paid together. The annual report is the yearly filing with the Secretary of State, and the annual licence tax is the fee paid with it. Both are due on the first day of the month the LLC was formed in, every year from the year after. You can file up to 120 days early.
Does a non-resident pay Wyoming tax?
Wyoming has no personal or corporate state income tax. The annual licence tax still applies, and sales tax or another state's taxes can arise from what the company actually does. US federal tax depends on the LLC's classification and where its income comes from, and a single-member LLC owned from abroad can need Form 5472 even with no sales.
Is the Wyoming annual licence tax always $60?
No. It is the greater of $60 or $0.0002 per dollar of assets located and employed in Wyoming. At $500,000 of relevant assets the calculation is $100. Online payment charges are separate.
When does an October 17, 2026 Wyoming LLC first report?
Normally by October 1, 2027: the first day of the anniversary month in the following year. Confirm the actual record and file early.
Does Wyoming still have no state expedite service?
The July 2026 schedule lists eligible expedited examination at $700 next-business-day or $1,400 same-business-day. Check eligibility and the current cover sheet. It guarantees examination timing, not acceptance, and differs from provider priority preparation.
Does a Wyoming LLC keep my identity secret from everyone?
No. Ordinary public filings do not require a complete ownership roster, but organisers, signers and offices can identify people. Agents keep details of key people and a contact person, while banks and tax authorities apply separate disclosure rules.
Can a foreign-owned Wyoming LLC ignore Form 5472 with no sales?
Not necessarily. A US disregarded LLC can have reportable contributions or distributions without sales and need Form 5472 with a pro forma Form 1120. The initial failure penalty is $25,000.
Does BaseAcross form Wyoming LLCs?
Yes. Compare the current plan, state filing charge, included agent and EIN services, annual renewal and the separate tax and licensing work before starting. State filing and EIN assistance do not guarantee bank approval.
