Contractors, pay and contracts, kept in order.

Once a US company pays people, it needs their tax forms on file and its agreements in writing. People keeps your employees and contractors, collects each contractor's W-9 or W-8BEN, and prepares the Form 1099-NEC the IRS expects by 31 January. Legal keeps your contacts and agreements, starts NDAs and contractor agreements from standard templates, and sends them to be signed online. Both are included on every formation plan.

01People

What does People keep for you?

  • Employees, with where each one works, what you've agreed to pay, and every pay you've recorded, matched to your bank feed.
  • Contractors, found in your books and named by you, with the tax form each owes you.
  • W-9s from people in the US, filled in at a link and signed online. The number is stored encrypted.
  • W-8BENs from people abroad: they upload the signed IRS form, and it lands in your documents.
  • Form 1099-NEC, prepared after the year ends for every US contractor you paid $2,000 or more by bank in 2026, with each person's copy ready to send.

It records pay rather than running payroll. Nothing here moves money or holds tax back, and US wages still need a payroll provider.

02Legal

What does Legal keep for you?

  • Contacts: the people and companies you sign with, linked to their contractor record where there is one.
  • Templates from Common Paper's free standard agreements: a mutual NDA, a contractor agreement, a services agreement and a cloud service agreement.
  • Signatures online, with reminders to whoever hasn't signed and the signed copy filed in your documents.
  • Dates on your calendar, so a renewal or a notice period doesn't slip past.

We're not a law firm, and the templates aren't legal advice. They're widely used standards that you fill in and send.

03LLC or C-Corp

Does it work for an LLC and a C-Corp?

Yes, and it tells you what applies to yours. An LLC's owners aren't its employees: what they take out is an owner draw, and for a single foreign owner it goes on Form 5472. A C-Corp can pay its founders a salary as employees.

For anyone working in the US, payroll registers in the state where they work, not where the company was formed. A Wyoming or Delaware company with someone in Texas registers in Texas.

04Questions

Questions about people and legal.

If yours is not here, email us at hello@baseacross.com before you order.

No. People records the pay you make from your own bank and matches it to your books. It doesn't move money or withhold tax, and US wages need a payroll provider.

No. A person who isn't a US person gives you a Form W-8BEN instead of a W-9, and gets no 1099-NEC. Keep their W-8BEN on file.

By 31 January, to the contractor and to the IRS, for every US contractor paid $2,000 or more in 2026. The threshold was $600 before 2026.

Yes, on every formation plan. A company registered outside the US that we manage can add it for $20 a month, or $200 a year, which saves $40.

They're Common Paper's standard agreements, published for anyone to use. You fill them in here and send them for signature online.
