Choose the entity before the state

A Delaware LLC is not the same product as a Delaware corporation.

A founder living abroad can generally own a US LLC. Delaware offers an established LLC framework, but its formation certificate creates an LLC with membership interests, not a corporation with shares. If an investor has requested a Delaware company, confirm which entity type they mean before filing.

For a founder comparing costs, the current base is $110 to file the LLC certificate and $400 in annual LLC tax. That tax is separate from agent service, professional work and any income tax or business licence arising from operations. Delaware is not a low-cost choice merely because the certificate is short.

BaseAcross offers Delaware LLC formation as well as Wyoming formation. Use the guide to decide whether Delaware fits the actual ownership, contracts and operating plan. Formation does not grant immigration permission or guarantee a bank or payment-provider account.

A verified 2026 change

The annual LLC tax is now $400; the old $300 figure is outdated for 2026.

House Bill 400 was signed May 21, 2026. Section 23 of the enacted law changes the annual LLC tax from $300 to $400, and section 45 makes that change effective January 1, 2026. The Division's current tax page and August 2026 certificate instructions both state $400.

The searchable codified page reviewed for this guide still displayed $300. For the changed amount, follow the enacted amendment and current Division instructions rather than treating the older code display or an older commercial guide as the operative fee.

The tax for a calendar year is due by June 1 of the following year. A Delaware LLC effective in October 2026 therefore budgets $400 by June 1, 2027 under current rules. Older tax-year balances and their penalties need their own account check; do not rewrite a 2025 liability using a 2026 rate.

Costs and worked example

What does a Delaware LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

The formation subtotal excludes annual tax, agent quotes and unpriced assistance. The BaseAcross service offer below has its own clearly stated plan and state charges.

  1. Prepare the actual document

File the Certificate of Formation and retain the stamped result.

The Division publishes a basic certificate with the company name, Delaware registered office and agent, and the authorised person's signature and printed name. A document-upload service transmits your prepared filing; it is not the same as a guided form that creates every provision for you.

    Delaware LLC preparation and submission
    1. Entity and name

Confirm LLC is the intended structure and check an available name with a permitted LLC ending.

    2. Local appointment

Arrange the Delaware agent and registered office; get consent and legal-notice forwarding terms.

    3. Certificate and order

Prepare the certificate, authorised signature and cover/contact information. Decide whether copies or a paid expedite are actually needed.

    4. Submit and verify

Use the Division's document service or stated delivery route, pay the filing charge and retain the stamped filed copy.

    5. Internal records

Prepare the LLC agreement, ownership ledger and contributions; arrange EIN, tax calendar and banking documents separately.

A submitted order is not the approved filing. Use current Division processing information and the actual expedite tier, cutoff and conditions; paid priority does not guarantee EIN or bank timing.
  2. A short certificate has limits

The agent and authorised signer are public; the internal owner file still matters.

The basic Delaware certificate does not ask for a list of all members or managers. It does name the registered agent and identify the authorised signer. An owner who signs personally can appear in that role; optional extra information can also become part of the filed record.

An agent's Delaware registered office is the location for service of process, not automatically the company's trading location or the address a bank will accept. Agree on mail access, forwarding abroad and renewal, and use accurate operating and mailing addresses in later applications.

Keep the LLC agreement, ownership percentages, contributions, resolutions and tax documents in your own records. Limited disclosure on the certificate does not remove the need to identify beneficial owners to a bank, tax authority or a provider performing verification.

  3. No annual LLC report, but annual payment

Do not confuse the LLC's June tax with a corporation's annual report.

Delaware LLCs do not file an annual report with the Division, but must pay the annual LLC tax. This is not the corporation annual franchise-tax report and it is not an IRS income-tax return. Keep the Delaware entity number available for the Division's payment service.

The Division says there is no proration: an entity active on its records at any time in a calendar year is assessed the annual tax. A December formation can therefore owe the full $400 for that year, payable the following June. Delaying commercial activity or making no sales does not automatically erase it.

Payment options include supported credit cards and ACH, with ACH required above the Division's stated transaction threshold. Retain the payment confirmation and verify the correct tax year. Account identifiers and payment access should remain available even if you change formation providers.

  4. Liability continues until properly addressed

Budget late charges separately and plan cancellation before abandoning the LLC.

The Division states a $200 penalty plus 1.5% monthly interest on tax and penalty for late annual-tax payment. That is a remedial cost, not part of normal formation pricing. Use the actual account balance for an overdue payment rather than a generic calculation from a blog.

Closing a bank account, stopping sales or letting agent service lapse does not complete cancellation. Review winding up, creditor and owner distributions, final federal filings and the Division's certificate-of-cancellation and tax-clearance requirements before treating the company as closed.

The code describes cancellation after prolonged annual-tax nonpayment. That is not a substitute for an orderly closure or a promise that debts disappear. Ask for the current cancellation fee and all outstanding annual taxes when planning the final budget.

  5. Separate federal application

The Delaware filing number does not replace an EIN or an individual tax number.

The IRS issues the EIN free of charge. Prepare the LLC's legal name, responsible party and classification, then use the appropriate SS-4 route. Where the responsible party has no SSN or ITIN and is ineligible to obtain either, follow the line 7b instructions for foreign or N/A.

Do not assume an agent's US address makes the overseas founder eligible for the online EIN tool. Check the current international channels and use one method for the entity. Save the IRS confirmation separately from the Division's stamped certificate and entity number.

For bank onboarding, obtain the provider's current country, activity, ownership and operating-address requirements before making promises to customers. An EIN is one document in that review; it does not itself approve an account.

  6. Formation state versus operating footprint

The $400 entity tax does not settle operating taxes or another state's registration.

Delaware Revenue generally follows federal classification for LLC tax treatment. Business conducted in Delaware can create income-tax, business-licence and gross-receipts obligations. The flat Division tax is separate; neither it nor the absence of Delaware sales tax establishes that the business owes no other tax.

If the business operates in another US state, assess foreign qualification, tax nexus, payroll and local permissions there. A Delaware certificate does not override where staff work, property sits or activity occurs. For a company already formed outside Delaware, review registration instead of duplicating the entity.

For owners abroad, also review the home country's treatment of the LLC and its distributions. Federal pass-through or disregarded treatment does not ensure the same result overseas, and a corporate election changes the analysis.

  7. Start records with the first transfer

Foreign-owner reporting can start with contributions, not customer revenue.

A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Initial funding and distributions can be reportable. A missing, late or substantially incomplete required filing can trigger a $25,000 penalty, even where the owner expects no income-tax bill.

Multiple owners or a corporate election require a different return review. Allocate bookkeeping and filing responsibility at formation, retain the owner transaction ledger and agree who handles notices and extensions.

FinCEN's current rule exempts US-created entities from CTA BOI reporting, including Delaware LLCs owned abroad. It does not remove the IRS obligation, bank identity checks or reporting that may apply to an existing non-US entity registered to operate here.

  8. Match the structure to the reason

Choose Delaware for the LLC you need, with the recurring commitment understood.

A contract, ownership arrangement or adviser may give you a concrete reason for a Delaware LLC. If an investor expects corporate shares and financing documents, resolve that structure before buying LLC formation. Conversion later can involve legal, tax and filing work.

The five-year base example is $110 plus four $400 annual-tax payments, or $1,710, for a company formed by 1 June. One formed after 1 June pays its first tax inside its first year, so five payments fall inside five years: $2,110. Both are before agent service and other work, and operating into further tax years creates further liability.

If Delaware fits, BaseAcross can assist with Delaware formation. Review what the plan includes, the separate state filing charge, renewal and annual-tax deadline. If Wyoming fits better, compare it on those actual costs and requirements rather than relying on a claim that any state guarantees bank approval.

Delaware: $110 formation + four $400 payments = $1,710 for a company formed by 1 June. Formed after 1 June, the first tax falls inside the first year and five payments land in five years: $2,110. Future tax-year liabilities continue while applicable. Agents, operating taxes and professional help are extra.

Questions

Questions about a Delaware LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can someone outside the US own a Delaware LLC?

Generally, yes. Arrange a Delaware registered agent, authorised filing and proper ownership records. Formation does not itself grant immigration permission, tax exemption or bank approval.

Is Delaware LLC annual tax $300 or $400 in 2026?

The enacted HB400 amendment raises the annual LLC tax to $400 effective January 1, 2026. The Division's current tax page and August 2026 certificate instructions confirm $400; older $300 wording should not be used for the 2026 annual tax.

When does an LLC formed in 2026 first pay the annual tax?

The Division's instructions say June 1 following the close of the year the certificate becomes effective. A 2026 formation therefore budgets $400 by June 1, 2027 under current rules, with no proration merely for forming late in the year.

Does a Delaware LLC file an annual report?

No annual report is required with the Division for an LLC, but the annual LLC tax must be paid. Corporation reporting and federal income/information returns are separate obligations.

How much is the basic filing and first annual tax together?

The $110 certificate fee plus the separate $400 annual tax totals $510 before agent service and other costs. The formation calculator excludes that future tax payment from its subtotal.

Does the certificate identify every owner?

The basic form requests the company name, registered office/agent and authorised signer rather than a complete member list. An owner signing personally can appear in that role. Banks and tax authorities can still require actual ownership information.

Does choosing Delaware remove taxes where I operate?

No. Review Delaware operating activity, other-state qualification and tax nexus, federal treatment and the owner's home-country rules separately.

Does BaseAcross form Delaware LLCs?
