- To form
- The state's fee to file the formation document online. For Wyoming and Delaware, it's the fee our checkout passes on.
- After that
- The state's recurring charge: an annual report, a tax or a licence, as the state sets it.
- Five years
- Everything the state charges over the first five years: the filing, every recurring charge and any one-off state fee.
What does the five-year figure count?
Only what the state charges. Every provider has to pay it, so it's the part you can compare.
Counted: the filing fee, every recurring charge and one-off state fees. That includes a yearly minimum tax, owed whether or not the company earns anything, in Kentucky, Rhode Island and Tennessee.
Not counted: a registered agent. Every state requires one with an address in the state. A founder abroad pays a provider for it, so it's in the provider's price, not the state's.
Not counted: taxes that depend on income. Some states charge more once a company earns more. The table shows the least each state charges.
Not counted: a newspaper notice. Arizona, Nebraska and New York can make a new LLC announce itself in a newspaper. The newspaper sets the price, so the table can't.
Not counted: anything federal. An LLC with one foreign owner files Form 5472 every year. There's no fee, but missing it costs $25,000.
Where does each figure come from?
From each state's filing office, checked in September 2026. Wyoming's and Delaware's are the fees our checkout charges.

Questions about state LLC fees.

Arizona, Mississippi, Missouri and New Mexico, at $50 over five years: the filing fee, and nothing after it. A founder abroad should check two more things. Does the public record name the owners? And does the state ask for a newspaper notice? The table shows both.
California, at $4,130 over five years. It charges $800 a year, starting in the first year, whether or not the LLC earns anything.
No. A state charges the same fees whoever owns the LLC. A founder abroad does pay for a registered agent, since they have no address in the state. And if the LLC has one owner, it files Form 5472 with the IRS every year.
Wyoming charges $102.40 to form an LLC online, then $60 a year for the annual report. That's $342.40 over five years. A registered agent comes on top.
Yes. It's free to use under CC BY 4.0: copy it, quote it or chart it, and link to this page. The CSV file has every row, the state's filing office and the day the figures were checked.
