What the video says
0:00Can a Ghanaian resident own a US LLC?
It's evening in Kumasi, and Ama is answering another customer abroad who wants to pay by card, in dollars. She sells design templates online, and she's wondering whether a US company is the answer. We're BaseAcross. We set up US companies for founders outside America, so we'll be straight with you. On the American side, she can have one, with no social security number and no trip to the US. The surprise is at home.
If she runs it from Ghana, Ghana can treat that US company as Ghanaian.
0:31Do you need a US company to get paid from Ghana?
First, does she need one at all? Not every founder here does. If you freelance for clients abroad, you may not. Your income is taxed in Ghana either way, as a resident's worldwide income. A US company adds US filings, and one run from Ghana can be treated as Ghanaian, so it needs a reason. For local payments, the big card processor already works in Ghana, through a company it owns.
Ama's reason is card payments in dollars from customers abroad, and that's where a US company may fit.
1:01Can Ghana treat my US company as Ghanaian?
The rule to check first is about the company, not you. A company is resident in Ghana if its management and control is exercised in Ghana at any time in the year. Note those words, at any time. So Ghana can treat a US company that one founder runs from Ghana as Ghanaian, and a company managed from here can have Ghanaian filings of its own. The guide's advice is to have a tax adviser look at this early, before you order.
And keep a record of where the company's decisions are made, because that's what Ghana asks.
1:34Wyoming LLC or Delaware C-Corp, and an EIN without an SSN
The American part is the quick one. A Wyoming LLC usually suits an owner-run business selling to customers abroad. A Delaware C-Corp suits raising from investors who want shares, and where it's managed still decides how Ghana sees it. It needs a registered agent, an address in that state for legal papers, not where you work. Then the EIN, the company's US tax number. Without a social security number or an ITIN, the application goes on a separate IRS form instead of the online tool. Your Ghanaian TIN isn't part of it.
You'll pay in US dollars, so check the cedi amount and what your bank or card adds.
2:13Can I open a Mercury account from Ghana?
Where can the dollars land? Founders living in Ghana can apply to a US fintech bank, because Ghana isn't on its list of countries it doesn't serve. That list goes by where you live, and the bank decides each application. A multi-currency account won't give you US dollar account details here. Another US bank doesn't bar Ghana, but it asks every owner for a physical US address. Each provider decides for itself.
With the company, the EIN and a US account, Ama can apply to the card processor. It reviews the business and the person behind it, and it can say no.
2:49Is income from the US company taxed in Ghana?
Now, how Ghana taxes Ama herself. A Ghanaian citizen is resident unless they have a permanent home abroad and live in it for the whole year. Anyone else becomes resident after a set number of days in Ghana in any twelve months. Residents are taxed on worldwide income, including business income and dividends, so what the company pays Ama counts at home. To bring money home, use a bank or provider that supports your company and pays out in Ghana.
And write down whether each payment is pay for work or profit, because they're taxed differently.
3:24Is there a US–Ghana tax treaty?
Then the two countries side by side. There's no US income tax treaty with Ghana, so US dividends, interest and royalties paid to you are withheld unless a US exemption applies. Work you do in Ghana generally isn't US income, so a single-owner LLC with no US office or staff often owes no US income tax on it. Where you do pay US tax, Ghana's own law credits it, up to your average Ghanaian rate, with no treaty needed. The LLC still files a report with the IRS when it has reportable transactions with you.
Money you put in or take out can count, even in a year without sales, and missing the report is expensive.
4:02What to do first, in order
Put together, the order runs like this. See your tax adviser first, about where the company will be managed and controlled, and how you'll be paid for your own work. Then form the company, get the EIN and apply for the account, with the same names and addresses everywhere. Put the IRS report and your GRA return on one calendar, with someone responsible for each. And Ama? She starts where the guide does, with where her company will be run.
