Start a US company from Mexico

For Mexican founders who want to sell to US customers as a US vendor, hold a US-facing brand or raise from US investors. You already have Stripe, and founders here can apply to Mercury, which decides each application. Mexico can tax a single-owner LLC's income as yours each year, so read that section first.

You can form a US LLC while living in Mexico, without an SSN or a US visit, and founders here can apply to Mercury, which decides each application. Launch starts at $351.40 in Wyoming, including our plan and state filing fee. Stripe already serves Mexico, so the reason is usually US customers or investors. The catch is SAT: income through a see-through US LLC can be taxed as yours each year, and low-taxed foreign income is taxed when earned.

Before you form

Start with whether you need a US company, and how SAT will see it.

  • You may not need a US company

    Card payments from customers worldwide

Stripe already supports Mexican businesses. A US LLC's income can be taxed as yours in Mexico anyway, so a US company needs a reason.

  • A Wyoming LLC may fit

Selling to US customers as a US vendor

Some US buyers and platforms want a US contracting party. Founders here can apply to Mercury, which decides each application. Expect SAT to see the LLC's income as yours.

  • A Delaware C-Corp

    Raising from US investors

US investors usually want a Delaware C-Corp. Where it's managed decides Mexican residence, and dividends to you carry the extra 10%.

Selling on Amazon US or holding US stock

An LLC can meet marketplace and supplier requirements. Inventory, staff or premises in a state can add registration and sales-tax obligations there.

Both charges are the state's, before our plan, optional services and your advisers' fees. Wyoming sets a minimum yearly charge, and Delaware's franchise tax depends on how it's calculated. Staff, stock or premises in another state can bring obligations there. An S-corporation isn't an option, because nonresident aliens can't hold its shares.

Prepare the information

Different documents are needed at different stages.

You provide

Before state filing

  • Your proposed company name, business activity and chosen structure.
  • Owners' names exactly as on their passports, ownership shares, managers and home addresses.
  • Where decisions will be made, because Mexico's residence test asks.
  • The approved company name and formation details.
  • The responsible party. Without an SSN or ITIN, the application goes on Form SS-4.
  • Accurate mailing and principal business addresses, and your signed authorization where required.
You confirm; we prepare

After formation, for the EIN

  • A passport for each owner the provider asks about.
  • Formation documents, the EIN confirmation and the operating agreement.
  • A real business address, your website, a description of the business and the source of funds, as each provider asks.
The provider verifies

For bank and payment applications

  • The company's income and expenses for the year, in a form your accountant can map to Mexican rules.
  • Proof of any US tax paid, for the credit.
  • Any information return your accountant says the structure needs.
You and your accountant

For SAT

You don't need a Mexican company to form a US LLC. The EIN is the US company's tax ID. Send identity documents through a secure request, and only the ones asked for.

How it works

Seven steps from Mexico to a maintained US company.

The state approves the company, the IRS issues the EIN and each provider approves its own account. In Mexico, your accountant handles SAT; we don't file there.

You and your accountant

Check the Mexican side first

Decide whether you need a US company at all, whether an LLC or a C-Corp suits SAT's rules for you, and where it will be managed.

You leave this stage with: A structure and tax plan that fits Mexico's rules.

Treaty status, payment availability, bank eligibility and time zones. Sources checked 14 October 2026; account approval remains with the provider.

1 of 4: The tax treaty

The tax treaty

The tax treaty: In force

The US–Mexico income tax treaty is in force.

It caps US withholding on most interest at 15%, on dividends at 10%, or 5% for a qualifying company shareholder, and on royalties at 10%. Pay for work you do in Mexico generally isn't US-source income, so the treaty matters less for a services business.

How SAT sees it

Expect SAT to look through the LLC to you.

These come from PwC's summaries of Mexico's Income Tax Law and Federal Tax Code, and they run alongside the US steps below. Which applies depends on the structure you choose.

  1. Each year, for a single-owner LLC

    You and your accountant

Income through a foreign transparent entity is taxed as your own, under your own regime, as it's earned.

  2. Each year, for a company taxed lightly abroad

    You and your accountant

If its income is untaxed or taxed at less than 75% of the Mexican tax, it's a preferential regime, taxed in Mexico when earned.

  3. When a C-Corp pays you a dividend

    You

Fully taxable in your annual return, at up to 35%, plus 10% of the net dividend by the 17th of the next month.

  4. When you decide where it's run

    You and your accountant

A principal centre of administration or effective place of management in Mexico makes the company resident.

  5. When you file your return

    You

Credit any foreign tax up to the Mexican tax on the same income; none for income Mexico exempts.

Worked example

A single-owner LLC, worked through

This is an illustration, not advice. Your accountant confirms SAT's treatment of your LLC.

  1. Your Wyoming LLC earns USD 60,000 of profit from clients worldwide, and you do the work in Mexico.

  2. With no US office or staff, it usually owes no US income tax on that profit.

  3. For SAT, the LLC is see-through, so the USD 60,000 is likely your own income for the year.

  4. With no US tax paid, there's nothing to credit. Your accountant applies your regime's rates.

What Mexico expects

Owning a US company doesn't take you out of Mexico's tax system.

Mexico taxes residents on worldwide income, taxes income through a see-through foreign entity as the owner's own, and taxes low-taxed foreign income when earned. Plan the structure with an accountant who knows both.

A see-through LLC

Income a Mexican resident earns through a foreign transparent entity is taxed as the resident's own income, under their own regime. A single-owner US LLC is transparent for US tax, so ask whether SAT taxes its income as yours each year.

Income taxed lightly abroad

Income is under a preferential tax regime when it's untaxed abroad or taxed at less than 75% of what Mexico would charge. It's then taxed in Mexico when earned, even if nothing is paid out.

Dividends from abroad

Dividends from a foreign company are fully taxable in your annual return, at rates up to 35% in 2026. A further 10% on the net dividend is due by the 17th of the next month, and it can't be credited.

Where it is run

A company is resident in Mexico if its principal centre of administration or effective place of management is there, wherever it was formed.

Residence and credit

You're resident if your home is in Mexico. With a home elsewhere too, it's where your centre of vital interests is: more than half your income from Mexico, or Mexico as your main place of work. Foreign tax is credited only up to the Mexican tax on that income.

On the record

We form US companies. We aren't Mexican tax advisers. These are the rules as they're generally published, they change, and how they apply to you depends on details this page can't know. Take this list to a tax adviser in Mexico before you order, and we'll tell you what the US forms need.

After formation

Someone has to own each filing, in each country.

US information reporting

A US LLC with one foreign owner is usually a disregarded entity that files Form 5472 with a pro forma Form 1120 when it has reportable transactions with you. Money you put in, take out or are paid for your work can count even in a year without sales. The IRS penalty for not filing starts at $25,000.

For a calendar-year company, the return is usually due 15 April, and Form 7004 requests an extension before then. A C-Corp, or an LLC with more than one owner, files different returns.

Form 5472 and the pro forma 1120

State, SAT and ownership checks

Keep the registered agent active and track the state's yearly charge. In Mexico, file your annual return with the company's income in it, and any information return your accountant says the structure needs.

US-created companies are exempt from BOI reporting under FinCEN's current rule, effective 14 August 2026. Banks and payment providers still verify who owns the company.

Questions

Questions from Mexico.

If yours is not here, email us at hello@baseacross.com before you order.

Can a Mexican resident own a US LLC?

Yes. US law doesn't require an LLC's owners to be US citizens or residents, and formation, the EIN and the bank applications all happen remotely. Owning a US company doesn't give you a US visa, and it doesn't take your income out of Mexico's reach.

Does SAT tax my US LLC's income before I take it out?

It can. Income a Mexican resident earns through a foreign transparent entity is taxed as the resident's own income. A single-owner US LLC is transparent for US tax, so expect its income to count as yours each year. Your accountant confirms how SAT treats it.

What is REFIPRE, and does it apply to me?

It's Mexico's preferential tax regime rule. Income is caught when it's untaxed abroad or taxed at less than 75% of what Mexico would charge. Caught income is taxed when earned, even if nothing is paid out to you.

How are dividends from a US C-Corp taxed in Mexico?

They're fully taxable in your annual return, at rates up to 35% in 2026. A further 10% on the net dividend is due by the 17th of the following month, and it can't be credited.

How much does a US company from Mexico cost?

Launch starts at $351.40: $249 for the plan plus $102.40 for the Wyoming filing. The plan and Wyoming's minimum yearly charge then total $309 a year. Your accountant's fees, US return preparation and your SAT filings are separate. Wyoming's license tax can be more than its $60 minimum.

Should I form a Wyoming LLC or a Delaware C-Corp from Mexico?

A Wyoming LLC usually suits an owner-run business selling to US customers, and SAT may tax its income as yours. A Delaware C-Corp suits raising from US investors. Nonresident aliens can't hold shares in an S-corporation.

Can I get an EIN without an SSN or ITIN?

Yes. Without an SSN or ITIN, the application goes on Form SS-4 instead of the IRS's online tool. We prepare it after the company is formed, and the IRS issues the number.

How long does it take from Mexico?

Each stage has its own clock. Wyoming's published turnaround is same day once a complete filing is accepted. Our ordinary EIN estimate is six to eight weeks after the application, or two to three weeks with the $199 expedited option. Banks, payment providers and Stripe each set their own review times. These are estimates, not promises.

Can I open a Mercury account from Mexico?

Usually you can apply. Mexico isn't on Mercury's list of countries it doesn't serve, and the list goes by where you live. Mercury still reviews each company and can decline.

Can I use Wise Business for the US company?

Not for USD account details. Wise gives no USD details to founders living in Mexico, which isn't on its list of places where people can hold money. Relay doesn't bar Mexico, but it asks every owner for a physical US address.

Do I need a US company for Stripe in Mexico?

No. Stripe supports businesses in Mexico. A US company is for selling as a US vendor, US contracts, US investors or platforms that need one.

Do I pay US tax on work I do from Mexico?

Generally not. Pay for work you do in Mexico is generally not US-source income, so a single-owner LLC with no US office or staff often owes no US income tax on it. It still files Form 5472 with a pro forma Form 1120 when it has reportable transactions with you.

Is there a US–Mexico tax treaty?

Yes, it's in force. It caps US withholding on most interest at 15%, on dividends at 10%, or 5% for a qualifying company shareholder, and on royalties at 10%. Mexico credits foreign tax only up to the Mexican tax on that income.

Can Mexico treat my US company as Mexican?

It can. A company is resident in Mexico if its principal centre of administration or effective place of management is there. A US company you run day to day from Mexico City should have an accountant look at this.

Does BaseAcross file the US and Mexican returns for me?

On Launch and Operate, we add deadlines and reminders; you or your accountant file the federal returns. Managed annual state compliance is an optional $149 service fee a year, with the state's charge separate. Your SAT returns and any information returns are for you and your accountant.

Does my new US LLC need a BOI report?

US-created companies are exempt under FinCEN's current BOI rule, effective 14 August 2026. A company formed outside the US and registered to do business there is a different case. Banks still collect ownership details for their own checks.
