What the video says

0:00Can a UAE resident own a US LLC?

It's early evening in Dubai, and Omar has just finished a call with a buyer in America. They like his software, but they want to sign with a US company. Can he have one while he lives here? On the American side, yes. No social security number, and no trip to the US. We're BaseAcross. We set up US companies for founders outside America, so we'll be straight with you.

There's no personal income tax in the UAE. But there is one catch, and it's about where the company is run.

0:29Do you need a US company for Stripe in the UAE?

First, does Omar need a US company at all? If all you want is card payments from customers around the world, maybe not. The big card processor already supports businesses in the UAE. A US company adds US filings, and, as we'll see, it can bring UAE corporate tax with it, so it needs a reason. Good reasons are a US buyer who wants a US vendor, US investors, or a US brand to hold. Omar's buyer is his reason.

And if he wants to sell as a US business, the company can apply for a US account with that same processor. It reviews him, and it can decline.

1:04Can UAE corporate tax apply to your US company?

Now the catch. The UAE has a corporate tax, and it asks where a company is really run. A foreign company that's effectively managed and controlled in the UAE counts as a UAE resident for corporate tax. Then it's taxed on its income from anywhere, not just from here. A US company that one founder runs from Dubai can be caught. If it is, it registers with the Federal Tax Authority and files one return a year.

So decide where the company will be run before you order it, and take that question to a tax adviser in the UAE.

1:37Wyoming LLC or Delaware C-Corp, and an EIN without an SSN

The US part is quick. A Wyoming LLC usually suits a business you run yourself, selling to US customers. A Delaware C-Corp suits raising from US investors. Either way, where it's managed decides the UAE side. It needs a registered agent, an address in that state for legal papers, not where you work. Then the EIN, the company's US tax number. Without a social security number or an ITIN, the application goes on a separate IRS form instead of the online tool.

You'll pay in US dollars, so check your card's exchange rate and fees.

2:11Which US bank accounts work from the UAE?

Banking is the lighter part here. Founders living in the UAE can apply to a US fintech bank for their company. Its list goes by where you live, and it decides each application. The usual multi-currency account says it can't give US account details to founders living here. Another provider asks every owner for a physical US address.

Each provider decides for itself. Use the same names, addresses and business description everywhere.

2:40Do you pay tax in the UAE on what the company pays you?

So what does the UAE tax? Not Omar's wages or his personal investments. There's no personal income tax and no personal return. If you trade in your own name here, corporate tax starts once that business turnover passes a set level. The company is the question. Here's the guide's own worked year, if it's resident. Say it's run from Dubai and has five hundred thousand dirhams of taxable income. The first three hundred and seventy-five thousand is taxed at zero. The other hundred and twenty-five thousand is taxed at nine percent, which is eleven thousand two hundred and fifty dirhams.

That's an illustration, not a quote. Other rules can change the figure.

3:22Is there a US–UAE tax treaty, and what does the IRS need?

On the American side, there's no tax treaty between the US and the UAE. US dividends, interest and royalties paid to you are withheld at thirty percent, unless a US exemption applies. Work you do in the UAE generally isn't US income, so a one-owner LLC with no US office or staff often owes no US income tax on it. A one-owner LLC still files a report with the IRS when it has reportable transactions with you, like money you put in or take out, and missing it is expensive.

It's usually due in the spring, and there's a form to ask for more time.

3:56What to do first, in order

Here's the order. See a tax adviser in the UAE first, about whether you need a US company and where it'll be managed and controlled. Then form it, get the EIN, and apply to the bank. Keep a record of every payment between you and the company, and of where decisions were made. Put the IRS report and any UAE filing on one calendar. And Omar? He decided where his company is run before he ordered a thing.

The founder in the video is an example, not a customer. The rules in it were checked when it was made; the guide carries the current sources.
