What the video says

0:00Can an Uzbek resident own a US LLC?

It's late afternoon in Tashkent, and Dilnoza's software agency has a new client in America that wants to sign with a US company. On the American side, she can have one. No social security number, and no trip to the US. We're BaseAcross. We set up US companies for founders outside America, so we'll be straight with you. From Uzbekistan, forming the company is the easier part. But a US company only helps once a bank will open for it, and from here, that's the hard part.

So the bank comes first.

0:29Do you need a US company for Stripe in Uzbekistan?

First, does she need one at all? It depends on why. Some US buyers and platforms want a US contracting party. That's Dilnoza's reason. Card payments are another. The big card processor doesn't take Uzbek businesses. A US company with an EIN and a US bank account can apply for a US account there. It reviews each application, and it can decline. US investors usually want a Delaware C-Corp. An Uzbek company can own a US subsidiary, but the controlled foreign company rules then apply to it.

Whatever the reason, start with where the company will be managed, and who will bank it.

1:07Can Uzbekistan tax your US company as Uzbek?

Here's the Uzbek rule the guide leads with. A foreign company with its effective place of management in Uzbekistan is resident here, and resident companies are generally taxed in Uzbekistan. So if Dilnoza runs her US company from Tashkent, Uzbekistan can tax it as Uzbek. She's resident herself after a set number of days here in any twelve months, or with fewer, if she spends more time here than in any other country.

And residents are taxed on income from anywhere.

1:34Wyoming LLC or Delaware C-Corp, and an EIN without an SSN

The American part is simpler. A Wyoming LLC suits an owner-run business selling to US customers, once you know where it will be managed and who will bank it. A Delaware C-Corp suits raising from US investors. The company needs a registered agent, an address in that state for legal papers, not where you work. Then the EIN, the company's US tax number. Without a social security number or an ITIN, the application goes on a separate IRS form instead of the online tool. You don't need an Uzbek company to form a US company.

Prices are in US dollars, so check your card's exchange rate and fees.

2:12Can you open a Mercury account from Uzbekistan?

Now the bank. A US fintech bank doesn't open accounts for founders who live in Uzbekistan. It goes by where you live, not your passport. A multi-currency account gives no US dollar account details to founders living here, because Uzbekistan isn't on its list of places where people can hold money. Another US bank doesn't bar Uzbekistan, but it asks every owner for a physical US address. So ask each provider before you order.

Each one decides for itself.

2:40How are the company and its dividends taxed in Uzbekistan?

Here's the guide's own example. Say Dilnoza's Wyoming LLC makes six hundred million som of profit, and she manages it from Tashkent. Managed here, it's resident, and tax comes to ninety million som. Paying the remaining five hundred and ten million to her as a dividend costs twenty-five and a half million som more. That's an illustration, not a quote. Dividends are taxed at a lower rate than most of a resident's income. And profit she leaves in the company can still matter. Uzbekistan's controlled foreign company rules apply to residents, individuals included, who own or control a foreign company. They're aimed at its undistributed profit.

How Uzbekistan classes her LLC, and how those rules apply to her, are for her tax adviser.

3:24Do you pay US tax, and is there a US–Uzbekistan treaty?

On the American side, the nineteen seventy-three treaty with the Soviet Union is in force, and the IRS still applies it to Uzbekistan. It exempts royalties from US withholding, and interest only on credit that finances trade, but it leaves dividends at the full rate. Pay for work you do in Uzbekistan generally isn't US income, so a US company with no US office or staff often owes no US income tax on it. A single-owner LLC still files a report with the IRS when it has reportable transactions with you, and missing it is expensive.

For a calendar-year company, it's usually due in mid-April.

3:59What to do first, in order

Here's the order to do it in. Start with your tax adviser: whether you need a US company at all, where it will be managed, how the controlled foreign company rules treat it, and who will bank it. Then choose the name and registered agent, file the company, check the operating documents against your passport, and apply for the EIN. Then apply for the accounts. Keep the books, and minutes that show where decisions are made. Put the IRS report, any controlled foreign company reporting and your Uzbek return on one calendar. The full guide, with every source and a checklist for your adviser, is linked below. And Dilnoza?

Before she signs that contract, she's asking which bank will open, and where the company will be run.
