What the video says
0:00Can a Zambian resident own a US LLC?
It's evening in Lusaka, and Chanda has just finished the app he wants to sell. He'd like customers anywhere to pay by card. So can he have a US company from Zambia? On the American side, yes. No social security number, and no trip to the US. It all happens online and in writing, so he never needs to be awake in American hours. We're BaseAcross. We set up US companies for founders outside America, so we'll be straight with you.
The surprise is at home. A US company run from Zambia can be resident in Zambia for tax.
0:32Do I need a US company for Stripe in Zambia?
So start where the guide starts. Do you need one at all, and where will it be managed? Chanda's reason is a common one. The big card processor doesn't take Zambian businesses. A US company with an EIN and a US bank account can apply to it, and it reviews you, and it can decline. Other reasons are selling to US buyers who want a US vendor, or raising from US investors, who usually want a Delaware C-Corp.
And it's fair to ask your adviser whether a Zambian company would serve you better.
1:03Can my US company be resident in Zambia?
Zambia's central rule here isn't about moving money. It's about where the company is managed. A company is resident in Zambia if it's incorporated here, or if its effective management is here during a charge year. So a Wyoming LLC that Chanda runs from Lusaka can be a Zambian resident company, and pay Zambian corporate tax.
That's why the guide asks you to decide where the company will be managed before you order, and to keep a record of where its decisions are made. Whether it applies to you is a question for a Zambian tax adviser.
1:38Wyoming LLC or Delaware C-Corp, and an EIN without an SSN
The US part is the quick one. A Wyoming LLC suits an owner-run business that needs the card processor. A Delaware C-Corp suits raising from US investors, though it pays US corporate tax. Either one needs a registered agent, an address in that state for legal papers, not where you work. Then the EIN, the company's US tax number. Without a social security number or an ITIN, the application goes on a separate IRS form instead of the online tool.
You'll pay in US dollars, so check your card's exchange rate and fees.
2:11Can I open a Mercury account from Zambia?
Next, where the dollars can land. Zambia isn't on a US fintech bank's list of countries it doesn't serve, so founders living here can apply. It decides each application, and it can decline. A multi-currency account won't give you US dollar account details here, because Zambia isn't on its list of places where people can hold money. Another US bank doesn't bar Zambia, but it asks every owner for a physical US address.
Each provider decides for itself. Use the same names, addresses and business description everywhere.
2:45Are dividends from the US company taxed in Zambia?
Zambia mostly taxes income from Zambian sources. Residents are also taxed on interest and dividends from abroad, and a dividend from a US company counts. Here's the guide's illustration. Say Chanda's LLC makes nine hundred thousand kwacha of profit, managed from Lusaka. If it's resident here, corporate tax is two hundred and seventy thousand kwacha. A dividend from what's left is a dividend from abroad. If it keeps the profit, Zambia has no CFC regime to tax it to him. That's an illustration, not a quote.
How Zambia classes the LLC, and the rate on the dividend, are for your tax adviser.
3:22Is there a US–Zambia tax treaty?
Then the treaty, and there isn't one. The US isn't among Zambia's treaty partners. So US dividends, interest and royalties paid to you are withheld in America unless a US exemption applies, and Zambia may give credit for it under its own law. Pay for work you do in Zambia generally isn't US-source income, so a US company with no US office or staff often owes no US income tax on it.
A single-owner LLC still files a report with the IRS when it has reportable transactions with you, and missing it is expensive.
3:55What to do first, in order
Put together, the order runs like this. See a Zambian tax adviser first, about where the company will be managed and how its dividends are taxed. Then form the company, get the EIN, and apply for the bank account. Keep a record of where its decisions are made, and put the IRS report and your Zambian return on one calendar. The app is ready. His first call is to his tax adviser.
