Term 68 of 105 in the glossary, filed under N.Delaware LLC Act, subchapter I: names and reservations

01 · Explained

Name reservation, for a founder abroad.

A founder who isn't ready to form can reserve the name so nobody else takes it in the meantime. Wyoming and Delaware both hold a reserved name for 120 days. The name still has to meet the state's rules, including the LLC suffix and the words it restricts.

Most founders simply file the formation instead, because that secures the name for as long as the company exists and costs little more. How to name your LLC covers the rules.

02 · Questions

What founders ask next.

Do I need to reserve a name before forming my LLC?
No. Filing the articles claims the name. A reservation only helps if you need to hold it while you decide.
Does reserving a name give me a trademark?
No. It holds the name on one state's register for 120 days. A trademark is a separate federal right.
