Term 91 of 105 in the glossary, filed under S.Wyoming Secretary of State: business filing fees
Series LLC, for a founder abroad.
A series LLC holds separate ventures or properties in separate series under one company, each protected from the others' liabilities under the state's law. Delaware allows series, and Wyoming has since 2020, charging $10 for each series on its fee schedule.
Banks, the IRS and other states treat series inconsistently, though: a bank may not open an account for a single series, and another state may not recognise the separation. That's why most founders who want separation form separate companies.
What founders ask next.
- Should a founder abroad use a series LLC?
- Rarely. Separate LLCs cost a little more but open bank accounts and get EINs without questions.
