Term 47 of 105 in the glossary, filed under F.IRS: about Form 8822-B

01 · Explained

Form 8822-B, for a founder abroad.

The IRS writes to the address and responsible party on its record, which come from Form SS-4 unless you update them. A company that changes its mailing address, or whose controlling owner changes, files Form 8822-B so notices, including penalty notices, reach the right person.

A change of responsible party has to be reported within 60 days. It's filed by post and takes several weeks to process. Changing the state's records, such as the registered agent, doesn't update the IRS.
