Partnership withholding, for a founder abroad.
A partnership with income effectively connected with a US trade or business withholds tax on each foreign partner's share of it, whether or not the profit is paid out. It reports the tax on Form 8804, with a Form 8805 for each foreign partner, who claims a credit on their own US return.
The rate is generally 37% for individual partners and 21% for corporate partners. A multi-member LLC run from abroad with no US trade or business has no such income and withholds nothing.
What founders ask next.
- Does my two-member LLC owe partnership withholding?
- Only if it has income connected with a US trade or business. Most service LLCs run from abroad don't.
