Form 1065, for a founder abroad.
A multi-member LLC that hasn't elected otherwise is a partnership for US tax. It files Form 1065 by 15 March for a calendar year, reporting its income and giving each member a Schedule K-1. The partnership itself pays no income tax.
If the partnership has income effectively connected with a US trade or business, it withholds tax on its foreign partners' shares, generally 37% for individuals and 21% for companies, and reports that on Forms 8804 and 8805. Most foreign-owned service LLCs have no such income. A multi-member LLC doesn't file Form 5472.
Filing late costs a penalty for each partner for each month, up to twelve months, so a two-member LLC that forgets pays twice.

- Does a multi-member LLC with no income file Form 1065?
- Not if it had no income and no expenses that count as deductions or credits for the year; the IRS doesn't require a return then. Once it has either, it files. The multi-member LLC tax guide covers the details.
- When is Form 1065 due?
- 15 March for a calendar-year partnership, a month before Form 5472 and Form 1120. Form 7004 extends it by six months.
- Does my multi-member LLC file Form 5472?
- No. Form 5472 is for corporations and foreign-owned single-member LLCs. A partnership reports its foreign partners through Form 1065 and, where it applies, Forms 8804 and 8805.
