01 · Explained

Delaware annual LLC tax, for a founder abroad.

Delaware charges LLCs a flat yearly tax instead of an annual report fee. House Bill 400, signed in May 2026, raised it from $300 to $400, backdated to 1 January 2026. It's due by 1 June for the year before, and Delaware doesn't prorate it: an LLC on the record for any part of a year owes the full amount.

Paying late adds a $200 penalty and 1.5% interest a month on the tax and penalty. After three years unpaid, Delaware cancels the company. Delaware corporations file an annual report and pay franchise tax by 1 March instead. Delaware's annual LLC tax guide covers your first payment and how to pay it.
