01 · Explained

Annual report, for a founder abroad.

Most states ask for a short filing each year, or every two years, confirming the company's details, with a fee. It keeps the company in good standing.

  • Wyoming: an annual report and $60 licence tax, due on the first day of the month the company was formed in.
  • Delaware LLC: no report, but a $400 yearly tax by 1 June.
  • Delaware corporation: a $50 report and franchise tax by 1 March, usually $450 together for a new startup.

Miss it and the company loses good standing; leave it long enough and the state dissolves or cancels it. Every plan puts the date on your calendar.
