Before you choose
Can a non-US resident own an Alabama LLC?
A founder living outside the United States can generally own an Alabama LLC, including as its sole member. The IRS recognises foreign owners of US LLCs. Your nationality does not turn a newly formed Alabama company into a foreign LLC for state registration purposes.
Start with your business activities: Alabama can make sense for local staff, premises, property or operations. For a business run entirely abroad, compare compliance, provider support and banking eligibility before choosing a state. Company ownership does not give you permission to work physically in the United States.
Choose the correct route
Foreign owner or foreign LLC: which filing applies?
These describe different things. Owner residence concerns the people behind a company; foreign qualification concerns an existing entity formed somewhere else.
Your situation
You live abroad and want a new Alabama LLC
What to consider
Domestic Certificate of Formation, after reserving the name.
Your situation
You have an LLC from another US state and will operate in Alabama
What to consider
Foreign LLC registration if your activities require qualification; the base registration fee is $150, plus name reservation.
Your situation
You have an entity formed outside the US
What to consider
Assess registering that entity versus creating a US subsidiary. Registration and tax classification need separate review.
Costs and worked example
What does an Alabama LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
An existing out-of-state LLC uses a different registration: $150 base foreign-registration fee plus name reservation, rather than a new domestic formation. Confirm qualification requirements before paying.
Prepare before paying
What documents and decisions should you have ready?
Keep a filing folder for the company and a separate identity folder for your agent, bank and tax adviser. Their checks serve different purposes; do not assume that everything a bank requests belongs in the public state filing.
- Choose an available company name ending in LLC, L.L.C. or Limited Liability Company, and obtain its reservation certificate.
- Arrange an Alabama registered agent and a physical registered-office address in Alabama; a PO box does not satisfy that address field.
- Prepare the name and full address of the person preparing the form, an authorised organiser's signature and any chosen delayed effective date.
- Decide ownership percentages, contributions and who manages the business. Record those decisions in your internal operating agreement.
- Check whether your activity is professional, series or nonprofit before selecting a special entity type on the form.
A required Alabama step
Reserve the LLC name before filing the formation.
Alabama requires a Certificate of Name Reservation before the Certificate of Formation. Searching the database is useful, but it is not the reservation itself. Keep the issued certificate and attach it as the formation instructions require.
The statutory reservation fee is $25; the official fee schedule lists $28 for the online service. Some older official form instructions show a different portal amount. Use the live official checkout for the current online total, rather than treating an old PDF's convenience charge as a permanent price.
A reserved business name does not establish trademark rights, and it does not form the company. Check the name against your brand plans before buying a domain or printing materials.
The filing sequence
How to form the Alabama LLC from abroad.
Use the Secretary of State's current business-services portal or current paper instructions. Avoid older guides that route a new formation through a county probate office or describe email as a filing method.
From preparation to approved company Reserve the name
Obtain the reservation certificate for the exact name you will file.
Arrange the agent
Confirm the agent's name, Alabama street address and county, and how legal notices will reach you abroad.
Complete the certificate
Check the name, reservation attachment, required addresses, signature and effective date. Use the current state form.
Submit and pay
The formation fee is $200 before online-service charges. Paper instructions request two copies and a return envelope; email is not accepted.
Save the approved record
Keep the filed certificate and receipt, check the recorded details, then move to the EIN, bank and tax-account work.
Online submission may be fast, but a complete launch also depends on corrections, the effective date, IRS processing and the bank's review. Do not promise customers a bank-ready company on the filing date.Addresses and public records
What does the registered agent do, and what becomes public?
The registered office is the Alabama address for the company's registered agent. It is not automatically your trading premises, bank-acceptable operating address or a general mail-forwarding service. Before buying agent service, ask about legal-notice scanning, forwarding abroad, ordinary mail and renewal charges.
The standard Certificate of Formation asks for the agent, registered-office address, preparer's details and the organiser's signature. It certifies that at least one member exists without requiring a standard list of all members. Optional attachments can disclose more. Review the complete document before filing rather than assuming the LLC is anonymous.
Banks and tax authorities can still request the owners' identity and residential address. A public-record privacy feature does not remove those checks.
Federal tax identity
Can you get an EIN without an SSN or ITIN?
Yes, an eligible international applicant can apply using Form SS-4 without a US personal tax number. Where the responsible party has no SSN or ITIN and is ineligible to obtain one, the instructions allow foreign or N/A on line 7b. That exception is not permission to omit the responsible party.
Check the IRS's international application routes, submission details and current processing guidance. The online tool has eligibility limits; do not assume a registered-agent address makes you eligible. The EIN is free from the IRS, while a provider may charge for assistance.
The state entity ID and federal EIN are separate identifiers. Keep the EIN confirmation with the company's permanent records. After state approval
Prepare the operating agreement, banking and tax accounts.
Document ownership, decision-making, contributions, distributions and what happens when an owner leaves. An operating agreement is an internal governance document; adapt it to the actual owners and management structure instead of treating a downloaded template as a completed decision.
Before applying for a bank or payment account, confirm support for your residence country, business activity and actual operating address. Prepare your identity documents, filed certificate, EIN confirmation, ownership details and an explanation of expected transactions. Provider eligibility and approval are separate from state formation.
Alabama tax-account registration through My Alabama Taxes asks for information including the EIN, location, owners, activity code and start date. Register for the tax types your activities require, and check local licences, professional permissions, sales tax and payroll separately.
Ongoing state obligations
Does Alabama require an LLC annual report or privilege-tax return?
An LLC does not file the Secretary of State corporation annual report under the rules introduced in 2024. Business Privilege Tax is a separate assessment: for tax years starting after December 31, 2023, a calculated liability of $100 or less is exempt, including the BPT-IN, CPT and PPT filing requirement.
Do not interpret that exemption as no taxes or filings of any kind. Have an adviser calculate whether it applies, and reassess when the business changes. Income, sales, payroll and other obligations depend on activity and tax classification.
When an initial privilege-tax return is required, its deadline is two and a half months after organisation or qualification. Annual payment and return dates depend on the relevant federal return and current Alabama instructions; an extension to file need not extend the time to pay.
Federal and home-country obligations
No US tax due does not always mean no US return.
Federal treatment depends on the LLC's classification. A single-member LLC is generally disregarded and a multi-member domestic LLC generally a partnership unless an election changes that treatment. Foreign ownership and the source of income need their own analysis; the state you select does not settle the result.
A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner funding and distributions can be relevant even without customer revenue. Failure to file correctly can trigger a $25,000 penalty. Establish bookkeeping and a filing calendar in the first year.
Under FinCEN's current rules, entities created in the United States are exempt from Corporate Transparency Act BOI reporting, including an Alabama LLC owned from abroad. An entity formed outside the US and registered in Alabama is a different case. Check the current rule when deciding what applies.
Your residence country may tax the income, classify the LLC differently or require foreign-asset disclosures. Ask an adviser who understands both jurisdictions before choosing the structure.
Make the decision
Should you choose Alabama, Wyoming or Delaware?
Choose around your real operations. If the company will need Alabama registration anyway, adding a Wyoming entity can mean maintaining two registrations and two agents. Compare that full arrangement with forming directly in Alabama.
For an entirely remote business, Alabama's absence of an LLC annual report can be attractive, but agent renewals, privilege-tax eligibility, bookkeeping, banking and home-country treatment still matter. There is no automatic banking approval or universal tax advantage from choosing a particular state.
BaseAcross forms companies in Wyoming and Delaware. If you choose one of those states after comparing the obligations, our pricing shows the formation service and state charges. If Alabama fits your business, use the official Alabama route or an Alabama formation provider.

Questions
Questions about an Alabama LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can I form an Alabama LLC while living outside the United States?
Generally, yes. A foreign owner can own an Alabama LLC, but the company needs an Alabama registered agent and registered office. Ownership does not grant a US visa or permission to work in the US.
Is the Alabama LLC filing fee the whole formation cost?
No. The domestic Certificate of Formation costs $200, and mandatory name reservation adds a $25 base fee. The $225 base total excludes online-service charges, agent service and other expenses.
Do I have to reserve an Alabama LLC name?
Yes. Obtain the Certificate of Name Reservation before submitting the formation and attach it as instructed. A name search alone is not a reservation.
Is my Alabama LLC a foreign LLC because I am a non-US resident?
No. A new LLC formed under Alabama law is domestic for Alabama filing purposes. Foreign registration concerns an existing entity formed in another jurisdiction.
Can I get an EIN without an SSN?
Yes, where the IRS international-applicant rules apply. Use the current Form SS-4 instructions for the responsible party and application route. The IRS does not charge for an EIN.
Does an Alabama LLC file an annual report?
An LLC does not file the Secretary of State corporation annual report under the current rules. Business Privilege Tax and other tax filings are separate obligations.
Does a small Alabama LLC always file Business Privilege Tax?
No. For tax years beginning after December 31, 2023, a calculated Business Privilege Tax of $100 or less is exempt from payment and the privilege-tax return. Check the calculation rather than assuming the exemption.
Does BaseAcross form Alabama LLCs?
BaseAcross forms companies in Wyoming and Delaware. This Alabama guide explains the state's official process; it is not an offer to file an Alabama formation or foreign qualification.
