Know which kind of LLC you are forming

Ordinary LLCs report by November 15; farming LLCs have a different calendar.

A founder abroad can generally own an ordinary North Dakota LLC. The domestic articles cost $135 and the ordinary annual report is $50. The first ordinary report is due November 15 in the calendar year after formation, then each year.

For an October 2026 ordinary formation, the first report is November 15, 2027. Farming/ranching LLCs and authorised livestock farm entities have April 15 reporting instead. A sector-specific structure is not just the ordinary online LLC with a different label.

Agricultural ownership, land use and professional services need eligibility review before purchasing property or filing. Foreign ownership can raise additional restrictions outside the ordinary LLC formation question. Do not infer permission to acquire restricted agricultural land merely from an accepted company filing.

The annual report discloses the management structure

Managing members, managers or governors and their addresses appear.

Section 10-32.1-89 requires the names and respective addresses of managers and governors, or the managing member or members. This is a management-role requirement, not an automatic statement that every passive investor must appear.

The report also gives the agent and registered office, principal executive office, jurisdiction and character of the business actually conducted in the state. Required public roles remain visible even when a paid registered agent files the report.

Keep private ownership percentages, contributions, operating agreement and signing authority accurate. An organiser or public manager is not necessarily the complete ownership picture, while bank and tax disclosures can require further information.

North Dakota ordinary domestic LLC costs · checked October 17, 2026

The November schedule is for ordinary LLCs; farming/ranching and authorised livestock farm categories use April 15.

Professional LLC licensing evidence changes from January 1, 2027; specialist categories are not priced as ordinary compliance.

  1. Prepare the North Dakota and overseas details

Use FirstStop for the correct ordinary domestic filing.

A new entity created under North Dakota law is domestic even with an overseas owner. An existing entity created elsewhere reviews a certificate of authority instead. Both ordinary domestic articles and ordinary foreign authority currently carry a $135 base, but the underlying application and supporting documents differ.

Arrange an eligible North Dakota registered agent and office before submission. The articles require the company name, principal executive office, registered-agent information and each organiser’s name and address, with other applicable article provisions. Use actual principal-office facts rather than treating a registered office as every kind of business address.

Retain accepted articles, the effective date, entity identifier and portal access. Write down who monitors legal mail and report notices across time zones; a provider renewing its own service does not prove the company’s report was filed.

    1. Scope

Confirm ordinary domestic formation and any industry/land restrictions.

    2. Name and local service

Check a compliant available name and arrange the eligible agent/office.

    3. Articles

Complete principal executive office, agent and organiser fields; review the effective date.

    4. Submit through FirstStop

Confirm the actual $135-base transaction and retain acceptance.

    5. Company records

Document ownership, management and funds; assess EIN and tax accounts.

    6. Calendar

For October 2026, plan the first ordinary report for November 15, 2027.

  2. A missed report can end the company

The late fee and termination are separate stages.

The ordinary annual fee is $50. Section 10-32.1-92 adds a $50 late charge after the statutory deadline. The ordinary statute provides involuntary termination when the report and fees remain missing six months beyond the deadline; an agent renewal does not prevent that result.

Reinstatement has its own statutory fee and time limits. The ordinary administrative route under section 10-32.1-91 requires action within one year after involuntary termination; later relief involves court procedures. Do not assume an abandoned company can be restarted online at any time for the original $50.

Use the actual record and SOS instructions to address delinquency. The budget does not add late penalties to an on-time formation example. If no longer operating, wind up and file the proper termination rather than using delinquency as a closure plan.

  3. A dated rule for licensed professionals

Professional LLC reports change from January 1, 2027.

The SOS states that professional LLC annual reports filed starting January 1, 2027 must include the licensing board’s Certificate of Professional License, SFN 13610, verifying the licensure of all governors and members who practise the profession. A copy of the report must also be filed with the regulatory board.

This is relevant to an October 2026 professional formation planning its first 2027 report. It is not an extra universal certificate for every ordinary consulting, software or trading LLC. Check the profession’s permitted structure, ownership and licensing before selecting the ordinary route.

The SOS separately directs authorised livestock farm LLCs to request their reports from the office because that report is not available in FirstStop. Use the entity category’s actual instructions rather than assuming every annual process uses the same screen.

  4. Assess the owner schedule as well as Form 58

North Dakota income can require nonresident partner withholding.

A partnership-taxed LLC reviews Form 58 and owner schedules. The Tax Commissioner describes withholding where a relevant nonresident partner’s North Dakota distributive share exceeds $1,000, subject to the applicable exceptions, Form PWE and composite-return rules.

Do not confuse that tax threshold with the $50 registry report or assume the owner’s country of residence determines all sourcing. A sole-owner disregarded LLC or a corporation-taxed LLC needs its own return analysis; owner returns and credits also need review.

The agency requires electronic filing for partnership returns with ten or more partners under its published rule. Review the actual return-year instructions and eligible alternatives, plus sales/use tax and payroll accounts for the business conducted. The registry benchmark excludes these taxes and preparation costs.

  5. The federal application does not require a paid state add-on

Follow SS-4 using the real responsible party.

The IRS EIN application is free. Use the approved legal name, actual responsible party and the SS-4 international instructions. Where the responsible party has no SSN or ITIN and is ineligible for either, line 7b provides the foreign or N/A entry.

Check the online assistant’s own eligibility; access to FirstStop does not establish IRS online eligibility. Preserve the EIN notice and company authority records. Banks assess country, activity and documents independently, and North Dakota formation supplies neither a guaranteed account nor US immigration status.

  6. Organise evidence of capital and withdrawals

Federal information returns can apply even before trading.

A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner capital contributions and distributions can be reportable; no sales is not a reliable filing exemption. The initial penalty for a required missing or incomplete Form 5472 is $25,000.

Assign bookkeeping, return deadlines and extension responsibility before the first owner transfer. Other tax classifications require different entity and owner returns. FinCEN’s current exemption for US-created entities does not cancel IRS filing, North Dakota public-management reports or bank checks.

  7. Compare an ordinary company on ordinary assumptions

The five-year registry base is $335 to $385 before services and taxes.

For an LLC formed by 15 November, such as October 2026, $135 articles + four $50 ordinary annual reports = $335 at current rates. One formed after 15 November has five reports inside five years: $385. Agent service, payment processing, tax returns, licences and professional assistance remain additional. Farming/professional obligations should be evaluated separately rather than silently included or ignored.

North Dakota can fit actual local business. A company formed elsewhere can still need authority and taxes for North Dakota operations. Check the operational facts and public-management requirements instead of relying on unsupported bank-state preferences.

The SOS lists $20 for ordinary dissolution/termination; use the appropriate winding-up and final tax/account process when closing. BaseAcross forms Wyoming and Delaware companies. Our alternative-state offer does not include North Dakota articles, annual reports or professional/farming compliance.

Questions

Questions about a North Dakota LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a non-US resident form a North Dakota LLC?

Generally yes for an ordinary LLC, with eligible local agent/office arrangements. Professional services and agricultural ownership can have additional eligibility restrictions; formation alone is not permission for every activity or land purchase.

How much does an ordinary North Dakota LLC cost?

The articles are $135 and the ordinary annual report is $50. The five-year base is $335 for an LLC formed by 15 November, such as October 2026, or $385 for one formed after 15 November, before agent service, processing, taxes, licences and support.

When does an October 2026 North Dakota LLC first report?

An ordinary LLC plans November 15, 2027, then November 15 annually. Farming/ranching and authorised livestock farm LLC reporting uses a different April 15 schedule.

What management information is public in North Dakota?

The annual report identifies managers and governors, or managing members, with addresses, along with company, agent and office information. It is not necessarily a roster of every passive investor.

What happens after missing the ordinary November report?

The ordinary law adds a $50 late charge to the $50 report fee and provides termination after six months of noncompliance. Reinstatement has additional fees and statutory time limits.

What changes for professional North Dakota LLCs in 2027?

The SOS requires the professional-licence certificate, SFN 13610, with professional LLC reports filed starting January 1, 2027. Check licensing of governors and practising members and the separate regulatory-board submission.

Does the North Dakota annual report replace nonresident tax work?

No. Partnership-taxed LLCs review Form 58, nonresident withholding above the relevant $1,000 distributive-share threshold and applicable exceptions/composite routes. Owner returns and other tax accounts are separate.
