Minnesota · A guide for founders abroad
Forming an LLC in Minnesota from outside the United States.
Minnesota separates the required local office from an optional registered agent. Compare filing channels, free December renewals, public management details and the tax work that a free renewal does not cover.

Office required; agent optional
Minnesota requires a local street office, even if you do not name an agent.
A founder abroad can generally own a Minnesota LLC. The state requires a registered office at a Minnesota street address; designating a registered agent is optional. These are separate rules. Leaving the agent field blank does not remove the local-office requirement.
Before paying for formation, arrange an authorised, usable local office and a reliable way to receive and escalate legal notices abroad. A PO box alone does not satisfy the office field. If you name an agent, check eligibility and consent rather than assuming any overseas owner qualifies.
A commercial provider may bundle an office with agent service. Compare the actual service scope and renewal price. A mandatory annual agent subscription is not itself a Minnesota statutory filing requirement, and an office service does not guarantee a bank will accept that address.
Free does not mean optional
An October 2026 company first renews by December 31, 2027.
Section 322C.0208 requires renewal each calendar year beginning the year after formation. It is free for an active company. A company formed October 17, 2026 therefore first renews by December 31, 2027, rather than on its formation anniversary.
The renewal checks the company’s current information and identifies its principal executive office and manager, or the person exercising the chief manager’s principal functions. It is a public registry filing, not a state income tax return.
Missing the free renewal can lead to administrative termination. Minnesota permits reinstatement using the current-year renewal and a fee: $65 by mail or $85 online/in person. Preserve filing confirmation and calendar the deadline independently of reminder emails.
Costs and worked example
What does a Minnesota LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
A free renewal must still be filed. Reinstatement is not part of the normal setup subtotal.

Choose the correct filing channel
Ordinary articles cost $155 online or in person, and $135 by mail.
The higher fee covers the online or in-person expedited channel. Do not treat an in-person submission as the $135 mail option. Check the live office instructions before arranging delivery from abroad; approval timing depends on the channel and a complete filing.
Minnesota formation decisions Decision What the filing needs Name and entity Check an available compliant LLC name. Professional services can require a separate statutory election and qualified owners. Local office Provide the Minnesota street office and an eligible agent only if designating one. Organisers Identify the organiser or organisers and obtain signatures; ownership and organiser roles can differ. Contact and survey Choose a monitored email and review public-data notices. The Business Snapshot survey is voluntary. Submission Pay the chosen channel fee, save the approved articles and business identifier, and retain filing-account access. Review the actual form fields
The public renewal identifies the manager or equivalent responsible person.
The articles identify organisers. The annual renewal asks for the manager or person performing the chief manager’s principal functions, plus a business address and principal executive office. Hiring a formation organiser does not remove that later disclosure.
The articles warn that submitted information is public and that voluntary Business Snapshot information may be distributed. Its email bulk-data preference should not be mistaken for making all filing fields confidential.
Keep the ownership ledger, contributions, authority, voting and distribution terms in a written operating agreement. Supply banks and tax authorities with the actual beneficial ownership information they request; a public manager field is not a substitute for it.
Registry renewal and tax are different
A free annual renewal does not eliminate Minnesota’s possible minimum fee.
Minnesota generally follows federal LLC classification. A disregarded sole-owner business, a partnership-taxed company and a corporation-taxed company do not automatically file the same state returns.
For 2026, the published minimum-fee table begins at combined Minnesota property, payroll and sales or receipts of $1,280,000. Below that threshold the table amount is zero; the first bracket, through $2,559,999, is $260. These are apportioned business measures, not simply profit or the LLC’s bank balance.
The minimum fee applies to specified filing entities with exceptions; a single-member LLC reporting only on its individual owner’s Form M1 is not subject to it. Determine the applicable return and tax year before using a threshold. The guide’s registry comparison does not assume every LLC owes this fee.
Review the owners as well as the entity
Minnesota-source income can create withholding and owner reporting duties.
An overseas address does not itself exempt business income earned in Minnesota. Revenue’s nonresident withholding rules apply to relevant pass-through income with specified exceptions and alternatives, including qualifying composite-return or PTE-tax treatment. Confirm owner eligibility before choosing a route.
The current PTE election guidance covers eligible tax years beginning after 2020 and before January 1, 2028. Do not assume the election is permanent or that every LLC and every owner qualifies. The 2026 guidance also changes estimated-payment treatment; use the rule for the return’s actual tax year.
A preparer should review Minnesota-source receipts, employees, sales/use tax, business tax registration and home-country treatment. A foreign owner who cannot qualify as an S-corporation shareholder should not select that classification merely because a generic checklist suggests it.
A renewal question with real consequences
Land used or capable of use for farming needs a separate review.
The renewal asks whether the entity owns, leases or has a financial interest in agricultural land, including land capable of farming, and directs relevant filers to the Department of Agriculture’s corporate farm program.
Do not ignore that question because the company’s main activity is consulting or investment. Investigate the actual land interest, reporting duties and ownership restrictions before acquiring it. Ordinary LLC approval does not establish that a particular foreign-owned land arrangement is permitted.
Use the responsible party’s real status
A Minnesota office does not make the international EIN rules disappear.
The IRS issues an EIN without an application fee. Use the approved name and the actual responsible party. SS-4 line 7b explains the foreign or N/A entry where that individual has no SSN or ITIN and is ineligible to obtain one.
Check international application eligibility and the appropriate route instead of using the local office to imply a US principal place of business. A Minnesota tax identifier, when required, is a different registration. Save both state and federal confirmations.
Check bank eligibility for the founder’s country and business activity before funding commitments. No account opening or immigration benefit follows automatically from an LLC or EIN.
Assign the filing work at setup
Owner funding can create federal reporting before the company earns revenue.
A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner contributions and distributions can count. The initial penalty for failing to file a required complete return is $25,000.
Record transfers, reimbursements and counterparties from the first transaction. Multiple-member or corporate-taxed structures require their own federal analysis; Minnesota’s free renewal does not settle those filings.
FinCEN currently exempts US-created entities from BOI reporting. IRS filings, public Minnesota disclosures and bank checks remain separate. An existing non-US entity registering in Minnesota needs its own review.
Plan the whole company lifecycle
A statement of dissolution is not the entire Minnesota closure process.
Minnesota’s forms guidance distinguishes the event causing dissolution, winding up and the later statement of termination. Filing a statement of dissolution does not itself dissolve the LLC. Resolve liabilities, distributions and final tax accounts using the applicable process.
The registry-only five-year benchmark is $155 online/in person or $135 by mail, with four timely free renewals. It excludes office service, professional support, taxes and reinstatement. Compare those real obligations rather than unsupported claims about which state banks prefer.
Local operations may justify Minnesota, and forming elsewhere can still require Minnesota registration and taxes. BaseAcross forms Wyoming and Delaware companies; the alternative-state offer here does not file Minnesota companies or their renewals.
Questions
Questions about a Minnesota LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can I own a Minnesota LLC while living outside the US?
Generally yes. You still need a Minnesota street registered office, accurate public filings and applicable state, federal and home-country compliance. Naming a registered agent is optional; the local office is mandatory.
Does Minnesota require a registered agent?
Designating an agent is optional under the SOS ordinary LLC instructions. A registered office at a Minnesota street address is required, whether or not an agent is named.
Is Minnesota formation $135 or $155?
Ordinary articles cost $135 by mail or $155 online/in person through the expedited channel. Local office services and professional support are separate.
When does an October 2026 Minnesota LLC renew?
Its first annual renewal is due December 31, 2027. Renewal then falls on December 31 each calendar year, not on the formation anniversary.
What happens if I miss the free Minnesota renewal?
The company can be administratively terminated. Reinstatement requires the current renewal and $65 by mail or $85 online/in person, under the current fee schedule.
Is the Minnesota LLC manager public?
The renewal names the manager or person performing the chief manager’s principal functions and gives a business address. Articles identify organisers. A paid organiser does not eliminate renewal disclosures.
Does the free renewal mean there is no Minnesota tax fee?
No. For relevant filing entities, the 2026 minimum-fee table starts at $1,280,000 of combined Minnesota property, payroll and sales/receipts, subject to exceptions. State returns and owner tax duties depend on classification and activity.
Does BaseAcross form Minnesota LLCs?
