Calendar the actual anniversary date

Oklahoma’s $25 certificate is not due at month-end.

A founder living abroad can generally own an ordinary Oklahoma LLC. Domestic articles cost $100 base, followed by a $25 Annual Certificate each year on the anniversary date. An LLC formed October 17, 2026 plans its first certificate for October 17, 2027, not October 31.

The actual SOS form asks whether the company is active, the street address of its principal place of business wherever located and the primary contact email. It requires the signature of a member or manager, plus the signer’s printed name and title.

The form says failure to file within 60 days after the due date removes good standing. Treat the anniversary as the deadline, not the end of that later consequence period. Keep independent reminders and confirm acceptance even if a service provider manages the process.

Formation and annual signatures differ

An annual certificate can publicly identify a member or manager.

The articles may be signed by at least one person who may or may not be a member. They do not request a complete ownership roster. That limited initial disclosure does not justify claiming that neither Oklahoma filing identifies owners or management.

The annual certificate explicitly calls for a member or manager signer and printed name/title. It still does not demand a list of every passive owner, but the required signer can reveal a management or ownership role. Do not substitute an unrelated organiser for a required member/manager signature.

Keep the operating agreement, ownership percentages, contributions and signing authority records privately organised. Public agent and office details, filing signatures and separate bank/tax disclosures mean the company should not be marketed as anonymous.

Costs and worked example

What does an Oklahoma LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

The annual certificate and later dissolution are future costs, not initial setup purchases.

Card totals follow published SOS instructions; confirm the actual transaction before payment. No filing was submitted during this review.

  1. Supply two different address roles

The principal office may be abroad; the registered office must be in Oklahoma.

Use the ordinary domestic route for a new company formed under Oklahoma law. Overseas ownership alone does not make the company foreign. The SOS separately lists $300 for an existing foreign LLC’s registration, rather than the $100 domestic articles.

The domestic form asks for the street address of the principal place of business wherever located and a primary contact email. It separately requires an eligible registered agent and Oklahoma registered street office, open during regular business hours for legal service. PO boxes do not satisfy these street-address fields.

Use the actual principal place of business and an email the company will monitor. The instructions say annual-certificate notices are sent only to the email of record. Do not assume the agent’s invoice or a postal reminder will warn an overseas founder about a missed certificate.

    1. Name

Check availability and an allowed LLC ending; optional reservation is separate.

    2. Principal place and contact

Supply the actual street location wherever located and monitored primary email.

    3. Registered agent

Arrange an eligible consenting agent with an Oklahoma registered street office.

    4. Articles

State duration, obtain the proper signature and confirm the filing/payment route.

    5. Acceptance and records

Retain the accepted articles, record the anniversary and organise ownership/authority evidence.

    6. Federal and operating setup

Apply for the EIN where required and review tax, licences and bank requirements.

  2. Price the method you will actually use

The published card surcharge changes $100 to $104.

The SOS domestic instructions list a 4% service charge for credit-card payments online or in person. Ordinary $100 articles therefore become $104 when paid by card under that published schedule. A check-paid $100 filing is a different channel, not an additional filing to buy.

The instructions also list an additional $25 per document for in-person same-day filing. Do not advertise this as included in ordinary online formation. A $10 name reservation for 60 days is optional; checking name availability does not itself reserve it.

For the annual certificate, distinguish its $25 base from the payment total. Applying the published 4% card charge gives $26. Confirm the live transaction and any updated instructions before paying; this review did not submit a filing or complete a paid checkout.

  3. A missed certificate is not an orderly closure

Check reinstatement and final tax tasks separately.

The annual-certificate form describes loss of good standing after 60 days past due. Resolve an actual delinquency through the company record and current SOS instructions rather than filing a new entity simply to escape the old record.

The fee list marks the reinstatement application as having no separate application fee, but that does not mean all overdue obligations are forgiven. Review the current reinstatement form and outstanding certificate payments before quoting a restoration total.

The SOS lists $50 for domestic LLC dissolution. Follow the applicable winding-up procedure and final state/federal return and account closures. Cancelling a registered-agent subscription or ignoring emails does not accomplish those tasks.

  4. The certificate is not an Oklahoma tax return

Review source income, withholding and owner filings.

Oklahoma tax duties depend on the company’s classification and activity. A partnership-taxed LLC with Oklahoma-source income reviews Form 514, owner schedules and relevant nonresident payment obligations; a disregarded or corporation-taxed LLC needs the appropriate separate analysis.

The Tax Commission describes withholding on the Oklahoma portion of relevant distributions to nonresident members. Review a timely OW-15 exemption affidavit and annual OW-15-A transmittal where eligible; an electing PTE follows its separate entity-tax rules. Living abroad alone is not an exemption.

When withholding applies, review WTP-10003 and estimated-payment rules, plus the separate Form 500-B owner records and Form 501 submission. Attaching those owner forms only to the income-tax return does not satisfy their separate submission. Check composite eligibility, owner returns, sales/use tax, payroll and licences; registry costs exclude these duties.

  5. Keep the federal identity application separate

The IRS does not charge for the EIN.

Follow SS-4 with the accepted legal name and actual responsible party. If that person lacks an SSN or ITIN and is ineligible for either, the line 7b instructions explain the foreign or N/A entry. The IRS international and online eligibility rules are independent of Oklahoma’s filing portal.

Keep the EIN notice, articles, agreement, ownership ledger and signing-authority evidence ready. Ask the bank or payment provider about supported countries, activity and acceptable addresses. Neither a sparse state filing nor a particular formation state guarantees approval, and LLC ownership grants no US immigration permission.

  6. Owner funding creates records from day one

Do not wait for revenue to consider Form 5472.

A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Contributions and distributions can be reportable. The initial penalty for a required missing or incomplete Form 5472 is $25,000.

Record contributions, withdrawals, reimbursements and related-party contracts and assign the return and extension work early. Multiple owners and tax elections change the federal analysis. FinCEN currently exempts US-created entities from BOI reporting, but that does not cancel IRS filings, Oklahoma certificates or bank checks.

  7. Keep the base and card-paid examples separate

Five years is $200 base or $208 with the published card charge.

At current base rates, $100 articles + four $25 certificates = $200 for an October 2026–2030 ordinary company. Applying 4% to each gives $104 + four $26 certificates = $208. These figures exclude the agent, tax work, licences, optional reservation and later changes or closure.

Oklahoma can fit actual Oklahoma business. Forming elsewhere can still require Oklahoma registration and tax compliance for local operations. Compare practical requirements and costs rather than assuming banks prefer Wyoming to Oklahoma for every foreign founder.

Questions

Questions about an Oklahoma LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can I form an Oklahoma LLC from outside the US?

Generally yes, with an eligible agent and registered office in Oklahoma. Supply the actual principal place of business wherever located. A new Oklahoma-law entity is domestic even when its owner is overseas.

Is Oklahoma LLC formation $100 or $104?

The domestic base fee is $100. The SOS instructions list a 4% credit-card service charge, making $104 when paid by card. In-person same-day service and optional reservation are separate.

When is the Oklahoma Annual Certificate due?

On the actual formation anniversary date each year, starting the following year. An October 17, 2026 LLC plans October 17, 2027, rather than the end of October.

Does the Oklahoma annual certificate identify an owner or manager?

The actual SOS form requires a member or manager signature and printed name/title. It does not ask for every passive owner, but claiming that no member or manager is identified would be misleading.

Can the Oklahoma principal office be outside the state?

The form asks for the principal place of business wherever located. The separate registered office must be a qualifying Oklahoma street address with an eligible agent; PO boxes do not satisfy the street fields.

What happens if I miss the annual certificate?

The form states that failure to file within 60 days after the anniversary removes good standing. Resolve the record through current SOS instructions and assess overdue certificate payments; reinstatement is not blanket forgiveness.

What is a realistic five-year Oklahoma registry subtotal?

The base is $200: $100 articles plus four $25 certificates. With the published 4% card charge applied to each, it is $208. Agent services, taxes, licences and professional help remain extra.
