Arizona · A guide for founders abroad

Forming an LLC in Arizona from outside the United States.

Arizona's low filing fee is only part of the decision. Check who appears publicly, which publication rule applies to your agent's county and how to complete the current online filing process from abroad.

Before you commit

Can you actually complete the Arizona filing from abroad?

Foreign ownership is generally allowed for a US LLC, but eligibility to own the company and access to the filing system are separate questions. For Arizona, resolve three practical issues first: who will submit the application, who will accept appointment as statutory agent, and which personal details will become public.

The current online route is Arizona Business Center, or ABC. Since July 20, 2026, its online users must complete government-ID verification. The ACC lists a passport or passport card among accepted documents. If you will use an overseas-issued document, confirm that the verification process supports it before relying on a launch date; the announcement does not establish acceptance of every country's document.

If an authorised filer will submit for you, agree who can access and change the company record. Ownership does not give you immigration permission to work in the United States, and a filing agent does not replace the company's Arizona statutory agent.

Decide what you will disclose

Management choice changes Arizona's public ownership record.

Decide how the company will really be managed before preparing its articles. Arizona's public disclosures differ between the two structures; paying someone to organise the LLC does not remove the required member or manager information.

Arizona articles: people and addresses disclosed
Management arrangementWhat the articles must identify
Member-managedThe name and address of every member.
Manager-managedEach manager's name and address, plus each member owning 20% or more of the capital or profits.
Both structuresThe principal address and the statutory agent's name, Arizona street address and mailing address.
A sole owner does not disappear from the filing by selecting manager-managed: a 100% interest exceeds the disclosure threshold. Choose management for genuine decision-making needs and review the complete public filing before submitting it.

Costs and worked example

What does an Arizona LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

Faster examination services and payment rules have their own conditions. Confirm the current fee schedule and checkout before submitting, and retain the approval letter's publication instructions.

  1. The county-dependent step

Will you need a newspaper notice, or will the ACC publish it?

Use the county of the statutory agent's street address. Your home country, where your customers live and where a mail-forwarding service operates do not determine this branch of the formation process.

Publication decision after Arizona articles are filed
    Agent's street-address countyWhat happens
Maricopa or PimaThe ACC publishes the notice in its online public-notice database. Its instructions say no separate newspaper publication is needed.
Another Arizona countyArrange notice in a newspaper of general circulation in that county for three consecutive publications, within 60 days after the ACC files the articles. Obtain the newspaper's price and schedule.
Keep the newspaper's affidavit of publication with your company records. Filing it with the ACC is optional according to its FAQ. Follow the approval letter, and do not assume three consecutive publications always means three calendar weeks.
  2. The local appointment

Arrange the statutory agent and acceptance before submitting.

Arizona calls the registered agent a statutory agent. This person or eligible entity receives legal documents for the LLC and needs the required Arizona address. An individual agent must be a permanent, full-time Arizona resident under the ACC instructions; an owner living abroad cannot simply list an overseas address for this role.

The agent must accept the appointment. Confirm the acceptance method for your filing route and who will complete it. Keep a dependable email address for notices and agree how court papers will reach you abroad. An unfinished appointment can delay approval even if the rest of the application is ready.

The law permits the principal address to match the agent's mailing address. That does not mean every agent includes ordinary business mail or that a bank will accept the address as your actual operating location. Obtain permission and confirm the service before using it.

  3. File, then verify the result

Your Arizona filing sequence, including the 2026 portal.

For a new Arizona company, use Articles of Organization. A foreign owner's nationality does not change that to foreign registration. Start from the ACC's official links to Arizona Business Center, rather than an old eCorp walkthrough or an unofficial filing site.

Arizona formation from preparation to completion
    1. Prepare the record

Check the name, management choice, required member/manager details, principal address and statutory-agent details. A name reservation is optional if you file directly.

    2. Set up filing access

Complete ABC account verification or arrange an authorised filer. Review the current forms and submission rules if using a paper route.

    3. Submit and obtain acceptance

Choose the processing service, pay the relevant fee and ensure the statutory agent accepts. Save the submission receipt.

    4. Check approval

Download the filed articles and approval letter; verify names, addresses, effective date and public management attachments.

    5. Finish publication

Check the county branch above. Keep the online notice details or the newspaper affidavit with the approved articles.

The base filing is $50 and the standard expedited total is $85. Faster service concerns examination or processing of the document; it is not a promise that corrections, agent acceptance, the EIN and banking will all finish that day. Use the current official processing information when you submit.
  4. Avoid a payment delay

An overseas bank cheque is not an accepted shortcut.

The ACC says it does not accept checks drawn on non-US banks, even if payable in US dollars. Its payment page allows credit cards for online and in-person submissions. Before preparing a paper filing, check the current payment requirements rather than posting a cheque the state cannot use.

Keep the state fee, optional processing service and any provider invoice separate in your budget. The filing fee is nonrefundable, so resolve management disclosures, agent acceptance and filing access before paying. Confirm any payment-processing charge shown at checkout.

  5. A separate federal application

The Arizona record is not your EIN application.

After formation, an eligible international applicant can use Form SS-4 to request an EIN without an SSN or ITIN. The responsible-party instructions allow foreign or N/A on line 7b only when that person has no SSN or ITIN and is ineligible to obtain one. Identify the real responsible party rather than putting the organiser in that role for convenience.

Check the current IRS international application routes and contact details. An Arizona agent or ABC account does not by itself establish eligibility for the IRS online tool. The EIN is free from the IRS; a service provider can charge for assistance. Retain its confirmation separately from the ACC entity record.

  6. What you must maintain

No LLC annual report does not mean you can ignore the company record.

The ACC confirms that LLCs do not file its corporation annual report. You still need to keep agent, address and management information current, monitor notices and maintain any applicable tax or licence accounts.

The ACC has also announced an LLC Attestation of Existence for companies with no filing in the preceding two years. At this review, its protection page still labels that feature coming soon, while its July 2026 announcement describes additional measures to follow. Check the live ABC notices and current ACC guidance rather than treating an announced policy as a fixed annual filing deadline.

If you stop using the company, plan proper closure and final tax work. Do not assume that abandoning the email account or stopping agent payments ends the entity and its obligations.

  7. Trading and tax decisions

Does your business need Arizona TPT registration?

Articles of Organization create the company; they do not settle its operating permissions. Arizona's Transaction Privilege Tax, or TPT, applies to specified business activities. Although often described as sales tax, ADOR explains that it is a tax on the vendor for the privilege of doing business. The activity and jurisdiction matter.

Check whether your products or services require a TPT licence, local business permission or professional authorisation. An out-of-state seller can also have Arizona obligations when the applicable economic threshold is met. Forming an LLC in another state does not remove obligations created by Arizona sales or operations.

Income-tax treatment is another assessment. Ownership, LLC tax classification, where work is performed and income sources can change the answer. Have an adviser check state, federal and home-country requirements before interpreting a low formation fee as a tax benefit.

  8. Build an operating company

Turn the approved articles into a usable company file.

Keep the approved articles, publication evidence, agent acceptance, EIN letter and operating agreement together. Record who owns the business, who may sign contracts, what owners contribute and how decisions and distributions are approved. A formation receipt alone does not answer those questions.

Before choosing a bank or payment processor, check its current country, business-activity and address requirements. Prepare owner identification, an explanation of the actual business and evidence supporting the expected transactions. State approval and an agent address do not guarantee account approval.

For a foreign-owned US disregarded entity, reportable related-party transactions can require Form 5472 with a pro forma Form 1120. Owner funding and distributions can be relevant without sales. A required filing that is missing, late or substantially incomplete can attract a $25,000 penalty. Set up bookkeeping and filing responsibility in the first year.

FinCEN currently exempts entities created in the United States from Corporate Transparency Act BOI reporting, including an Arizona LLC owned from abroad. An overseas-formed entity registered in Arizona is a different case. BOI relief does not eliminate IRS reporting or a bank's identity checks.

  9. If a company already exists

Do you need Arizona foreign registration instead of a second LLC?

If you already have an LLC formed elsewhere and its Arizona activities require qualification, investigate a Foreign Registration Statement before creating another entity. The base registration fee is $150, with a standard expedited total of $185.

The ACC asks for a certified copy of the original formation documents and amendments, plus a certificate of existence from the home jurisdiction dated within 60 days of the application. Confirm the current instructions for your entity and jurisdiction before ordering certificates.

This route is about the existing entity's place of formation. A founder abroad creating a new Arizona LLC uses domestic articles instead; registering an existing company from another country also requires separate tax and legal assessment.

  10. Weigh the actual trade-offs

When is Arizona a sensible choice for a founder abroad?

Arizona can be practical when the business operates there and its public-disclosure rules fit your needs. Its base formation fee is low and there is no ACC LLC annual-report charge. Publication costs depend on the agent's county, while agent renewal, taxes and professional help remain part of the budget.

For a business run entirely abroad, compare those facts with your banking options and advisers' requirements. An agent service does not make Arizona anonymous. A Wyoming company does not remove Arizona qualification or tax obligations if the business operates in Arizona.

BaseAcross forms companies in Wyoming and Delaware. If either fits your plans after that comparison, the service options below show what we provide. If Arizona is the right choice, follow the official ACC filing route or use an Arizona provider.

Questions

Questions about an Arizona LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a non-US resident form an Arizona LLC?

Generally, yes. Arrange an eligible Arizona statutory agent, the required public member or manager details and a filing route you can complete. Online ABC account verification is separate from eligibility to own the LLC.

Do all Arizona LLCs pay for newspaper publication?

No. ACC guidance says it publishes online for statutory-agent street addresses in Maricopa or Pima County. Other counties require a newspaper notice within 60 days for three consecutive publications.

Does a statutory-agent service hide the Arizona LLC owner?

No. The articles identify every member of a member-managed LLC, or each manager and each member with a 20% or greater capital or profits interest in a manager-managed LLC.

How much is the Arizona LLC filing fee?

The March 2026 ACC fee schedule lists $50 for regular Articles of Organization and $85 for standard expedited processing. Agent service, newspaper publication where required and other expenses are separate.

Do Arizona LLCs file an annual report?

No ACC annual report is required for an LLC. Keep the record current and monitor notices, including updates on the announced LLC Attestation of Existence. Tax returns and licences are separate.

What changed for online filing in 2026?

Arizona Business Center replaced eCorp. The ACC introduced online government-ID verification from July 20, 2026. Check the current accepted documents and filing access before relying on a completion date.

Can I get an EIN without an SSN or ITIN?

Eligible international applicants can use the IRS Form SS-4 routes and responsible-party instructions. The EIN application is free from the IRS and separate from Arizona company formation.
