Utah · A guide for founders abroad
Forming an LLC in Utah from outside the United States.
You can generally own a Utah LLC from abroad. Check the low published fees alongside the October 2026 reporting-law changes, actual disclosure fields and nonresident tax duties.
Checked against the official state, IRS and FinCEN sources below. BaseAcross files in Wyoming and Delaware. We do not form Utah LLCs; this guide helps you assess Utah and follow its official filing route.

Does Utah fit?
Low registry fees do not settle the state choice
An overseas founder can generally own an ordinary Utah LLC. A Utah-based operation may have a practical reason to form there; a remote founder should compare activity-based registration, tax and administration before choosing solely on the $59 formation price.
Ownership does not require a US business partner in the ordinary case, but it does not grant immigration permission, eliminate industry restrictions or ensure account approval. A new domestic Utah LLC and an existing foreign entity registering in Utah use different legal routes.
There is an unusually important timing issue for this guide: Utah moved general entity administration into a new chapter effective October 1, 2026. Some agency explanatory pages still cite the repealed LLC reporting section. The current law and the company’s live filing record deserve priority over an older walkthrough.
Published fee scope
The $18 renewal already includes the stated $5 surcharge
The fee schedule currently linked by the Division lists $59 for ordinary LLC formation and $18 for annual renewal. Its renewal footnote includes the $5 State Single Sign-On portal surcharge in that amount. Do not add another $5 and present $23 as the ordinary renewal total on this evidence.
The linked document is labelled FY2026, effective July 1, 2025. We have not treated that label as proof of a newer FY2027 schedule. Confirm the current payable amount in the official workflow, particularly during the October 2026 administrative-law transition.
A current-rate five-year illustration is $131: $59 plus four $18 renewals. That assumes the first renewal occurs in the following year and rates remain unchanged. Agent arrangements, taxes, licences and professional support are outside this registry subtotal.
Costs and worked example
What does a Utah LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The currently linked schedule is labelled FY2026. Confirm any newer schedule and the live payable amount.
Do not add the stated $5 renewal SSO surcharge a second time.
Annual-role disclosure mapping could not be verified in the live LLC renewal screen. Confirm it with the Division before relying on privacy claims.

Formation sequence
Use the current Division route and keep authority to manage it
Check the legal name and relevant LLC designation through the Division. Review licensing or professional-entity restrictions before submitting an ordinary certificate. A state name search does not establish trademark rights.
Arrange a qualifying registered agent and Utah service address, obtain the appropriate consent and distinguish this from the principal office and general correspondence address. An overseas owner should confirm who will receive time-sensitive legal notices and how they will reach the owner.
Follow the current Division filing route to prepare the certificate of organization, enter the required entity, agent and office information, sign in the correct capacity and pay the actual charge. Retain the accepted document, entity number and account access rather than relying only on a payment receipt.
The Division also has a filing-authority process for controlling who can make online changes. Decide who will hold and maintain that authority if a third-party organiser files for you. Record the members, contributions, management and signing powers in an operating agreement even when a formation field is optional.
October 2026 change
Use the replacement annual-report law, not repealed §48-3a-212
The former LLC annual-report provision, §48-3a-212, was repealed on October 1, 2026. Annual reporting now appears in §16-1a-212. Under its default rule, reporting falls on the last day of the anniversary month, unless a Division rule specifies a different date; the law permits filing within the preceding 60 days.
The Division’s existing renewal guidance describes a first renewal one year after registration. For an October 2026 formation, plan for the 2027 renewal cycle and confirm the first due date on the actual record. Do not infer from an old anniversary-day instruction that a different day automatically overrides the replacement law.
Use the live record and updated Division instructions together. Save the accepted report and payment confirmation and keep the principal office, agent and relevant reported roles current. An automated reminder is useful, but an absent reminder is not proof that no renewal is due.
Public disclosure
The new law makes old one-person privacy claims unreliable
Older Division LLC guidance says the annual renewal identifies at least one governing person, but cites the now-repealed section. The replacement provision describes director and principal-officer fields. We could not verify how the live LLC renewal screen maps those roles for every management structure during this transition.
Accordingly, do not rely on either “all owners must be listed” or “no owners will ever appear” as a blanket current rule. Confirm the applicable LLC role fields with the Division before filing. Public agent, organiser, office and voluntarily supplied role information can still identify people.
Banks and the IRS apply separate ownership and control requirements. A private operating agreement remains essential for documenting actual ownership; selecting a particular public filing structure does not authorise concealing an owner from a bank or tax filing.
Utah-source income
Nonresident partners can create entity-level withholding work
Utah obligations depend on activity, source of income and federal classification. The absence of a broad annual registry tax is not a conclusion that a foreign-owned business owes no Utah tax. A corporation election, sales activity or employees can create a different compliance path.
The current published TC-65 instructions explain partnership filing requirements and exceptions. A partnership LLC with a nonresident owner should not assume the resident-individual-only exception applies. Review the actual return year and Utah income allocation with an adviser.
The Tax Commission separately describes pass-through withholding for relevant nonresident individual and entity owners. Waivers and exceptions have conditions; a foreign mailing address does not waive withholding automatically. Check whether owner returns are also needed and which payments receive credit.
Keep the $18 Division renewal separate from TC-65, pass-through withholding, sales/use registration and employer work. Use the rates and forms for the actual tax year rather than copying an older guide’s tax percentage.
EIN and foreign-owner filings
A small renewal fee says nothing about IRS reporting
Apply for an EIN once the Utah entity exists. The IRS application itself is free. An international responsible party who cannot use the online tool should use the current SS-4 instructions and applicable international channel; follow the permitted entry for a person who lacks and is ineligible for an SSN or ITIN.
For a wholly foreign-owned US disregarded single-member LLC, owner contributions or distributions can trigger Form 5472 with a pro forma Form 1120 even when the business has no sales. The initial filing failure penalty is $25,000. A default partnership or corporate election changes the federal return analysis.
Under current FinCEN guidance, a US-created Utah LLC is exempt from BOI reporting, including where its owner lives abroad. The analysis differs for a company created outside the US and then registered in Utah. State public reporting, federal tax disclosures and BOI are separate systems; recheck each applicable rule when acting.
Opening accounts remotely
Verify the operating-address story before applying
Prepare accepted formation documents, EIN confirmation, the operating agreement and an accurate ownership chart. Providers may ask for passports, residential-address evidence, proof of business activity, expected countries and transaction volumes, and contracts or a website.
Ask whether the provider supports your actual country, industry and remote opening. A registered-agent service is not automatically an accepted operating address. The $131 registry illustration cannot predict whether an account will be approved, whether an in-person visit is necessary or what banking fees will apply.
Renewal and exit
Keep the filing authority, agent and final accounts under control
Monitor access to the Division account and filing authority when a founder or service provider changes. Renew the agent arrangement separately and confirm that a paid agent invoice has not been mistaken for the state renewal receipt.
The new administration chapter provides a notice-and-cure process for report noncompliance and administrative dissolution. Do not treat a late fee as permission to ignore notices or assume a missed report immediately ends every obligation. Confirm current reinstatement instructions if the entity is already delinquent.
When closing, follow the current Division dissolution route, settle applicable state tax accounts and complete final federal and home-country work. Abandoning the portal account or stopping payments is not a reliable closure method.
Questions
Questions about a Utah LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can I form a Utah LLC while living abroad?
Generally yes for an ordinary LLC, subject to activity and other restrictions. You need a qualifying agent, accurate formation information and separate tax and banking planning.
Is the Utah annual renewal $18 or $23?
The currently linked official fee schedule lists $18 and says the stated $5 State Single Sign-On surcharge is included. Adding it again would double count it. Confirm the live payable amount and any updated schedule.
What changed for Utah LLC reporting on October 1, 2026?
The former §48-3a-212 was repealed. The replacement §16-1a-212 uses a default anniversary-month-end reporting rule, subject to Division rules. Check the actual record and updated implementation.
Must my name appear on the Utah renewal?
Do not assume a universal answer during the transition. Older agency guidance cites a repealed one-governing-person provision; the replacement law describes director and principal-officer fields. Confirm the applicable LLC fields with the Division.
When is the first renewal for an October 2026 Utah LLC?
Existing Division guidance describes the first renewal one year after registration. Plan the 2027 cycle, applying the replacement anniversary-month-end rule unless a Division rule provides otherwise, and verify the actual record.
Does the $131 five-year figure include tax?
No. It is $59 formation plus four $18 renewals at the currently published rates, assuming first renewal in the following year. Agents, applicable taxes, licences and support are extra.
Can a Utah partnership LLC ignore nonresident withholding?
No. Review TC-65 and the pass-through withholding rules for the actual owners and Utah income. Exceptions and waivers have conditions; foreign residence alone does not remove the obligation.
