Massachusetts · A guide for founders abroad

Forming an LLC in Massachusetts from outside the United States.

Massachusetts costs $520 online or $500 on paper, with the same fees for annual reports. Plan the local records office, public managers and authorised signers, anniversary deadlines and nonresident tax work before filing from abroad.

Choose one consistent filing channel

Massachusetts charges $520 online or $500 on paper for ordinary formation.

An overseas founder can generally own a Massachusetts LLC. The ordinary certificate has a $500 base fee. The official fee schedule adds a $20 expedited charge for electronic and fax filings, giving $520; the same channel difference applies to the ordinary annual report.

The payment instructions explain that online/fax filing and expedited fees are authorised separately, and both must be authorised for the payment to proceed. The electronic $20 charge is part of that channel's filing process, not another optional speed upgrade you can omit while keeping the same online route.

Compare $520 online formation with $520 online reports, or $500 paper formation with $500 paper reports. A comparison that quietly starts with the paper formation fee and then uses online renewals hides the filing choice. Agent service, the local records-office arrangement, tax work and licences are additional costs.

An office requirement beyond legal notices

The certificate asks where records will be maintained in Massachusetts.

The Corporations Division requires the street address of an office in the Commonwealth where the LLC's records will be maintained. It separately asks for the resident agent's name, business address and consent. An overseas founder must plan both functions before submitting.

Confirm whether a provider actually offers the records-office arrangement and authorises the address for the specific statutory purpose. A registered-agent subscription alone should not be assumed to include records custody, ordinary mail, a lease, a place to operate or a banking-eligible address.

Set a process for maintaining and accessing company records, including the operating agreement, member contributions and signer authority. Use the actual address and service agreement rather than treating every address field as a forwarding-mailbox field.

What does a Massachusetts LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

  1. A certificate with authority details

Prepare the agent consent, managers and authorised filing signers.

The ordinary Massachusetts document is the Certificate of Organization. A US-created Massachusetts LLC is domestic even if its member is abroad. An existing company formed elsewhere should assess foreign registration rather than automatically creating a second company.

    Massachusetts ordinary LLC formation sequence
    1. Name and business

Check a distinguishable name with a permitted LLC identifier and describe the general character of business.

    2. Massachusetts records office

Provide the actual Commonwealth street office where the company's records will be maintained.

    3. Resident agent consent

Obtain the eligible local agent's consent on or attached to the certificate.

    4. Management and signers

List each manager where applicable and additional authorised filing signers; name at least one authorised person if there are no managers.

    5. File and confirm

Execute the certificate, choose $520 electronic or $500 paper filing, and preserve the approved record and receipt.

The certificate asks for an EIN if available. That wording does not require inventing one or postponing every formation until an EIN arrives. Professional-service LLCs have additional licensing and regulatory-board requirements.
  2. Ownership and authority are different fields

Managers and filing signers appear publicly even when passive members are not all listed.

The certificate names each manager, if there are managers, and any additional person authorised to execute filings with the Corporations Division, with business addresses as required. If there are no managers, at least one authorised person must be named. A sole member who manages or signs should expect relevant personal details to appear.

The form also allows identification of people authorised to execute recordable instruments affecting real property. That optional authority entry is not a request for a complete list of all passive owners. Avoid translating the manager/signer fields into an inaccurate claim that every member is always listed, or that no owners can be identified.

An external organiser's signature does not replace the required management and authority information. Keep true beneficial ownership and signing powers in the internal agreement, and expect bank and tax due diligence to request more than the ordinary public record.

  3. Use the actual date, not a spring deadline

    A company formed October 17, 2026 first reports by October 17, 2027.

The annual report is due on or before the anniversary date of organisation. The first ordinary annual report follows in the next year. A company formed October 17, 2026 should therefore calendar October 17, 2027, then the same anniversary each year; it does not use a universal March 31 deadline.

The report repeats the required current company, office, agent, management and authority information. Use the official electronic route or paper form and budget $520 online or $500 paper. File even if the ordinary company had little or no activity; do not infer a smaller fee from a low bank balance.

Set reminders before the anniversary, give a named person access to the filing credentials and save proof of acceptance. For a 2026 formation through the end of 2030, four ordinary annual reports fall in the five-calendar-year example.

  4. Keep authority current between anniversaries

A change of manager or authorised signer can require an amendment now.

The Division's LLC guidance says the certificate must be amended to reflect designation or changes of managers, authorised signatories and other required certificate information. A manager or member aware of a material false statement or change must address it promptly. Do not assume next year's report is always the correct way to update authority.

The fee schedule distinguishes amendments, agent/office changes, reinstatement and cancellation, with different paper and electronic charges. Check the actual filing required before paying; the annual-report fee is not a universal payment covering all corporate actions.

If you close the company, arrange winding up, final returns and the appropriate cancellation rather than simply missing reports. The published schedule requires good standing before cancellation and identifies outstanding reports in the reinstatement process. Preserve final creditor and distribution records as well as state approval.

  5. The certificate and EIN serve different purposes

The IRS's international instructions matter more than having a US agent address.

After the company identity is settled, apply for the free EIN using the approved legal name and the responsible party who actually controls it. Where that party lacks an SSN or ITIN and is ineligible for either, follow SS-4 line 7b's foreign or N/A instructions.

Follow the applicable international phone, fax or mail route. A Massachusetts records office or agent address by itself does not establish that the business meets the IRS online assistant's location and responsible-party requirements. Keep the EIN confirmation with the approved certificate and operating agreement.

Bank onboarding remains a separate assessment of country, business, ownership and operating-address evidence. Check eligibility before relying on a product; neither the Massachusetts certificate nor EIN guarantees an account, immigration status or permission to work in the US.

  6. A pass-through return is still a filing

Form 3, nonresident withholding and an elective excise are separate duties.

Massachusetts Revenue treats classification and the company's Massachusetts activity as central to its return obligations. A partnership-taxed LLC may need Form 3 and member schedules. The Department notes that an informational partnership return can carry late-filing penalties even where no tax payment is made with Form 3 itself.

The published Form 3 instructions describe withholding obligations for nonresident partners or members and the certifications affecting how those obligations are met. Eligible nonresidents may have a composite-return option. Do not interpret pass-through treatment as a promise of no state-level compliance or no tax on Massachusetts-source income.

Eligible entities may separately elect the pass-through entity excise and file the associated return. A disregarded single-owner LLC or a corporate tax election has a different analysis. Confirm the applicable tax year, eligible member types, sourcing, estimates and credits rather than assigning every LLC the same form or tax rate.

The linked annual instructions are for tax year 2025, the published set checked here. Recheck the 2026 final forms when available. Sales, payroll, local licences and the owner's home-country treatment remain outside the Corporations Division annual report.

  7. Keep owner transfers visible in the books

A foreign-owned single-member LLC can have a federal return before it earns profit.

A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner contributions, distributions and related-party payments can create reporting even in a pre-revenue year. The initial penalty for a missing, late or substantially incomplete required form is $25,000.

Choose a tax preparer and record funding, reimbursed costs, dates, counterparties and currency treatment from the start. Multiple-member ownership and corporate elections change the federal return analysis; the state certificate does not decide every federal tax result.

FinCEN currently exempts US-created entities from BOI reporting. It does not waive the IRS filing, Massachusetts public management details or banks' beneficial-owner checks. A non-US company seeking Massachusetts registration needs its own BOI analysis.

  8. Keep the arithmetic consistent

Five-calendar-year registry fees are $2,600 online or $2,500 on paper.

For a formation in 2026 kept through the 2030 calendar year, online formation plus four online annual reports is five $520 filings, or $2,600. Using paper for each filing makes five $500 payments, or $2,500. A later fifth anniversary creates another report outside that stated calendar-year example.

These figures are registry fees only. They exclude the Massachusetts records-office arrangement, resident agent, document drafting, tax preparation and tax liabilities, permits and amendments. Changing channels later changes the total; it should be an explicit choice rather than a hidden assumption.

A bank's ownership or address checks are not a special discount attached to paying a higher state fee. Consider actual local operations and contractual needs before choosing Massachusetts for a company run abroad.

  9. Assess the business reason for Massachusetts

Local operations can justify the state; a remote founder should understand the continuing commitments.

A business with Massachusetts activity may need local registration and taxes even if initially formed in Wyoming or Delaware. Compare domestic formation against foreign registration using the real operation, licences and contracts. A different formation state does not automatically remove Massachusetts obligations.

For a business run wholly abroad, consider why the Massachusetts records office, public authority disclosures and $500/$520 annual filing are useful for your situation. This guide does not claim that the state gives a universal banking advantage or that every overseas founder should reject it.

Questions

Questions about a Massachusetts LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a non-US resident own a Massachusetts LLC?

Generally, yes. Plan an eligible resident agent, a Massachusetts office where records will be maintained, accurate public manager/signer details and ongoing state and federal compliance. Professional services need additional review.

Is Massachusetts LLC formation $500 or $520?

$500 is the ordinary paper fee. Electronic and fax filing add the official $20 expedited charge, totalling $520. The same $500/$520 distinction applies to the ordinary annual report.

Can I use the resident agent address automatically as the records office?

Do not assume so. The certificate separately requires a Commonwealth street office where records will be maintained and a consenting resident agent. Confirm that your provider supplies and authorises both roles.

Does Massachusetts list every LLC member publicly?

The ordinary certificate requires managers and authorised filing signers rather than a complete passive-member list. At least one authorised person must be named if there are no managers. A member who manages or signs can therefore appear publicly.

When is the first report for an LLC formed October 17, 2026?

By October 17, 2027, its first formation anniversary. Later reports follow the same anniversary rule. Massachusetts ordinary LLC reports do not share a universal March 31 filing deadline.

What does the $2,600 Massachusetts five-year example include?

A 2026 formation and four annual reports through the 2030 calendar year, each filed online at $520. Using paper for all five filings gives $2,500. Agent service, records office, taxes, professional work and a later fifth-anniversary report are excluded.

Does pass-through treatment eliminate Massachusetts tax filings?

No. A partnership-taxed LLC may need Form 3, member schedules and nonresident withholding; an eligible PTE excise election is separate. A disregarded sole-owner LLC or corporate election requires a different review based on activity and sourcing.
