Maine · A guide for founders abroad

Forming an LLC in Maine from outside the United States.

Maine's $175 paper certificate is only one formation requirement: an LLC agreement must also exist. Plan agent consent, delivery, the $85 June report and nonresident tax work before filing from abroad.

Plan the delivery route first

Maine's $175 certificate uses a paper formation process.

An overseas founder can generally own a Maine LLC. The current SOS forms page directs filers to complete, print and mail MLLC-6 with payment. Do not confuse its online annual-report service with an online questionnaire that forms a new ordinary domestic LLC.

The base certificate fee is $175. The current form's cover letter offers next-business-day handling for an additional $50 or same-business-day handling for an additional $100. Those are alternative special-handling choices, not two fees to add together.

When checked on October 17, the forms page displayed a 40–55-business-day standard corporate-filing processing notice. Recheck the queue before planning a launch or paying for supporting services. A certificate's effective date, state processing, postal transit, EIN and bank onboarding are separate parts of the timeline.

There is a second formation requirement

Maine law requires an LLC agreement as well as the filed certificate.

Section 1531 requires an LLC agreement to be entered into or otherwise exist, alongside execution and filing of the certificate. The law allows the agreement before, at or after filing. Do not treat the certificate alone as the complete internal foundation of the company.

Put ownership, contributions, decision-making, signer authority, distributions, transfers and winding up into a durable written agreement suitable for your actual arrangement. A generic two-owner template does not automatically fit a sole foreign owner, an overseas parent company or a regulated profession.

MLLC-6's optional statement-of-authority exhibit serves a different purpose. It can make authority information part of the public filing; it is not the same as the private agreement or a substitute for it. Include additional public provisions only deliberately.

What does a Maine LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

The calculator keeps mutually exclusive handling choices separate and excludes future annual-report fees. Recheck the current queue and use the correct delivery address; speed options do not include postal transit or an EIN.

  1. The certificate and cover letter

Confirm agent consent, sign the certificate and use the correct delivery address.

Download MLLC-6 from the current forms page, not a third-party cached version. A new Maine company is domestic regardless of its owner's nationality; the separate foreign-qualification form is for a company formed elsewhere.

    Maine domestic LLC formation sequence
    1. Name and special status

Choose a permitted distinguishable LLC name; select professional or low-profit status only if qualified.

    2. Effective date and agent

Choose the intended filing/effective date; identify the commercial agent and CRA number or the noncommercial agent and physical address.

    3. Consent and execution

Confirm the appointed agent consented and obtain the authorised person's original written signature, name and title.

    4. Cover letter and payment

Provide contact and reminder emails, the attested-copy return address and $175 plus one special-handling charge if selected.

    5. Delivery and approval

Use the package's USPS or courier address as appropriate; track delivery and obtain the approved attested copy and state charter number.

The cover letter distinguishes the State House Station mailing address from the physical FedEx/UPS address. Courier transit is not included in the state's expedited-processing period.
  2. Limited owner listing is not anonymity

The annual report needs at least one member, manager or other authorised person.

The ordinary certificate does not request a complete list of LLC owners. It still contains the registered-agent appointment and the authorised signer's name, title and signature, and any additional provisions or authority exhibit you choose to file.

Section 1665 requires the annual report to give the principal office, a brief description of actual business in Maine, registered-agent information and the name and address of at least one member, manager or other authorised person. That last option means an owner need not always be the named contact, but an accurate authorised contact is still required.

Keep the full membership and control records internally. Banks, tax agencies and other authorities can ask for those records even where the ordinary public certificate does not list every member. Avoid describing the company as anonymous or promising that an agent prevents any personal detail from appearing.

  3. The first report can arrive quickly

A December 2026 Maine LLC first reports by June 1, 2027.

The statutory annual window is January 1 through June 1, starting in the calendar year after formation. The domestic LLC fee is $85. A company formed near the end of 2026 therefore reports in 2027 rather than waiting until its first anniversary.

Use Annual Reports Online or obtain the official preprinted paper report. The online service offers a nonsubscriber route; a paid subscriber account should not be assumed necessary just to file one company's report. Verify the company's charter number and retain confirmation.

For paper filings near June 1, the SOS warns about USPS postmark changes. Its guidance recommends a manual postmark or registered/certified-mail or certificate-of-mailing evidence. An overseas postmark or placing a package in transit should not be assumed to satisfy the specific US-mail evidence rule; allow time for delivery and confirm the actual instructions.

  4. Maine-source income needs a tax plan

Form 941P-ME withholding is separate from employee payroll and the SOS report.

Maine Revenue's pass-through withholding FAQ, with April and August 2026 updates, explains Form 941P-ME for nonresident members' Maine-source income. A partnership-taxed LLC with relevant activity needs to assess that duty and any exemption; the $85 annual registry payment does not cover it.

The FAQ distinguishes member withholding from employee withholding. A business can have obligations in both systems. It also requires electronic Form 941P-ME filing for entities subject to the withholding requirement, through the Maine Tax Portal or an applicable e-file channel.

Composite-return arrangements and member exemptions have conditions and documentation, including agreements where required. Check the actual ownership, income sourcing and current-year instructions rather than treating foreign residence as an automatic waiver. A disregarded single-member LLC or corporate election requires its own classification analysis.

A withholding exemption does not always remove Form 941P-ME filing. The FAQ says some exempt members must still be listed on Schedule 3P, and its loss-year example also retains an annual return. Distinguish no payment from no filing when assigning the preparer's scope.

Sales, payroll, professional licences and municipal requirements depend on activity. Home-country tax treatment may differ from US treatment; forming a Maine entity does not settle where the profits or owner are taxable.

  5. Do not apply using an unapproved name

Obtain the EIN after the filing identity is settled, then prepare separately for banking.

Use the approved legal name and actual responsible party on the free IRS EIN application. Follow the international SS-4 instructions appropriate to the business's location and facts. For an eligible foreign responsible-party case without an SSN or ITIN, line 7b permits the instructed foreign or N/A entry.

The ability to file a Maine annual report online does not imply eligibility for the IRS online EIN tool. A registered-agent address alone is also not enough. Keep the IRS letter, attested certificate, LLC agreement and ownership records for later applications.

Banks assess residency, country, industry, operating address and beneficial owners independently. No evidence here establishes that banks prefer or penalise a Maine LLC because another state is more familiar. Company formation and bank approval are different decisions, and LLC ownership does not confer US immigration status.

  6. Keep records before revenue begins

Funding a foreign-owned disregarded LLC can be a reportable transaction.

A foreign-owned US disregarded LLC generally files Form 5472 with a pro forma Form 1120 when it has reportable related-party transactions. Contributions, distributions and expenses paid by the owner can matter even before the business makes a sale. The initial penalty for failing to file a required form properly and on time is $25,000.

An LLC with multiple owners or a corporate election follows a different federal analysis. Assign a preparer and maintain transaction records instead of assuming that no Maine-source income means no federal reporting.

FinCEN currently exempts entities created in the US from BOI reporting. That exemption does not remove tax returns, the Maine annual contact disclosure or bank identification. A non-US entity seeking Maine foreign qualification has a different reporting analysis.

  7. Maine has a specific inactive-company process

A certificate of excuse has conditions; inactivity alone does not suspend reports.

Section 1665 provides a certificate-of-excuse process where the LLC has ceased transacting business and has no relevant unpaid state fees or penalties. Once properly excused, it is relieved of annual reporting while it actually transacts no business. The statute also addresses resumption and name protection.

The current fee table lists $40 for the certificate of excuse, $100 for resumption and $75 for a certificate of cancellation. These are distinct filings with different consequences, not interchangeable ways to erase past obligations.

Before pausing or closing, confirm eligibility, resolve outstanding reports, wind up where required and handle state/federal final returns and owner distributions. Do not assume loss of sales, a missed report or ending agent service means the company is properly excused or cancelled.

  8. Compare costs and practical logistics

The Maine decision includes paper delivery, internal agreement and annual support.

An ordinary LLC formed by 1 June has four $85 reports in its first five years, so $515 in base registry fees. One formed after 1 June has five: $600. Adding next-business-day formation handling makes $565 or $650; same-business-day handling makes $615 or $700. Delivery, an agent, document preparation and taxes are extra.

Maine may fit a local business, property or another concrete commercial reason. A company formed in another state can still need Maine qualification and taxes for Maine activity. For a business managed abroad, evaluate the actual cost and filing logistics instead of assuming a lower-fee state automatically solves every operational requirement.

Questions

Questions about a Maine LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can I form a Maine LLC without living in the United States?

Generally, yes. Arrange a compliant Maine registered agent, a signed paper certificate, the required LLC agreement and ongoing reporting. Professional activities and tax classification need their own review.

Can I form a Maine LLC through the online annual-report portal?

The current formation instructions direct filers to print and mail MLLC-6. Annual Reports Online is a separate service for existing entities. Use the current official forms page to confirm the available formation route.

Does Maine require an operating agreement?

Section 1531 requires an LLC agreement to be entered into or otherwise exist. It may be made before, at or after filing. Keep a written agreement fitted to the actual owners and management; the public certificate alone is not the internal agreement.

Does the Maine public record list every LLC owner?

The ordinary certificate does not require a full owner list. The annual report names at least one member, manager or other authorised person and an address. The agent, signer, company address and optional public exhibits can still identify people.

When does a Maine LLC formed in December 2026 first report?

In the January 1–June 1, 2027 window, with an $85 domestic LLC report fee. The first deadline follows the next calendar year, not the company's anniversary.

How much does Maine expedited formation cost?

The $175 certificate plus $50 next-business-day handling totals $225. Same-business-day handling adds $100 instead, totalling $275. These are alternative service levels; postal transit and other setup work are separate.

Can I stop filing reports because the Maine LLC is inactive?

Inactivity alone does not suspend reporting. Section 1665 provides a certificate-of-excuse process with conditions; cancellation is different. Resolve outstanding duties and tax accounts before assuming the company is paused or closed.
