Georgia · A guide for founders abroad
Forming an LLC in Georgia from outside the United States.
Georgia's current filing-agency totals include service charges: $110 to form and $60 to register each year. Compare the filing routes, April deadline, local-agent appointment and overseas-owner tax work before submitting.
Checked against the official state, IRS and FinCEN sources below. BaseAcross files in Wyoming and Delaware. We do not form Georgia LLCs; this guide helps you assess Georgia and follow its official filing route.
Current SOS totals include the $10 service charge; the lower figures on the general state portal are explained below.Official fees and forms
Start with the current agency totals
Budget $110 formation and $60 registration, including the service charges.
The Georgia Secretary of State's current LLC procedure quotes $110 for online formation: $100 filing fee plus $10 service charge. It quotes $60 for annual registration: $50 plus $10. The separate annual-registration fee table also lists $60 for LLCs online and on paper.
The general Georgia.gov guide still lists $100 for online formation and lower expedite figures. This guide uses the filing agency's more specific current totals, and keeps the discrepancy visible rather than presenting the base statutory fee as the full payable amount. Confirm the actual eCorp checkout before submitting.
A founder abroad can generally own a US LLC. The practical questions are the Georgia agent, actual operations, public filing roles and tax responsibilities. State formation alone does not provide immigration permission, a trading licence or guaranteed banking.
Three routes, different preparation
Guided online filing is different from uploading paper articles online.
In the guided eCorp route, choose Create or Register a Business and Domestic Limited Liability Company; the system generates the articles after approval. That route does not accept uploaded custom articles. If you need prepared provisions, use the separate Submit Paper Filing Online option and upload drafted articles.
For mail, the agency instructs filers to provide articles and the LLC transmittal form, with payment. Its current procedure lists $110 for each standard route, but different ordinary processing estimates. An online upload is not necessarily processed as quickly as the guided online form.
The ordinary estimates on the agency page are approximately seven business days guided online, ten to fourteen for paper uploaded online and fifteen for mail after receipt, subject to workload. Use current conditions and retain approval rather than treating those estimates as a guarantee.
Costs and worked example
What does a Georgia LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
Do not drop the service charge when comparing with a guide quoting only the base fee. Verify the payable amount and selected priority in eCorp; all fees are subject to current agency rules.
Prepare the company filing
Gather the organiser, filer, agent and principal-office details before eCorp.
Use the new domestic LLC route only for an entity being created in Georgia. A company already formed in another US state or country needs a foreign-qualification review, not automatic duplication.
Georgia formation preparation Name
Check a distinguishable permitted LLC name or use a valid reservation number if you already reserved it.
People and addresses
Prepare filer and organiser names/addresses, a monitored email, principal-office mailing address and local agent details.
Articles route
Choose generated online articles or the separate prepared-paper upload/mail route; decide on optional provisions in advance.
Payment and approval
Pay the current $110 total and selected service, then save the approved Certificate of Organization and control number.
Ongoing administration
Prepare the operating agreement, ownership ledger, EIN application and first annual-registration calendar.
Formation fees are non-refundable under the agency instructions. Review the name, contact information and route before paying, rather than assuming a correction will be free.Public roles are not an ownership ledger
Georgia does not list LLC members, but a founder can still appear as organiser or filer.
The SOS FAQ says LLC members and managers are not listed with the Corporations Division and cannot be changed there as if they were corporate officers. The formation procedure nevertheless asks for the organiser, filer, agent and office information. If the owner supplies their own details in those roles, they can appear in the filing record.
The registered agent must be located in Georgia with a physical street address where an individual can be found for service. The LLC cannot be its own registered agent. Arrange consent, forwarding abroad and renewal; a principal-office mailing address and legal-notice location serve different purposes.
Keep a signed operating agreement and internal ownership/authority record even though the state does not maintain the member list. Banks and tax authorities may require the actual beneficial owners and operating address, and hiring an organiser does not remove those checks.
Price one processing choice
State priority is additional to formation and does not accelerate the IRS or bank.
The current SOS LLC procedure lists a two-business-day option at $120 additional and same-business-day processing at $275 additional when submitted before noon on a business day. Mail and other service tiers have their own terms. Check availability, cutoff and the correct route before relying on a deadline.
With the $110 standard formation total, the two-day example is $230 and the same-day example is $385. These are alternative priorities, not two charges to stack on one order. The calculator selects one priority at a time.
An expedite concerns the agency's filing service. Agent onboarding, EIN issuance, bank verification, licence review and correction of a deficient submission can still take additional time. Promise a launch date only after those dependencies are addressed.
January 1 through April 1
The first annual registration is in the next calendar year.
For an LLC formed in 2026, the first registration is due between January 1 and April 1, 2027 under the current rule. This applies even to a December formation; it is not an anniversary-date renewal. The current agency total is $60 for each year.
Georgia permits registration for up to three calendar years in advance. If you prepay multiple years, track which years were actually filed and keep the agent and office information current; prepayment does not mean future address changes will happen automatically.
The registration updates the principal office and agent record. A change after that year's registration may need an amended annual registration, currently $30 in the agency table. It is not a filing that replaces the private ownership ledger or a tax return.
Maintain or end the entity deliberately
Late registration, reinstatement and voluntary termination are different tasks.
The current fee table lists a $25 late-registration penalty, so a $60 registration with that penalty totals $85 before other outstanding charges. Failure to register can lead to administrative dissolution. Check the actual entity status and due years before paying.
The SOS procedure describes reinstatement within five years of administrative dissolution and a $260 reinstatement filing charge. Outstanding registrations and other amounts can affect the account; do not treat the ordinary $60 registration as a complete reinstatement quote.
If the venture is ending instead, follow the appropriate LLC termination or foreign withdrawal procedure and complete tax-account and final-return work. Letting eCorp access lapse, closing a bank account or abandoning agent service is not a substitute for settling the company's obligations.
A separate federal identity
Georgia's control number is not the EIN, and foreign-owner applications need the correct route.
The SOS does not issue or maintain EINs. Apply to the IRS using the approved LLC details, tax classification and responsible party. The IRS number is free; any provider assistance is a separate service fee.
International applicants can use the appropriate SS-4 channels. If the responsible party has no SSN or ITIN and is ineligible to obtain one, follow the line 7b foreign or N/A instruction. A Georgia agent address alone does not establish online EIN eligibility.
Retain the eCorp control number, approved formation documents, IRS confirmation, ownership agreement and funding records. Check your intended bank's residence-country, activity and operating-address requirements directly before relying on an account for customer payments.
Separate DOR from the SOS
Georgia-source income can create nonresident-member remittance work.
The Georgia Department of Revenue handles tax registration separately from eCorp formation and annual registration. Review tax classification, Georgia-source activity, employees and taxable sales to determine the required accounts. A $60 SOS payment does not settle them.
For a partnership-classified LLC with nonresident owners, review Georgia's nonresident-member withholding rules, exemptions and composite-return options. DOR lists forms including G-7NRW and partner/member documents. The obligation can concern a member's share of Georgia-source taxable income, not simply whether cash was distributed abroad.
Sales/use-tax registration and city or county operating permissions depend on the actual activity. Also review the owner's home-country treatment of the LLC and distributions. A generic claim that LLCs do not pay taxes is not a filing analysis for an overseas-owned business or a corporate election.

The first owner transfer can matter for information returns.
A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Contributions and distributions can be reportable before trading. A missing, late or substantially incomplete required filing can trigger a $25,000 penalty; assign responsibility and keep the transaction history from day one.
An LLC with multiple members or corporate tax treatment needs a different federal return review. FinCEN's current exemption for US-created entities removes CTA BOI reporting for those entities, but not IRS filings, bank identity checks or Georgia records. An existing non-US entity registering in Georgia is a separate BOI case.
Compare complete state charges
Use Georgia's actual fees and business connections in the decision.
The current five-year base is $110 formation plus four $60 registrations, or $350, for an LLC formed by 1 April, rather than the $300 example produced by omitting service charges. One formed after 1 April has five registrations inside five years: $410. Add agent service, tax work, licences and optional filings for the real operating budget.
Georgia may fit a business with staff, premises or other operations there. An LLC formed elsewhere can still need Georgia qualification and taxes. For a business run entirely abroad, compare service support and provider requirements without assuming banks prefer a particular state.
BaseAcross offers formation in Wyoming and Delaware. If Georgia fits your business, use eCorp's official route or a Georgia provider. Our alternative-state offer does not provide Georgia formation or remove Georgia duties created by your activity.

Georgia: $110 formation + four $60 registrations = $350 over five years under current fees and next-year reporting, for an LLC formed by 1 April. One formed after 1 April has a fifth registration inside five years: $410. Agent service, taxes, licences and professional work are extra. Wyoming includes its $2.40 online formation charge; a state-cost comparison does not establish bank eligibility.
Questions
Questions about a Georgia LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can a non-US resident own a Georgia LLC?
Generally, yes. Prepare an eligible Georgia agent, accurate filing details and the required ongoing administration. Ownership does not guarantee immigration permission, licensing or banking.
Should I budget $100 or $110 for Georgia formation?
The current SOS LLC procedure quotes $110 including a $10 service charge, even for guided online formation. The general Georgia.gov page still lists a lower online figure. Use the filing agency's current instructions and verify checkout.
Is annual registration $50 or $60?
The current SOS procedure and annual-registration table quote $60 for an LLC, including the $10 service charge. The lower $50 is the base fee without that charge.
When is the first annual registration due?
January 1 through April 1 of the year after formation. A December 2026 LLC first registers in that window in 2027, not on its first anniversary.
Can I upload custom articles in the guided online route?
No. The SOS says that route generates the articles. Use the separate Submit Paper Filing Online option if you need to upload prepared articles, and check its processing time.
Does Georgia publish LLC members and managers?
The SOS says it does not list LLC members/managers, but formation still requests organisers, the filer, agent and office information. An owner using personal details in those roles can appear; this is not guaranteed anonymity.
Can I pay three registrations in advance and ignore later changes?
No. The agency permits up to three calendar years of registrations in advance, but the official agent and office record still needs maintenance. A later change may require an amended registration.
