Indiana · A guide for founders abroad

Forming an LLC in Indiana from outside the United States.

Indiana's 2026 address and third-party filing rules deserve attention before using a mailbox or provider from abroad. Understand the online filing baseline, biennial calendar, governing-person record and separate owner-tax work.

Start with the current address rules

Indiana's 2026 remote-business rules need more than a purchased mailing address.

A founder outside the US can generally own a US LLC. Indiana's January 1, 2026 changes clarify principal-office rules and create an option for qualifying entirely remote businesses to exclude an otherwise required residential address from the public record. Confirm how the option applies to your circumstances rather than silently omitting an address.

The same changes require disclosures when a Commercial Mail Receiving Agency address is used. Confirm the provider's compliance and the required address submission with the SOS. A mailbox contract is not automatically a registered-agent appointment or an operating address a bank will accept.

Indiana's filing costs can be modest, but these address choices and ongoing disclosure matter more than a generic privacy slogan. Formation also does not grant US work permission, an operating licence or guaranteed banking.

Separate filing baseline from payment total

A $95 online baseline is not a promise of a $95 checkout.

The published statutory electronic articles fee is $75. The SOS regulatory analysis documents an existing $20 enhanced-access charge for domestic LLC articles. Together they support the $95 online filing baseline used here; the paper articles fee is $100.

Check the current INBiz calculator and the payment screen for the payable total and processing charge. The interactive calculator could not be independently completed during this review, so this guide does not represent a payment-method surcharge as a verified fixed amount or label the subtotal all-inclusive.

For reports, the current INBiz report guide explicitly quotes $32 online and $50 by paper. A separate SOS page still says $31 online. This guide uses the current INBiz published total and makes the discrepancy visible; it does not add a second guessed dollar to the $32.

Costs and worked example

What does an Indiana LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

  1. Use the standard domestic LLC route

File Articles of Organization through INBiz with the address decisions resolved.

The SOS forms directory links standard domestic LLC Articles of Organization, State Form 49459, and the official online filing route. A series/master LLC and an existing foreign entity are different selections; owner nationality does not choose the foreign-registration route.

    Indiana formation preparation
    1. Name and structure

Choose a permitted distinguishable LLC name and standard domestic LLC unless another structure is actually intended.

    2. Office and address disclosures

Prepare accurate principal-office details, any qualifying remote-address option and required CMRA disclosures.

    3. Agent

Appoint an eligible Indiana agent with an Indiana address and an agreed legal-notice forwarding arrangement.

    4. Authority and filing

Prepare authorised signatory, management and duration/effective-date information requested by the current form. Review, then pay the selected filing and actual checkout charges.

    5. Approved record

Retain approved articles, business ID, receipt and account access; separately prepare the operating agreement and owner records.

The current SOS directory also links Required Address Disclosures. Resolve required supplemental information rather than copying an older formation walkthrough that predates 2026.
  2. Formation privacy is not the whole lifecycle

The Business Entity Report can identify a governing person later.

INBiz describes the report's principal-office and agent fields and, depending on entity type, at least one officer or governing person. Its definition includes managers for manager-managed companies and members for member-managed companies. Review the actual report requirements rather than assuming a short formation record promises permanent anonymity.

A registered agent must have an Indiana address; the business cannot serve as its own agent. Arrange forwarding abroad and renewal, and maintain the business email used for notices and change alerts. A registered office, remote contact address and actual business location serve different purposes.

Health care entities within the new statutory definition have additional ownership-reporting requirements under the 2026 changes. A generic LLC privacy summary is not enough for a regulated practice; confirm the classification and required information with an adviser.

  3. Identify the person authorising a report

A provider's identity check does not mean uploading your passport into the public filing.

The 2026 guidance says a person submitting a Business Entity Report for another person must take reasonable steps to identify that person. Arrange the provider's lawful verification process before the report is due.

The agency distinguishes the verification process from filing attachments and warns that sensitive information placed in filings can become public. Do not add identity documents to public articles or a report merely because verification was requested. Follow the current guidance for any agency request.

  4. Two years to the first report

A 2026 Indiana LLC ordinarily first reports in its 2028 anniversary month.

The INBiz guide says the first report is due two years after formation or registration, then every other year. For an LLC formed October 17, 2026, the ordinary first reporting month is October 2028, followed by October 2030. This is different from a next-calendar-year rule.

INBiz describes the anniversary date and says you have through the end of that month before the report is past due. Verify the business record's displayed due date, update the required fields and retain confirmation. The $32 online or $50 paper report is separate from income-tax returns and payments.

Missing reports can cause administrative dissolution or revocation. Use your own calendar and monitored email even when a filing provider sends reminders. For a dormant company, a report requirement can remain despite no current trading.

  5. Do not repeat the old five-year absolute

Indiana now provides a route for some older dissolved entities to seek reinstatement.

The current INBiz report page says a company dissolved or revoked for more than five years may now apply on paper. The 2026 SOS guidance describes an additional notarised affidavit and reason for reinstatement. Older wording that an entity can never be reinstated after five years should not be treated as the complete current rule.

Check the actual status, outstanding reports, tax clearance, name availability and reinstatement procedure. An ordinary report fee does not settle those tasks. If the business is ending, use the appropriate dissolution or withdrawal and complete final tax/account work rather than relying on involuntary dissolution.

  6. The separate federal application

Use the EIN route that matches the responsible party and business location.

The IRS issues the EIN free. Apply using the approved entity name and actual responsible party. Where that person has no SSN or ITIN and is ineligible for either, follow SS-4 line 7b's foreign or N/A instruction and the applicable international application method.

A local registered-agent address alone does not establish online application eligibility. Keep the IRS confirmation separate from the Indiana business ID and DOR tax accounts. Banking also requires its own review of owners, residence countries, activities and actual operating address.

  7. DOR accounts are not SOS reports

Indiana-source partnership income can require composite and withholding work.

The DOR business FAQ describes composite filing for nonresident partners and shareholders, including undistributed income. For a partnership-classified LLC with Indiana-source income, review IT-65, owner schedules and the current composite requirements rather than assuming that paying no cash abroad means no entity remittance.

The nonresident withholding FAQ explains IT-6WTH payments into the appropriate corporate income-tax account and credits reflected through IN K-1. Do not use an old WH-18 procedure or treat employee-payroll withholding as interchangeable with this owner-level work.

The LLC's classification, state activity, tax accounts, employees, taxable sales and local permissions determine the wider obligations. Home-country taxation is separate. Paying the $32 biennial report does not settle those returns or tax liabilities.

  8. Keep the first funding records

A federal BOI exemption does not remove foreign-owner tax reporting.

A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner contributions and distributions can be relevant before customer revenue. A missing, late or substantially incomplete required filing can trigger a $25,000 penalty.

FinCEN currently exempts US-created entities from CTA BOI reporting, including an Indiana LLC owned abroad. State address and report rules, IRS returns and bank identity checks remain separate. Multiple members, a corporate election or registration of an existing foreign entity require a different analysis.

  9. A modest fee is not the whole answer

Compare Indiana's actual obligations with the reason for choosing it.

The baseline five-year example is $95 formation plus two $32 online reports, or $159, before any additional checkout charges. A paper-only example is $100 plus two $50 reports, or $200. Neither covers agent service, tax work, licences or other filings.

Indiana may fit actual operations or another specific requirement. A company formed elsewhere can still face Indiana qualification and taxes. For an entirely overseas business, review the 2026 address process and disclosure lifecycle without relying on an unsupported claim that banks prefer another state's companies.

Questions

Questions about an Indiana LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can I own an Indiana LLC from outside the US?

Generally, yes. Arrange the eligible Indiana agent, accurate address disclosures, authorised filing and ongoing obligations. Formation does not guarantee a visa, work permission, banking or tax exemption.

Is Indiana online formation exactly $95 all-in?

This guide uses a $95 baseline: $75 statutory electronic articles fee plus the $20 enhanced-access amount documented by SOS. Verify payment processing and the actual checkout total. Paper articles have a $100 filing fee.

Why do official pages show $31 and $32 for reports?

The separate SOS report page still says $31 online; the current INBiz report guide explicitly quotes $32 online and $50 paper. This guide uses $32 and directs readers to confirm the payable transaction total.

When does a new Indiana LLC first file its report?

Two years after formation in its anniversary month, then every other year. An October 2026 company ordinarily first reports in October 2028, with the end-of-month past-due rule described by INBiz.

Can a wholly remote company hide its home address automatically?

No. The January 2026 changes provide an option for qualifying remote entities, with address and CMRA disclosures where applicable. Confirm the procedure and eligibility instead of omitting fields or substituting any mailbox address.

Should identity documents be attached to a public report?

Do not attach sensitive ID merely because a third-party filer must identify the authorising person. The SOS distinguishes verification from public filing attachments; follow its current instructions and the provider's lawful process.

Is reinstatement impossible after five years?

The current guidance provides a paper route for certain entities beyond five years, with an additional notarised affidavit and stated reason. Check status, tax clearance and all current requirements rather than relying on older absolute wording.
