Florida · A guide for founders abroad

Forming an LLC in Florida from outside the United States.

Florida allows an overseas principal office, but requires a local agent and careful Sunbiz reporting. Understand the $125 filing, May deadline, public management record and owner-specific tax treatment before starting.

Plan beyond the filing

A Florida LLC from abroad needs a local agent and an annual Sunbiz calendar.

Foreign ownership is generally possible for a US LLC. Florida may fit local operations or another concrete business need, but the $125 formation fee is only the start. The annual report costs $138.75, and the state charges a separate $400 penalty after the May 1 deadline.

Arrange a Florida registered agent and review public management information before submitting. Being allowed to own the LLC does not grant US work permission, replace operating licences or guarantee a bank account. Confirm provider support for your residence country and business activity separately.

If the business already exists in another state or country, assess Florida foreign qualification instead of automatically creating a second LLC. A new Florida entity owned by a person abroad is domestic; the owner's passport does not choose the filing route.

Prepare accurate addresses

Your principal office can be abroad; the agent's service address must be in Florida.

Sunbiz's annual-report instructions expressly support an out-of-country principal-office address through the country and address fields. The principal office must be a physical address; a separate mailing address may be a PO box. Keep the real business location distinct from an agent's legal-notice address.

The registered agent needs a Florida street address and must accept the appointment. The LLC cannot be its own agent, although an eligible associated individual or another entity with an active Florida filing can act. A mailbox alone does not supply the required legal-notice appointment.

For an online filing, typing an agent's name is a legal signature and requires that person's permission. Agree on notice forwarding abroad, renewal and who will monitor the account and email before using the provider's details.

What does a Florida LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

  1. Complete the Sunbiz articles

Review the application before payment; correct mistakes through the proper route.

Use the official Florida LLC filing page and current instructions. Sunbiz also provides a paper form, but the online flow and its acknowledgement are the practical starting point for many founders abroad.

    Florida filing checklist
    DecisionWhat to verify
Company nameSearch for a distinguishable name with an LLC ending. Do not assume it is approved until Sunbiz acknowledges the filing.
Office and agentUse principal and mailing addresses accurately; obtain the Florida agent's acceptance/signature.
Management and authorityDecide who can manage and sign. Review what is optional in articles versus what later reporting and banks require.
Effective dateUse the actual filing date or a permitted specified date; consider the first report year before a year-end filing.
Pay and retain approvalPay $100 articles plus the required $25 agent designation. Save the approved articles, acknowledgement and document number.
The $25 state agent designation charge is required and is not a year's commercial agent service. An uploaded or submitted application is not the approved company record.
  2. The year-end decision

The effective date can affect the first annual-report year.

Sunbiz allows a permitted effective date within the stated limit of five business days before or 90 calendar days after filing. A future date delays the company's effective existence; it is not a way to treat earlier activity as having been performed by an already active LLC.

The state's formation pack explains that a next-calendar-year effective date can move the first report to the year after that. For example, a December 2026 filing approved with a January 1, 2027 effective date would ordinarily first report in 2028. A 2026 effective date ordinarily means a 2027 first report.

Use this only where the actual business start and permitted filing dates support it. Check the approved effective date, not just the payment date, before setting the recurring calendar. Save the state acknowledgement as evidence.

  3. What becomes visible

Optional management details in articles do not eliminate later report disclosure.

The formation instructions treat the initial management/control listing as optional, while noting practical reasons it may be needed. The annual-report statute separately requires at least one person with authority to manage, using the relevant member or manager information and address. Do not sell Florida as anonymous merely because the initial form offers an optional field.

Use accurate titles such as authorised member or manager for the actual arrangement. An organiser, registered agent and beneficial owner can be different people. Review the complete approved articles and annual reports, not just the public summary screen.

Sunbiz makes filed records available for download. Do not add private identification or internal agreements to public attachments without a reason. A foreign-owner bank review can request a fuller ownership file than the state's public filing requires.

  4. January through May

A late report is $538.75, not just another $138.75 renewal.

The normal annual filing window is January 1 through May 1, starting in the year after the applicable formation/effective year. The timely LLC report costs $138.75; after May 1, the $400 penalty makes it $538.75. Sunbiz says there is no provision to waive the late fee simply because a reminder did not arrive.

The report confirms or updates the state record and is required even if nothing changed. It is not an income-tax return. Use the Florida document number, review addresses, agent and authorised-person details, then retain confirmation that it posted.

For check payments, Sunbiz requires its payment voucher and a US-dollar instrument drawn on a US bank; the voucher and payment must be mailed/postmarked under the stated deadline rules. A founder abroad should not assume an overseas bank cheque or late international post will work.

  5. If the report or business stops

September dissolution dates belong to the reporting year you are actually in.

Sunbiz describes administrative dissolution or revocation where the annual report is still missing after its September process: the third Friday is the ordinary filing checkpoint, with action at the close of business on the fourth Friday. Confirm the actual current-year cutoffs and permitted payment method before relying on that description.

The annual page currently lists September 2026 payment dates. Those dates are already past for this guide's October review; they are not a 2027 deadline. A newly formed 2026-effective company normally starts its reporting in 2027. An older entity should check its current status rather than assume it is still active.

Reinstatement is a separate application. The LLC fee schedule lists $100 plus each outstanding annual-report fee. If the venture is ending instead, use voluntary dissolution or withdrawal and complete final tax/account work. Do not assume administrative dissolution settles liabilities.

  6. The tax identifier and pending field

Get the EIN from the IRS and use Sunbiz's actual pending-number procedure.

The IRS issues the EIN free of charge. An eligible international applicant can use SS-4 routes without an SSN or ITIN under the responsible-party instructions. A Florida agent address alone does not establish eligibility for the online EIN tool.

Sunbiz's report help describes Applied For and Not Applicable selections when appropriate; if Applied For was already reported previously, the next filing can require the actual number. Do not invent an EIN to bypass a field, and keep the state record updated when the number arrives.

Retain both the Florida document number and IRS confirmation. For banking, prepare approved articles, the operating agreement, actual ownership records and provider-requested identity/address evidence. Formation plus EIN does not guarantee approval.

  7. Check the owner's legal type

A corporate owner or tax election can change Florida filing obligations.

Florida Revenue distinguishes LLCs taxed as corporations, partnerships and disregarded entities. An LLC taxed as a corporation must consider Florida corporate income/franchise returns. An LLC taxed as a partnership must file F-1065 where one or more owners is a corporation, and the corporate owner can have its own Florida filing duty.

A disregarded single-member LLC generally has no separate Florida corporate return, but a direct or indirect corporate owner can be required to report its income. That matters where an overseas company, rather than an individual founder, owns the LLC. Do not apply an individual-owned LLC summary to every foreign-owned structure.

Sales/use tax, employees, local business-tax receipts and regulated licences need separate review based on activity and location. Paying Sunbiz's annual report does not register those accounts or settle federal and home-country taxes.

  8. Keep funding and filings together

Foreign-owner information returns can be due before profits exist.

For a foreign-owned US disregarded entity with reportable related-party transactions, Form 5472 with a pro forma Form 1120 is generally required. Owner contributions and distributions can count, including startup transfers. A missing, late or substantially incomplete required filing can trigger a $25,000 penalty.

FinCEN's current exemption covers US-created entities for CTA BOI reporting. Older state-page BOI notices are not a substitute for checking FinCEN's current rule. The exemption does not remove federal tax returns, Sunbiz management disclosures or bank identity checks; a non-US entity registering in Florida is a different BOI case.

  9. Budget for the business you will run

Choose Florida for a concrete business reason, with the public record and annual cost understood.

The standard five-year filing example is $125 plus four $138.75 reports, or $680, for an LLC formed by 1 May. One formed after 1 May has five reports inside five years: $818.75. Agent service, taxes, licences, optional copies and professional advice are extra. Missing one May deadline adds $400 on its own.

For Florida operations, direct formation may avoid a second state's maintenance alongside Florida qualification. For operations wholly abroad, compare actual service, disclosure and account requirements; a familiar state name alone is not a bank-acceptance rule.

BaseAcross forms in Wyoming and Delaware. If Florida is the right fit, use Sunbiz's route or a Florida provider. Our offered-state plan is not Florida formation and does not remove Florida duties created by actual activity.

Questions

Questions about a Florida LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a non-US resident own a Florida LLC?

Generally, yes. Arrange an eligible Florida agent, truthful addresses and the required filings. Ownership does not supply a visa, operating licence or guaranteed banking.

Is Florida formation $100 or $125?

The required state total is $125: $100 filing plus $25 registered-agent designation. The latter is a state charge, not a commercial agent's annual service.

How much is the late annual report?

The timely report is $138.75. A $400 late fee after May 1 makes it $538.75. Sunbiz says the late fee is not waived merely because no reminder was received.

Can the principal office be outside the United States?

Sunbiz's report help includes out-of-country address instructions. Use the real physical principal office and separate mailing address; the registered-agent street address still must be in Florida.

Can a next-year effective date change the first report year?

The formation instructions say it can. A permitted December 2026 filing effective January 1, 2027 would ordinarily first report in 2028. Verify the approved effective date and do not act as an effective company before it exists.

Do articles with no management list guarantee anonymity?

No. Initial management information is optional in the formation pack, but annual reporting has its own authorised-person disclosure requirement. Filed records and information you add can be public.

Does every Florida LLC avoid Florida corporate tax returns?

No. Corporate elections and corporate ownership can create returns, including F-1065 for a partnership-classified LLC with a corporate owner. Review the actual structure with Florida Revenue guidance.
