Missouri · A guide for founders abroad

Forming an LLC in Missouri from outside the United States.

Missouri combines a $50 online base filing with no LLC annual report. It still requires an adopted operating agreement, a proper local agent and the tax work appropriate to your owners and activity.

Choose the channel before budgeting

Missouri’s base filing is $50 online or $105 on paper.

An overseas founder can generally own a Missouri LLC. The Secretary of State’s FAQ lists $50 for electronic Articles of Organization and $105 for paper filing. A provider’s package charge and a payment-processing charge are different from that base state fee.

Some commercial guides quote $52 online while others quote $50. This guide uses the official $50 base and leaves any applicable live checkout charge unpriced rather than assuming one payment total applies to every method.

Use ordinary domestic articles for a company newly formed under Missouri law. An owner abroad does not make it a foreign LLC; a company already formed elsewhere instead reviews Missouri’s foreign-registration requirements based on its intended activity.

A substantive duty after formation

Missouri requires the members to adopt an operating agreement.

Section 347.081 says the member or members shall adopt an operating agreement. That includes a company with one member. The SOS separately explains that an operating agreement is not filed with its office and will not be accepted as a public filing.

Adoption and filing are separate questions. The statutory instruction should not be reduced to an optional recommendation simply because the formation portal does not collect the agreement. The cited section does not itself say every agreement must be written; keeping a signed written version makes authority and ownership much easier to establish.

Document contributions, ownership shares, member or manager authority, voting, distributions, records and exit rules. A sole-owner agreement should still establish separation and authority; multiple owners need terms that deal with deadlock and departures before money is committed.

What does a Missouri LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

Operating agreement adoption is a duty even when the founder writes it without paying a provider.

Live payment charges remain unpriced; a base subtotal is not a guaranteed final payment.

  1. Prepare the real LLC-1 decisions

The articles identify organisers and choose member or manager management.

The January 2025 LLC-1 form asks for the company’s purpose, registered agent, management choice and duration or dissolution events. It permits a principal-office entry and a delayed effective date within the stated limit. Special series and professional arrangements need their own review.

Agent and officeArrange the eligible Missouri agent and actual local street office before naming them.
Management and durationChoose member or manager management and ensure duration and any delayed effective date match the plan.
OrganisersEnter each organiser’s name and street address and obtain required signatures. Organisers need not be owners.
Submission and recordsUse the chosen $50 online or $105 paper channel and preserve approved articles, account access and the privately adopted agreement.
  2. A retail mailbox is not a registered office

Use an eligible Missouri agent with a real local service location.

The SOS FAQ permits an eligible Missouri-resident individual or qualifying entity as agent. The office requires a physical location; a PO box may accompany a street address, but a retail mailbox store cannot serve as the registered office.

An overseas owner should confirm consent, notice acceptance, forwarding abroad and the renewal price. A company mailing address and a legal service-of-process office serve different purposes, and neither automatically establishes a bank-acceptable operating presence.

Keep the appointment current. Agent or office changes use the appropriate filing; the FAQ addresses written consent from a newly appointed agent. The absence of an annual report does not mean stale agent details can be left indefinitely.

  3. No LLC registry renewal is due

Missouri LLCs do not file the corporation-style annual registration report.

The SOS explicitly distinguishes LLCs from entities that file annual registration reports. An ordinary Missouri LLC has no annual LLC report and no recurring report fee. Do not buy a corporation renewal service just because a reminder uses the words annual registration.

Tax returns, agent maintenance, recordkeeping and necessary amendments continue. Build a calendar around the company’s actual tax classification and activity instead of inserting an invented annual SOS deadline.

At the current $50 online base, the ordinary five-year registry benchmark remains $50; paper formation makes $105. This excludes processing charges, agent renewals, agreement work, licences, taxes and any eventual closing filings.

  4. Organiser privacy differs from owner secrecy

LLC-1 exposes organiser names and street addresses.

Ordinary articles choose the management type but do not require a full list of members or managers. They do identify every organiser and the local registered agent. A founder who acts as organiser therefore places personal identifying details in a public filing.

An organiser need not be a member or manager, according to the SOS. If a service organises the entity, preserve the evidence transferring ongoing authority and the actual ownership records; the public signer alone does not establish who owns or can operate the business.

There is no annual LLC report to collect a later manager list, but that does not make the company anonymous. Banks, tax authorities, contractual counterparties and lawful requests can require ownership and authority information.

  5. No annual report does not mean no returns

Partnership-taxed LLCs must review Missouri-source income and nonresident owners.

The published 2025 MO-1065 instructions require a partnership return where a federal Form 1065 is required and the entity has a Missouri-resident partner or Missouri-source income. A disregarded sole-owner LLC and a corporation-taxed LLC require different return analysis.

The accompanying nonresident rules address MO-1NR and MO-2NR withholding for relevant nonresident individual owners, with specified exceptions. The instructions include qualifying composite treatment and an MO-3NR agreement filed by the required deadline. An owner’s address abroad does not itself qualify as an exception.

Have the preparer review the current tax-year forms, source of income, owner type, any available entity-tax election, sales/use tax and payroll before selecting a filing route. The examples here do not reuse 2025 rates as a guaranteed 2026 tax quote or claim every company without Missouri customers is free of all US tax.

  6. Use the actual responsible party

The EIN is free; an online formation account is not an EIN application.

After approval, follow SS-4 using the LLC’s correct name, tax classification and responsible party. The foreign or N/A instruction on line 7b applies when that person lacks an SSN or ITIN and is ineligible to obtain one.

Use the appropriate international route rather than assuming a Missouri agent address permits the online EIN assistant. Retain the IRS confirmation with approved articles, the agreement and ownership records.

Check bank country eligibility, supported activity and address evidence separately. There is no verified basis here to promise a different state avoids bank questions. Neither forming the company nor obtaining an EIN gives immigration status or US work permission.

  7. A cheap registry does not remove federal work

Owner transfers can trigger Form 5472 before the first sale.

For a foreign-owned US disregarded entity with reportable related-party transactions, Form 5472 generally accompanies a pro forma Form 1120. Owner funding and distributions can be reportable. The initial failure-to-file penalty for a required complete form is $25,000.

Keep transaction dates, funding, reimbursements and counterparties from the start. A multiple-owner company normally needs a different federal analysis, including the potential treatment of foreign partners and partnership income.

FinCEN currently exempts US-created companies from BOI reporting. That exemption does not cancel IRS information returns, bank checks or state tax duties. A foreign-created company seeking Missouri authority needs a separate BOI review.

  8. No annual filing is not automatic closure

Finish winding up and use the termination sequence when the company ends.

The current LLC-5 Articles of Termination asks for the date the relevant earlier notice of winding up or merger/consolidation was filed. Follow the applicable sequence and finish winding up before representing that the company is terminated. Simply abandoning a company with no annual report does not complete that process.

Retain records, resolve debts and distributions, file final state and federal returns and close applicable tax accounts. Continue the necessary agent arrangements while the legal entity remains active.

Missouri can suit local operations or a founder who values its filing model, but forming elsewhere does not remove Missouri qualification or tax duties arising from real activity. Questions

Questions about a Missouri LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a non-US resident own a Missouri LLC?

Generally yes. Use an eligible Missouri registered agent and local office, accurate articles, an adopted operating agreement and the applicable tax filings. Foreign ownership alone does not make a new Missouri company foreign-qualified.

Is Missouri’s online LLC fee $50 or $52?

The SOS lists a $50 electronic base filing fee. Applicable payment charges must be checked at the actual checkout; this guide does not assume every transaction totals $52. Paper articles cost $105.

Does a single-member Missouri LLC need an operating agreement?

Section 347.081 directs the member or members to adopt one, including a sole-member LLC. The SOS does not accept the agreement for filing. A retained written version makes ownership and authority easier to prove.

Does Missouri require an LLC annual report?

No. Ordinary LLCs do not file annual registration reports. Registered-agent maintenance, amendments when needed, tax returns and recordkeeping remain separate obligations.

Can I use a retail mailbox as the Missouri registered office?

The SOS says a retail mailbox store cannot serve as the registered office. Provide a real physical office with an eligible consenting agent; a PO box alone is insufficient.

Does Missouri publicly list all LLC owners?

The ordinary articles identify organisers and the agent and select management type, without requiring a complete member/manager list. Organiser names and street addresses are exposed, and banks and tax authorities can require actual owner details.

Do Missouri LLCs with owners abroad need tax returns?

The answer depends on classification, Missouri-source activity and owner facts. Relevant partnership-taxed LLCs review MO-1065 and nonresident withholding; foreign-owned US disregarded entities review Form 5472 and the pro forma Form 1120.

Does BaseAcross form Missouri LLCs?
