Mississippi · A guide for founders abroad

Forming an LLC in Mississippi from outside the United States.

Mississippi’s $50 domestic formation and free annual report are different from its $250 foreign-entity filings. Understand that distinction, public management details, online reporting and tax work before filing from abroad.

The owner’s location is not the entity’s jurisdiction

A newly created Mississippi LLC pays the $50 domestic formation fee.

A founder living outside the United States can generally own a Mississippi LLC. Forming the company under Mississippi law makes it domestic to Mississippi even when every owner lives abroad. Do not choose foreign registration just because the founder is foreign.

The current schedule charges $50 for a domestic Certificate of Formation, with a free domestic annual report. An LLC already formed in another state or country instead uses the applicable foreign qualification route: the schedule lists $250 registration and a $250 foreign LLC annual report.

An existing foreign company must assess whether its actual Mississippi activity requires qualification and provide the home-jurisdiction certificate required by the filing instructions. Forming a second company and registering the existing one are different business decisions.

A free report still has a deadline

File the domestic annual report online between January 1 and April 15.

Mississippi requires an annual LLC report even when no payment is due. The SOS publishes a January 1–April 15 filing window, beginning with the year following formation. Save the business ID and calendar April 15 rather than the formation anniversary.

For an October 2026 formation, plan the first report during January 1–April 15, 2027. Open the pre-populated report, check current information and submit it; merely reviewing the record or paying a provider does not prove the state accepted a filing.

Failure to file can result in administrative dissolution. The free domestic report does not apply to a foreign-qualified LLC’s $250 report and does not replace Department of Revenue filings.

What does a Mississippi LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

Reinstatement, dissolution, taxes and bank charges are outside ordinary formation.

  1. Generate the filing in the current system

Prepare the company details before creating a Certificate of Formation.

Start with File Business Documents from the SOS business-services site and create the filing account. Keep a company-controlled email and copies of submissions, invoices and acceptance notices. Some filings require staff review; an online payment is not a guarantee of immediate approval.

Mississippi formation sequence for an ordinary domestic LLC
    1. Identity

Check a compliant available LLC name and choose the actual business activity and NAICS code.

    2. Local notices

Arrange an eligible Mississippi registered agent, accurate street/physical location and monitored agent contact details.

    3. Company and authority

Prepare the principal-office and authorised-filer details and decide how the company will be managed.

    4. Current generated document

Create the Certificate of Formation through the state system, review it and submit with the $50 fee.

    5. After approval

Preserve the stamped certificate, business ID, login access and agreed calendar for the free annual report.

  2. Online preparation and online-only reporting differ

The FAQ allows a generated formation document to be printed and mailed with a check.

The SOS FAQ lists online card, e-check and ACH payment routes. It also allows forms completed online to be printed and mailed with a check, with substantially slower processing. Do not substitute an obsolete blank paper form.

Annual reports are different: the current instructions require online submission. If an overseas payment method fails during formation, use an official supported route or contact the filing office rather than treating a third-party checkout as compulsory.

The same FAQ says company FEIN and telephone fields are redacted from documents displayed online and that Social Security numbers are never requested. That is narrower than complete filing privacy; it also differs from a bank’s or the IRS’s identity requirements.

  3. Managers or a contact member are disclosed

The annual report exposes management information even if an organiser handled formation.

Section 79-29-215 calls for the names and business addresses of managers for a manager-managed LLC, or the name and address of at least one member for a member-managed LLC. It also addresses principal officers, registered-agent details, principal office and whether a written operating agreement exists.

A local agent does not erase those fields. Select management to match the actual business arrangement, not as a device for supplying a fictitious person. Keep ownership and authority records consistent with what the report says.

Use a written operating agreement to document contributions, voting, manager powers, distributions and departures. The report’s question about an agreement is not a direction to publish the entire private agreement, and public filing redactions do not exempt beneficial owners from bank checks.

  4. Monitor acceptance and change notices

A monitored email is part of keeping control from abroad.

Mississippi sends filing notices to associated company emails. Keep access independent of a former organiser, monitor unexpected changes and retain evidence of the approved record. Use the state’s amendment workflow for relevant agent changes.

The 2026 Business Filing Fraud Prevention Act adds an administrative process for confirmed fraudulent entities. The SOS describes a notarised declaration process for a person whose identity or address was used without authority. It does not say every ordinary founder must notarise a formation filing.

Mississippi has also warned about misleading annual-report mailers. A private service may charge for assistance, but that does not turn the domestic LLC’s free SOS annual report into a mandatory paid renewal. Verify a demand through the official office before paying.

  5. No annual registry fee is not a tax exemption

Mississippi return duties depend on classification and Mississippi activity.

The latest published pass-through instructions reviewed here are for tax year 2025, revised in January 2026. They explain that a federally disregarded single-member LLC is also disregarded for Mississippi purposes, with activity reported through its owner. Do not apply a partnership return to every sole-owner LLC.

A partnership-taxed or S-corporation-taxed company has different pass-through reporting. Composite reporting for eligible nonresident owners and an electing pass-through entity arrangement have their own conditions. Review the actual owner type, Mississippi-source activity and return year with the preparer.

The corporate-owner discussion includes income and franchise-tax treatment of disregarded activity. A blanket statement that no LLC structure can ever involve franchise tax would be misleading. Review sales/use tax, payroll and licences separately when the business creates those obligations.

  6. US tax identity is a separate task

Apply for the free EIN using the actual responsible party.

Use the approved company name and the IRS international SS-4 instructions. When the responsible party lacks an SSN or ITIN and is ineligible to obtain one, line 7b provides the foreign or N/A instruction. A local agent’s address alone does not establish online EIN eligibility.

Mississippi’s filing-system redaction policy does not govern what the IRS or a bank can request. Preserve the EIN confirmation, approved certificate and ownership agreement for identity checks and tax preparation.

Check banking country restrictions, accepted business activity and required evidence before paying for extra address services. LLC formation does not guarantee an account or grant US residence or permission to work.

  7. Track owner transfers from day one

A pre-revenue company can still need Form 5472.

A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Contributions and distributions can qualify even before sales begin. The initial failure-to-file penalty for a required complete form is $25,000.

Save transfer dates, counterparties, amounts, currencies and reimbursements. Assign preparation and extension responsibility rather than assuming a free annual state report means the company has no compliance work.

FinCEN currently exempts US-created entities from BOI reporting. The exemption does not cancel IRS information returns, Mississippi public reports or bank ownership checks. Foreign-created entities registering in Mississippi need a separate BOI analysis.

  8. Separate ordinary upkeep from problem resolution

Reinstatement can require a tax-clearance letter for certain LLCs.

The SOS FAQ says corporations and certain LLCs seeking reinstatement must obtain a Department of Revenue clearance letter and upload it with the request. The current domestic LLC reinstatement filing is $50; other overdue obligations can remain. Do not assume paying that fee alone restores every company.

If closing voluntarily, complete the applicable dissolution, winding up, final returns and tax-account closures. The current schedule lists $50 for a domestic LLC Certificate of Dissolution. Cancelling the agent or ignoring reports is not an orderly substitute.

The ordinary five-year registry benchmark is $50 formation plus four free timely domestic reports. Agent renewals, taxes, professional work, optional filings and any later dissolution are excluded. BaseAcross forms Wyoming and Delaware companies; this guide’s alternative offer does not file Mississippi formations or reports.

Questions

Questions about a Mississippi LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a founder abroad form a domestic Mississippi LLC?

Generally yes. A new company formed under Mississippi law is domestic regardless of owner nationality. An existing company formed elsewhere uses the separate foreign-qualification analysis and fees.

Does a Mississippi LLC cost $50 or $250 to register?

The ordinary domestic Certificate of Formation is $50. The schedule lists $250 to register an already existing foreign LLC, with a separate $250 foreign annual report. An overseas owner alone does not trigger that foreign-entity category.

When is the first Mississippi annual report due?

An October 2026 domestic formation plans its first online report between January 1 and April 15, 2027. Domestic reports are free, but filing is still required and missed reports can lead to administrative dissolution.

Can I mail a Mississippi formation filing?

The SOS FAQ allows a form generated online to be printed and mailed with a check, with slower processing. Do not use obsolete paper forms. Annual reports must be filed online.

Does Mississippi SOS request my Social Security number?

Its current business FAQ says Social Security numbers are never requested and displayed company FEIN/telephone fields are redacted. That does not prevent separate IRS or bank identity requirements.

Which owners or managers appear in the Mississippi annual report?

The report identifies managers and business addresses for a manager-managed LLC, or at least one member and address for a member-managed LLC. It also contains other company and principal-officer fields where applicable.

Does a free Mississippi annual report mean no tax returns?

No. State and owner returns depend on tax classification and Mississippi-source activity. Foreign-owned disregarded US LLCs can also need Form 5472 with a pro forma Form 1120 for reportable transactions.
