Montana · A guide for founders abroad
Forming an LLC in Montana from outside the United States.
Montana’s $35 articles are inexpensive, but public management disclosures and tax work remain. Check the temporary 2026–2027 report waiver, priority choices and current owner-based tax reporting before filing.
Checked against the official state, IRS and FinCEN sources below. BaseAcross files in Wyoming and Delaware. We do not form Montana LLCs; this guide helps you assess Montana and follow its official filing route.
$35 ordinary articles. Timely 2026 and 2027 annual reports are waived; later years are not promised free.Official fees and forms
Low formation fee; dated renewal waiver
Montana’s $35 formation is separate from its 2026–2027 report-fee relief.
A founder abroad can generally own an ordinary Montana LLC. The base Articles of Organization filing is $35. Montana still requires annual reports: the SOS has waived the regular $20 fee for reports filed on time in 2026 and 2027.
The waiver is temporary, not a law promising every future report will be free. A company formed in October 2026 first reports by April 15, 2027 and can use that announced timely-filing waiver. It must submit the report even when the payment is zero.
The fee schedule and help article list $35 after April 15. File in the January 1–April 15 window rather than treating later dissolution or revocation timelines as the ordinary due date. Professional, series and foreign-qualified entities require separate checks.
The actual management choice determines disclosure
Montana names initial members or managers in its articles.
Section 35-8-202 requires the initial managers and business mailing addresses when the LLC is manager-managed, or the initial members and business mailing addresses when it is member-managed. The principal-office mailing address can be outside Montana; the registered-agent role is a separate local arrangement.
The annual-report statute similarly calls for the relevant managers or members and their business mailing addresses. It is not an at-least-one-contact rule. Selecting manager management should reflect actual authority, not a promise that the company becomes anonymous.
An organiser or agent service does not remove required management disclosures. Keep ownership, contributions, voting, authority and distributions documented internally, and supply complete beneficial ownership information to banks and tax authorities where required.
Costs and worked example
What does a Montana LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The $115 to $135 comparison uses regular rates rather than pretending the waiver is permanent.
Future annual reports are reference rows, not amounts due with articles. Priority is conditional on current availability and service rules.

Ordinary domestic Articles of Organization
Confirm the management and notice arrangements before submitting online.
Begin at Montana’s current business-services page and follow its online filing portal. Foreign ownership alone does not convert a company formed under Montana law into a foreign LLC. Existing entities formed elsewhere instead assess Montana qualification for their actual business activity.
Montana formation preparation Name and structure
Check an available permitted LLC name; do not assume ordinary articles cover professional practice or series arrangements.
Term and principal office
Choose a term if applicable and give the accurate business mailing address of the principal office.
Registered agent
Arrange an eligible consenting Montana agent and the required local contact details.
Management
Choose member or manager management and supply the required initial persons and business mailing addresses.
Submission
Choose ordinary or priority processing, pay the proper total and retain approved articles, filing ID and portal access.
Priority is an added fee, not the base formation price
Ordinary formation is $35; the published priority totals are $55 or $135.
The regular schedule adds $20 for 24-hour priority handling or $100 for one-hour expedited filing. With ordinary $35 articles, those registry totals are $55 and $135 respectively. Select one processing tier; do not add both priority services to one ordinary filing.
Confirm the portal’s current availability, service conditions and cutoff before relying on a deadline. Priority handling does not guarantee that an incomplete document will be approved, and it does not include an EIN, bank review or tax preparation.
Optional name reservation is $10 under the regular schedule. Reserving a name is not a mandatory separate step in every immediate formation. Agent service and drafting help are provider quotes rather than fixed state surcharges.
Use the route matching the information change
A no-change annual report and an updated report follow different portal steps.
The SOS help article describes searching the company and choosing File Annual Report for a no-change submission. If information must be updated, it directs the filer to sign in, search the company and complete the changes in the report.
Check principal-office, agent and management information against the actual current records before making the declarations. Save acceptance evidence and calendar the next January–April window independently of reminder mail.
Under section 35-8-208, an October 2026 formation first reports January 1–April 15, 2027. The report updates registry facts and is not a tax or earnings return. A free submission does not eliminate bookkeeping, withholding or owner-return work.
The owner and classification determine the return
Do not keep using pre-2024 DER-1 instructions for every disregarded LLC.
Montana Revenue distinguishes pass-through entities from disregarded single-member LLCs. Its guidance says the prior routine disregarded-entity information return changed beginning with tax year 2024; current treatment follows the owner and federal classification.
For example, a nonresident individual owning a disregarded LLC with the relevant Montana activity attaches Form DE to the owner’s Form 2. A partnership or S-corporation owner lists the entity on Form PTE Schedule VII when required, while a corporate owner uses the applicable corporate reporting.
Pass-through filing can be required for Montana-source income or loss and in other situations identified by Revenue, including a prior return not marked final. A company should not assume no current profit means no Montana filing. Review payroll, taxable transactions and licences for the actual operations.
Review nonresident members before distributions
A pass-through return can carry payment obligations for owners abroad.
Montana’s pass-through withholding guidance covers relevant nonresident owners, with different treatment by owner type and specified exceptions. A qualifying consent agreement, composite filing or eligible PTE-tax election may change the route; do not assume each option is available to every ownership chain.
Review cash distributions and estimated payments before sending all earnings abroad. The entity’s filing/payment duty and the owner’s personal return are separate questions, and multi-tier ownership requires particular care.
Use the return-year rules and eligible-owner details with the preparer. An inexpensive state registration does not establish that income earned through Montana activity is tax-free, nor does it determine the founder’s home-country treatment.
An agent address is not online EIN eligibility
Apply using the real responsible party and international instructions.
An IRS EIN is free. Use the approved Montana name and correct classification. SS-4 line 7b gives the foreign or N/A instruction when the responsible party has no SSN or ITIN and is ineligible to obtain one.
Confirm the international application route rather than treating a Montana service address as proof of a US principal business location. Keep the IRS notice with articles, the operating agreement and ownership records.
Banks separately assess country eligibility, supported activity, ownership and operating-address evidence. Formation, an agent or an EIN does not guarantee an account or provide immigration status or US work permission.
Keep funding records even before sales
The BOI exemption does not cancel Form 5472.
A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 and a pro forma Form 1120. Contributions, distributions and other covered owner transactions can matter before the LLC is profitable. The initial failure-to-file penalty for a required complete form is $25,000.
Set up records for counterparties, dates, currency amounts and reimbursements before the first transfer. Multi-member and corporation-taxed companies need a different federal filing analysis.
FinCEN currently exempts US-created entities from BOI reporting. Montana public management fields, IRS information returns and bank checks remain separate duties. A foreign-created entity registering in Montana requires its own BOI analysis.
Inactive is a status to report, not an assumption
A prior pass-through filer may need an inactive notice or a final return.
Revenue’s guidance says a previously filing pass-through entity that is inactive must submit an Inactive Corporation Tax Notice, INA-CT, through TAP. Other registered inactive entities may submit it to inform Revenue. That process is distinct from the annual SOS report.
If permanently ending the company, complete the applicable winding up, termination filing, final returns and tax-account closure. An inactive tax notice does not itself terminate the legal entity, and the absence of sales does not automatically close either record.
Maintain the notice arrangements and records needed during closure. Determine whether outstanding owner transactions create final federal information returns before distributing the last funds.
Make the waiver assumption visible
The regular-rate benchmark is $115 to $135; a dated scenario for an October 2026 formation, to 2030, is $95.
At regular published rates, $35 formation plus four $20 reports is $115 before agents and taxes, for an LLC formed by 15 April. One formed after 15 April has five reports inside five years: $135. This is a reference benchmark, not a forecast that ignores the waiver. For an October 2026 formation through 2030, the 2027 report is waived; assuming the waiver ends and the regular fee remains $20, the 2028–2030 reports make $95 total with formation. Its first five years run to October 2031, so a 2031 report falls inside them too, making $115 by then, against $135 at regular rates.
A different future waiver or fee change changes that scenario. Choosing priority processing adds its surcharge once; lateness, agents, tax work and other services are outside both figures. Do not describe $35 as a guaranteed five-year total.

Questions
Questions about a Montana LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can a founder abroad form a Montana LLC?
Generally yes, with accurate Montana articles, an eligible local registered agent and the applicable state, federal and home-country compliance. Foreign ownership does not make a newly created Montana LLC a foreign-qualified entity.
Is Montana formation $35, $55 or $135?
Ordinary formation is $35. The published $20 24-hour priority or $100 one-hour expedite surcharge makes $55 or $135 respectively. Choose one processing tier and confirm live availability and conditions.
Is the Montana annual report permanently free?
No permanent waiver is promised. The SOS has announced timely-filing waivers for 2026 and 2027. The regular schedule is $20 on time and $35 after April 15, and the report remains required during waiver years.
When does an October 2026 Montana LLC first report?
Between January 1 and April 15, 2027. That timely report falls within the announced 2027 fee waiver. Future fees and waivers must be checked for each year.
Does Montana only disclose one LLC owner in the annual report?
No. The statutes call for the relevant members of a member-managed LLC or managers of a manager-managed LLC and business mailing addresses. The articles also identify the initial members or managers; an agent service does not erase those fields.
Why does the five-year table show $115 to $135 when some reports are waived?
It is the regular-rate benchmark: $35 plus four $20 reports, $115, for an LLC formed by 15 April. One formed after 15 April has five, $135. The separate scenario for an October 2026 formation, through 2030, is $95 if the 2027 report is waived and the 2028–2030 fee returns to $20. Neither includes agents, taxes or future law changes.
Does every disregarded Montana LLC still file DER-1?
No. Revenue changed the routine disregarded-entity reporting beginning in 2024. Current duties depend on the owner, classification and Montana activity; a nonresident individual may use Form DE with Form 2, while other owners use their applicable reporting.
