Kentucky · A guide for founders abroad

Forming an LLC in Kentucky from outside the United States.

Kentucky's $40 formation fee is only the start. Understand the separate $175 minimum LLET for an ordinary nonexempt LLC, $15 annual report, public management details and foreign-owner filings before forming from abroad.

The low filing fee is only one part

Kentucky's $40 articles and $15 annual report do not include the LLET.

A founder living abroad can generally own a Kentucky LLC. The ordinary profit LLC articles cost $40, and the SOS annual report is $15. Separately, Kentucky Revenue imposes the limited liability entity tax, or LLET, on covered limited-liability businesses, subject to statutory exemptions.

For an ordinary nonexempt LLC, plan for at least $175 of LLET per taxable year, including a year with little or no revenue. Small-business relief in the published calculation leaves that $175 minimum; it is not a complete tax exemption. The annual report and tax return go to different agencies.

Do not assume that managing the company from abroad or being a disregarded entity federally removes the Kentucky filing. The Form 725 instructions specifically include an individually owned single-member LLC organised under Kentucky law. Check your actual classification and any statutory exemption before relying on a lower budget.

Decide who will manage before filing

The articles record the management choice; the annual report names the relevant people.

The ordinary KLC form asks for the LLC's name, Kentucky registered office and agent, principal-office mailing address, management by members or managers, organiser details and agent consent. Choose the structure that matches how decisions and contracts will actually be authorised.

Annual reporting adds or confirms the names and addresses required for the entity's management structure. A member-managed LLC reports members; a manager-managed LLC reports managers. The SOS makes filed records available through its business search. A registered-agent service does not make those disclosures disappear.

Keep an operating agreement recording ownership, contributions, voting, manager powers and distributions. Do not appoint a nominal manager merely to imply anonymity; the legal authority and tax ownership still need accurate records, and banks can require all beneficial owners.

What does a Kentucky LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

The formation calculator excludes future reports and the separate LLET payment. Their reference rows do not make the tax optional; review the first taxable period and statutory exemptions independently.

  1. Kentucky's formation route

File the articles, secure the approval and set up the separate tax account.

Use the official SOS starting-business links and the profit KLC form for an ordinary domestic LLC. A foreign owner of a new Kentucky company is different from an existing company formed elsewhere seeking a certificate of authority.

Kentucky LLC filing and setup sequence
    1. Name and structure

Check a distinguishable LLC name and whether ordinary, professional or nonprofit rules apply.

    2. Agent and office

Arrange Kentucky registered service and the agent's consent; enter the principal office accurately.

    3. Management and organiser

Choose member or manager management, prepare any additional lawful provisions and obtain the organiser's signature.

    4. File and preserve

Submit through the official formation route or send the KLC package with $40; retain the approved articles and state identification.

    5. Federal and state setup

Obtain the EIN, establish the correct Revenue accounts and assign the annual report and tax calendars to a named person.

KLC instructions include a fee waiver for qualifying veteran-owned businesses. Eligibility is a specific statutory test; the ordinary $40 budget does not assume a waiver.
  2. Consent matters as much as an address

The registered office must support service of process in Kentucky.

A founder abroad needs a compliant local registered-agent arrangement. The KLC form distinguishes the Kentucky registered office from the company's principal-office mailing address and requires consent to the agent appointment. A PO box alone cannot do the physical registered-office job.

Agree on legal-mail handling, delivery abroad, urgent escalation and renewals before filing. Confirm which addresses the provider permits you to use and maintain the state's account and correspondence access independently of a contractor.

When an office or agent changes, use the appropriate statement of change. The SOS cautions that its annual-report postcard cannot itself change the principal or registered agent/office details. Do not leave a former provider on the record until next June.

  3. A calendar-year window

Even a late-2026 formation first reports between January 1 and June 30, 2027.

The first SOS annual report is due in the calendar year after formation. A December 2026 company therefore first files in the January 1–June 30, 2027 window, not December 2027. Subsequent reports use the same annual window.

The $15 report must be signed and dated. Confirm the principal office, registered agent/office and the relevant member or manager information, using separate change filings when required. Save the receipt and verify the public record, even if the business had no trading activity.

Four ordinary $15 reports add $60 to the first five years of an LLC formed by 30 June. One formed after 30 June has five reports inside that period, adding $75. Tax returns follow their own periods and deadlines; paying this report does not settle the LLET.

  4. Separate minimum tax from income tax

The $3 million small-business provision still leaves a $175 minimum.

Revenue's LLET overview says a business with total gross receipts or total gross profits of $3 million or less pays $175. These are all-source measures, not just money transferred into a US bank account. Between $3 million and $6 million, the published calculation uses a sliding scale; larger businesses use Kentucky receipts/profits calculations.

The Department identifies statutory exemptions, so this guide's figures describe an ordinary nonexempt LLC rather than every specialised entity. It is also wrong to assume a foreign-owned disregarded single-member LLC is exempt simply because its federal income is reported by its owner.

An individually owned single-member LLC generally uses Form 725; other ownership or tax elections can require a different return. Confirm tax-year instructions, registration, deductions, estimates and any credits with your preparer. Kentucky income tax on the owner's income, local occupational taxes and sales or payroll obligations are additional questions.

  5. The first tax year is not free

Build the LLET into year one as well as later renewals.

For an ordinary nonexempt LLC owing only the LLET minimum, $40 formation plus $175 first-tax-year LLET is $215 before agent and professional costs. From the next reporting year, the $15 SOS report plus $175 minimum tax makes a $190 recurring baseline. These are budgeting examples across the relevant obligations, not one checkout payment.

For an LLC formed by 30 June, a first-five-years illustration is $40 + four $15 reports + five $175 minimum LLET amounts = $975. One formed after 30 June has a fifth report inside the period: $990. Both assume one taxable year in each calendar year and no exemption or larger liability. Tax due for the final period may be paid after that period ends.

Do not prorate away the minimum for a short initial period without checking the applicable instructions. Fiscal-year choices, short periods and closure dates can change how many taxable periods arise. The filing-only calculator keeps the tax separate so it is not presented as an articles fee.

  6. State approval is the starting document

The IRS EIN is free; foreign responsible parties have their own application instructions.

After approval, apply using the exact Kentucky legal name and the responsible party who actually controls the company. If that person has no SSN or ITIN and is ineligible to obtain either, follow SS-4 line 7b's foreign or N/A instruction. Use the applicable international IRS channel rather than assuming a local agent address qualifies the business for the online assistant.

Keep the EIN confirmation, approved articles, operating agreement and ownership evidence together. A bank may require operating-address evidence and country-specific onboarding beyond the state documents. Neither the filing nor EIN guarantees account opening, credit, a visa or US work permission.

  7. Federal and nonresident duties continue

The Kentucky tax return does not replace foreign-owner information reporting.

A foreign-owned US disregarded LLC with reportable related-party transactions generally needs Form 5472 and a pro forma Form 1120. Record contributions, distributions and expenses paid by the owner from the start. The initial penalty for a missing, late or substantially incomplete required Form 5472 is $25,000.

Partnership-taxed LLCs require a different federal return analysis and may face withholding on US business income allocated to foreign partners. Kentucky's pass-through and nonresident withholding rules also need review where applicable. An S corporation election is not generally available with a nonresident-alien shareholder.

FinCEN currently exempts US-created entities from BOI reporting; the exemption does not remove IRS filings, Kentucky annual disclosures or bank owner-identification checks. The founder's home-country reporting and the LLC's classification there are separate from US and Kentucky treatment.

  8. Two agencies also matter when leaving

Dissolution at the SOS does not automatically close the Revenue account.

A missed annual report can lead to bad standing and administrative dissolution. The SOS reinstatement process includes overdue fees and agency good-standing letters; an unresolved tax account can therefore affect the route back to active status.

If you intend to end the company, use the appropriate dissolution filing and complete winding up. Revenue's Form 725 instructions expressly caution that the SOS and Department of Revenue have different account-closure requirements. Final returns, employee accounts and the last LLET period need their own handling.

Retain proof of dissolution, tax-account closure, creditor settlement and final owner distributions. Letting an agent subscription lapse or simply reporting zero sales is not evidence that all recurring obligations ended.

  9. Compare the complete ordinary case

Kentucky may fit local activity; the decision should include the separate tax floor.

Kentucky's $40 filing is low, but an ordinary nonexempt LLC should assess the LLET and public member/manager reporting alongside the $15 annual report. A specialised exemption, corporate election or different ownership structure requires its own calculation.

For Kentucky operations, choosing Wyoming or Delaware can still leave Kentucky registration, local permissions and tax obligations. For a business run abroad, weigh the actual reason for Kentucky, support arrangements, disclosure requirements and total compliance cost without assuming banks prefer one state.

BaseAcross offers Wyoming and Delaware formations. This guide helps you use Kentucky's official route or choose a Kentucky provider if it fits; our alternative offer does not file Kentucky formations, foreign registrations or tax returns.

Questions

Questions about a Kentucky LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a non-US resident own a Kentucky LLC?

Generally, yes. Use an eligible Kentucky registered agent, accurate formation and annual filings, and the correct tax registrations. Foreign residence does not itself remove Kentucky's LLET filing or federal foreign-owner reporting.

Is keeping a Kentucky LLC only $15 per year?

The SOS annual report is $15. An ordinary nonexempt LLC also budgets at least $175 LLET per taxable year, giving a $190 recurring baseline before agents, tax preparation and other taxes. Statutory exemptions and larger tax liabilities need separate review.

Does a foreign-owned single-member LLC avoid the LLET?

Federal disregarded status does not by itself exempt it. The Form 725 instructions include an individually owned single-member LLC organised under Kentucky law. Review the owner's type, applicable return and statutory exemptions with a preparer.

Does Kentucky's $3 million small-business relief mean zero LLET?

No. Revenue's published calculation leaves a $175 minimum when total gross receipts or total gross profits are $3 million or less. That provision is different from a statutory exemption from the tax.

When does a December 2026 Kentucky LLC first file its annual report?

Between January 1 and June 30, 2027. The $15 SOS report follows the next calendar year, not the formation anniversary. Tax returns and LLET payments have separate deadlines.

Which people are public on Kentucky LLC reports?

The annual report supplies or confirms the relevant members or managers and their addresses, along with company and agent information. Member-managed and manager-managed structures have different management disclosures; an agent service does not guarantee anonymity.

What does the $975 five-year example assume?

An LLC formed by 30 June, over its first five years: $40 articles, four $15 reports and five $175 minimum LLET taxable periods. One formed after 30 June has a fifth report inside the period: $990. It assumes an ordinary nonexempt company with no higher LLET, and excludes agents, professional costs and other taxes.
