The recurring report changes the budget

Formation is $125; the report is $200 base each year.

A founder abroad can generally own an ordinary North Carolina LLC. The $125 Articles of Organization are the initial registry fee. Annual reports start the following calendar year and carry a $200 base fee, so the recurring obligation deserves as much attention as formation.

The SOS annual-report FAQ adds $3 for credit-card electronic filings and $2 for ACH. That gives $203 card, $202 ACH or $200 paper for the report. These are report-specific payment figures; do not automatically add the same surcharge to a different formation transaction.

An October 2026 formation plans its first ordinary LLC report by April 15, 2027, then annually. It is not due twelve months after formation, and no revenue does not by itself remove the registry report. Professional LLC reporting is a separate category under the statute.

Optional article fields do not settle annual privacy

The annual report identifies principal company officials.

G.S. 57D-2-24 requires names, titles and business addresses of principal company officials, alongside registered-agent, principal-office and business information. That is not accurately described as either an anonymous LLC or an automatic list of every passive owner.

Form L-01 separately identifies each person executing the articles and whether they sign as member, organiser or both. It provides optional initial-member and company-official information. A person signing as a member can become a member under the stated statutory conditions, so capacity is substantive rather than a cosmetic privacy choice.

A commercial agent supplies the agent role; it does not erase required official disclosures. Keep the actual ownership ledger, operating agreement and authority records privately organised for tax and bank checks. Use truthful business addresses rather than substituting an agent’s address for an unrelated principal office.

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

North Carolina ordinary domestic LLC costs · checked October 17, 2026

Annual-report payment charges are confirmed by the SOS FAQ, not assumed for every filing type.

Taxed PTE, nonresident partner payments and corporate/franchise duties depend on eligibility and classification.

  1. Complete the ordinary L-01 accurately

Choose the actual principal-office and organiser answers.

Create a domestic North Carolina LLC for a new entity under North Carolina law. An overseas founder does not use foreign qualification solely because of residence. Existing companies formed elsewhere and regulated professional services review their separate forms and eligibility.

The registered agent must qualify under the form instructions, with a North Carolina street address and county for the registered office. The principal-office question separately allows the filer to indicate there is no principal office. Supply the real facts; a purchased mailbox does not answer every field.

The form permits a delayed effective date up to 90 days after filing. Record the accepted effective date when scheduling later duties. The optional SOS email notification system helps monitor unauthorised filing changes; keep account access and company records under the founder’s control.

    North Carolina filing preparation
    1. Name and entity type

Search availability and confirm ordinary LLC versus regulated professional activity.

    2. Local service

Arrange an eligible consenting agent and North Carolina registered office.

    3. Article fields

Check each executor’s capacity and address, principal-office answer and any optional disclosures.

    4. Submission

Use current SOS instructions, confirm the formation payment charge, and retain the accepted document.

    5. After approval

Document ownership/authority, arrange the EIN and tax-account review, and calendar April 15.

  2. The report and tax return have separate purposes

Keep April 15 on the company calendar even if tax work is outsourced.

For the ordinary statutory schedule, the first report is due April 15 in the year following creation. An LLC formed in October 2026 first reports by April 15, 2027, then every April. Its first five years run to October 2031, so they hold five reports, 2027 to 2031. One formed by April 15 has four.

Check the prefilled information and certify accurate current details. The SOS warns against submitting payment twice by double-clicking or going back and forward after submission. Keep confirmation of filing, not just a bank debit.

Failure to file can lead to administrative dissolution. The SOS lists a $100 domestic reinstatement application plus delinquent LLC reports at $200 each, before electronic charges. Reinstatement does not make historic tax obligations disappear. Close an unwanted entity properly instead of silently ceasing reports.

  3. A nonresident owner can create entity-level payment duties

Do not assume each overseas individual can use NC-NPA.

North Carolina tax follows classification, sourcing and activity. For a partnership-taxed LLC, review D-403 and the manager’s duty to pay tax attributable to relevant nonresident partners. The owner’s separate filing question and any credits require their own review.

The NC-NPA affirmation is directed to qualifying nonresident partners other than individuals or grantor trusts. It is not a universal way for an overseas individual founder to opt out. An eligible Taxed PTE election is a different route with its own ownership and election conditions.

A sole-owner disregarded LLC or corporation-taxed LLC requires the appropriate separate analysis. Check sales/use tax, payroll, licences and actual North Carolina operations rather than treating foreign residence or zero distributions as proof that no tax filing is due.

  4. Avoid blanket “no franchise tax for LLCs” advice

A corporate tax election can change the state regime.

North Carolina DOR includes LLCs and partnerships electing corporate tax treatment within the relevant corporation definition. A legal LLC label alone does not establish exemption from corporate income and franchise rules.

Before electing a tax classification, assess entity and owner returns, eligibility, elections and any franchise implications. A nonresident alien generally cannot be an S-corporation shareholder under federal rules; do not suggest that election as a universal foreign-founder tax shortcut.

The comparison subtotal below contains registry fees only. It deliberately does not invent one annual tax amount for every founder. Use the actual tax year, owner types, income sourcing and business activity when estimating tax and preparation costs.

  5. Use the international EIN route when needed

The $125 SOS payment does not purchase an IRS number.

An EIN is free directly from the IRS. Apply with the accepted legal name and actual responsible party under SS-4. A person without an SSN or ITIN who is ineligible for either follows the line 7b foreign or N/A instructions; an agent’s personal tax number is not a substitute.

Check online eligibility independently of the state’s online filing facility. For a bank application, keep the EIN notice, articles, ownership ledger and agreement/authority evidence. Providers independently assess country, identity, address and activity; formation does not guarantee an account or a visa.

  6. Start the records with the first contribution

Foreign-owner information returns can precede sales.

A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 attached to a pro forma Form 1120. Initial capital and later owner transfers can be reportable even when the company has no customer revenue. A required missing or incomplete Form 5472 can trigger an initial $25,000 penalty.

Assign bookkeeping, return and extension responsibilities early. A partnership or corporate election changes federal filing duties. FinCEN currently exempts US-created entities from BOI reporting, but that does not cancel IRS returns, North Carolina public-official reporting or bank identity checks.

  7. Compare the recurring cost and actual location

The five-year card-report benchmark is $937 to $1,140 before other costs.

At current rates, $125 formation + four $203 card-paid reports = $937 for an LLC formed by 15 April, excluding any formation checkout surcharge. One formed after 15 April has five reports inside five years: $1,140. Using ACH for the reports gives $933 or $1,135; paper reports give $925 or $1,125. Agent service, taxes, licences, payment charges not already included and professional support remain additional.

North Carolina can be appropriate for local operations. Forming elsewhere can still require North Carolina authority, reporting and taxes for that business. Decide from operational facts and compliance costs, not an unsupported claim that banks favour one state.

BaseAcross forms Wyoming and Delaware companies. Our alternative-state offer does not include North Carolina formation, its annual report or D-403/nonresident partner compliance. If winding up, complete company filings and final tax/account closure rather than relying on eventual administrative dissolution.

Questions

Questions about a North Carolina LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can I form a North Carolina LLC from outside the US?

Generally yes, with an eligible North Carolina agent and registered office. A new entity under North Carolina law is domestic; an overseas owner alone does not make it a foreign LLC.

How much is the North Carolina LLC annual report?

The base is $200. The SOS lists $3 electronic filing for credit cards or $2 for ACH, producing $203 or $202. Paper filing is $200; agent, tax and other services are separate.

When does an October 2026 North Carolina LLC first report?

The first ordinary LLC annual report is due April 15, 2027, then each April 15. Professional LLCs follow their separate applicable requirements.

Are all North Carolina LLC owners automatically public?

The annual report requires principal company officials’ names, titles and business addresses. Articles identify their executors and capacities. This is meaningful disclosure, but does not necessarily list every passive investor.

Can every foreign individual partner sign NC-NPA?

No. NC-NPA is for qualifying nonresident partners other than individuals or grantor trusts. Relevant individual partners need the applicable manager-payment, owner-return or eligible Taxed PTE analysis.

Are all North Carolina LLCs exempt from franchise tax?

No blanket exemption follows from the LLC label. Corporate tax treatment can bring an LLC within North Carolina’s corporate income/franchise regime; classification and activity matter.

Is $937 an all-in five-year North Carolina budget?

No. It is $125 formation plus four $203 card-paid reports at current rates, for an LLC formed by 15 April. One formed after 15 April has five reports in five years, $1,140. Neither counts a formation processing charge, agents, taxes, licensing or support. ACH reports produce $933 or $1,135, and paper reports $925 or $1,125.
