New Jersey · A guide for founders abroad

Forming an LLC in New Jersey from outside the United States.

New Jersey now lists a $100 formation fee. Plan the separate NJ-REG filing, anniversary-month reports, public management fields and possible partnership fees before starting from abroad.

Use the current agency fee, not an older quote

New Jersey’s ordinary formation fee is now $100.

A founder abroad can generally own a New Jersey LLC. The current DORES registration page and fee schedule list $100 for an ordinary Certificate of Formation. The registration page is updated July 1, 2026; older commercial $125 formation quotes do not match that current schedule.

The $100 registry fee is separate from provider charges and any applicable payment processing. A domestic company is one formed under New Jersey law, regardless of owner nationality. An existing business formed elsewhere reviews foreign authorisation for its actual New Jersey activity.

Formation, tax/employer registration and the annual registry report are three different tasks. Completing one does not automatically complete the others.

A second registration after the entity filing

File NJ-REG and keep its tax registrations distinct from the formation certificate.

DORES directs businesses to complete the formation/authorisation filing and then the tax/employer registration, Form NJ-REG. The current packet says NJ-REG must be submitted within 60 days of filing the new business entity. Applicable trading/sales-tax registration may need to happen sooner.

The instructions call for registration before starting business, including the specified advance timing for taxable sales. NJ-REG itself has no filing fee. Choose tax accounts based on actual activity and employees; opening unnecessary accounts can create avoidable return obligations.

Preserve the entity identifier, EIN and tax registration confirmations separately. A Business Registration Certificate used for public contracting/grants and a sales-tax Certificate of Authority are not interchangeable with the Certificate of Formation.

Costs and worked example

What does a New Jersey LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

Future report payment totals are reference rows, not three charges added to formation.

The possible $150-per-owner partnership fee and next-year prepayment depend on the actual entity, owner count, income/loss and exceptions.

  1. Prepare the state filing and the international EIN route together

Avoid discovering a missing tax identity after the formation deadline starts.

The DORES overview lists obtaining an EIN in its registration sequence, while the packet separately explains forming the legal entity and then obtaining its federal identity. An overseas applicant should coordinate the state filing and correct IRS route so that NJ-REG can be completed on time.

Use the approved legal identity and the actual responsible party. If that person lacks an SSN or ITIN and is ineligible for either, follow SS-4 line 7b. If an online state identity field does not fit the founder’s circumstances, obtain DORES instructions rather than substituting an agent’s personal identity.

Public entity filingSubmit the certificate through the current official route and pay the $100 base plus applicable processing.
Federal and state tax identityFollow the international EIN rules and complete NJ-REG within the applicable formation/start-of-business deadlines.
Records and calendarSave formation, EIN and tax-account confirmations; document ownership/authority and calendar the anniversary-month annual report.
  2. The anniversary month sets the deadline

An October 2026 LLC first reports by October 31, 2027.

The ordinary annual report is due on the last day of the formation anniversary month, starting the following year. It keeps the public registry current; it is not a partnership return or tax-account renewal.

The statutory/base report fee is $75. The official annual-report service lists a $3 card charge or $0.50 e-check charge for the report transaction, giving $78 or $75.50 when those methods apply. Do not confuse those report-specific charges with an independently verified formation checkout quote.

Submit even if the business has no revenue while the entity remains subject to reporting. Verify the address, agent and management fields and retain filing confirmation; a reminder or provider invoice is not proof of acceptance.

  3. Annual reporting publishes management details

New Jersey names managing members or managers and their addresses.

Section 42:2C-26 requires the report to give the registered office/agent, principal office and names and addresses of managing members or managers, as applicable. Hiring an organiser or agent does not remove those management fields.

This is not necessarily a complete list of all passive investors, but it prevents a blanket anonymous-LLC claim. Use accurate role and address information consistent with the agreement and actual authority.

Keep the ownership ledger, contribution records, voting, distributions and departure terms in a written operating agreement. Public management details do not replace the full owner information requested by banks or tax authorities.

  4. A separate fee can apply even in a loss year

More than two owners and New Jersey-source income or loss require a filing-fee review.

New Jersey Taxation says an entity classified as a partnership federally, with New Jersey-source income or loss and more than two owners, is subject to a $150-per-owner filing fee, capped at $250,000, under the applicable rules. Exemptions and nonresident/multistate allocation details require review.

This is different from the $75 annual report and does not automatically apply to every sole-owner or two-owner LLC. Where three owners are each subject to the full fee, the fee is $450. The published rule also requires a 50% prepayment toward the next year when applicable, making another $225 in that example.

That $675 example is return-related cash planning, not an extra formation checkout charge or a universal yearly bill. Final-return treatment and other exceptions can change the prepayment. Review loss years as well as profitable years.

  5. Owner payments and BAIT are separate decisions

Do not assume all nonresident-owner duties are settled by the annual report.

NJ-1065 filing can arise from New Jersey-source income or a resident partner under Taxation’s partnership guidance. Nonresident-owner tax payments and owner returns need their own analysis; foreign residence is not a blanket exemption.

Eligible pass-through entities may elect Business Alternative Income Tax, BAIT. The qualifying entity/owner requirements, annual election and credits matter. The election is not automatically available to every LLC and should not be selected merely because a generic formation checklist mentions it.

A disregarded sole-owner company, a partnership-taxed LLC and a corporation-taxed LLC can have different obligations. Review source income, employees, sales/use tax accounts and home-country classification with the preparer.

  6. Assign the federal filing responsibility

New Jersey registration does not complete Form 5472 work.

A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner contributions and distributions can qualify before sales begin; the initial penalty for a missing required complete filing is $25,000.

Keep dates, counterparties, amounts and reimbursements from the first transaction. Multi-member and corporate-taxed companies need a different federal analysis. FinCEN currently exempts US-created entities from BOI reporting, while IRS filings, New Jersey reports and bank checks remain separate.

  7. Separate registry closure from closing tax accounts

A revoked company can need tax clearance to reinstate.

The official annual-report FAQ says domestic and foreign LLCs revoked for annual-report nonpayment more than two years ago need a tax-clearance application for reinstatement. Missing reports, reinstatement charges and any agent change are separate parts of resolving the record.

For closure, the portal distinguishes dissolution from dissolution and termination. Select the route matching whether winding up is complete, resolve liabilities/distributions and finish final tax returns and applicable tax-account closures. Check the live ending fee rather than assuming a report payment closes the LLC.

Keep the registered-agent and notice arrangements needed while resolving the legal entity. An inactive business and a legally terminated company are different states of affairs.

  8. Compare base fees and the actual tax structure

The five-year base registry benchmark is $400 before payment and tax costs.

$100 formation plus four $75 reports is $400 at unchanged base rates. Four report card charges add $12, or four listed e-check charges add $2, before any formation payment charge. Agent service, tax fees, return preparation and closing work are excluded.

New Jersey may fit local operations. A company formed elsewhere can still need New Jersey authorisation and tax registration when its activity creates those obligations. Compare practical requirements without claiming a different state guarantees easier banking.

Questions

Questions about a New Jersey LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a non-US resident form a New Jersey LLC?

Generally yes. Arrange the required local agent/office, accurate filings and tax registrations. International EIN and any state identity-field issues need the correct official route; a foreign owner does not make the new company a foreign-qualified entity.

Is New Jersey formation still $125?

The current DORES formation page and fee schedule list $100 for an ordinary Certificate of Formation, with the registration page updated July 1, 2026. Applicable payment and provider charges are separate.

Is NJ-REG included automatically in LLC formation?

No. DORES identifies formation/authorisation and tax/employer registration as separate filings. The packet requires NJ-REG within 60 days of the entity filing, with earlier timing possible before commencing relevant business or taxable sales. NJ-REG has no filing fee.

When does an October 2026 New Jersey LLC first report?

By October 31, 2027, then the last day of October annually. The report costs $75 base; the official service lists $3 card or $0.50 e-check report charges.

Which New Jersey LLC management details are public?

The annual report includes names and addresses of managing members or managers, plus company office and agent details. A commercial agent does not eliminate required management disclosures.

Does every New Jersey LLC owe $150 per owner?

No. The partnership filing-fee rule concerns federally partnership-classified entities with New Jersey-source income or loss and more than two owners, with applicable exceptions/allocation rules. It is separate from the annual registry report and may also require a next-year prepayment.

Does an EIN or New Jersey certificate guarantee a bank account?

No. Banks independently assess owner-country eligibility, activity, addresses, ownership and authority. An agent address is not automatically accepted as an operating address, and forming an LLC does not grant immigration status or work permission.

Does BaseAcross form New Jersey companies?

BaseAcross forms Wyoming and Delaware companies. This educational New Jersey guide links official resources; its alternative-state offer does not include New Jersey formation, NJ-REG or annual reporting.
