Idaho · A guide for founders abroad

Forming an LLC in Idaho from outside the United States.

Idaho's low filing costs still come with a public governor field and an annual report. Review the revised commercial-agent address consent, SOSBiz access and nonresident-owner tax arrangements before forming abroad.

Understand the public role

Idaho's governor field means a member or manager, not a state official.

A person living outside the US can generally own a US LLC. Idaho's Certificate of Organization requires the name and address of at least one governor. In this context that means a manager of a manager-managed LLC or a member of a member-managed LLC; it does not mean the elected state governor.

The state says business registration details can be public. A service that files the document as organiser does not remove the governor field. Choose the actual management structure and authorised people before paying, rather than expecting a registered agent to replace every owner-related disclosure.

Idaho's $100 online filing and $0 online annual report make the registry budget modest. They do not supply a bank account, an operating licence, US work permission or a tax exemption. The business footprint and owner circumstances still matter.

Costs and worked example

What does an Idaho LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

The calculator keeps filing channels and priorities exclusive. It does not invent a price for agent service or tax work.

  1. Prepare the certificate and route

SOSBiz saves the manual-entry charge, but both routes need a valid filing.

Start from the Secretary of State's business forms page and use SOSBiz for electronic filing. Paper carries a separate $20 manual-processing fee; the paper form's $120 is not the online price.

    Idaho LLC formation checklist
    1. Name

Choose a distinguishable name with a permitted LLC designation; an optional reservation is not the formation itself.

    2. Office and agent

Provide principal street/mailing details or confirm the commercial-agent consent option. Identify the eligible local agent.

    3. Governor and contact

Supply at least one actual governor and address, plus a correspondence address you will maintain.

    4. Signature and submission

An organiser or authorised person signs. Pay $100 online or $120 for the paper route, plus any selected priority.

    5. Approval and private records

Save the approved certificate and state identifier. Retain the operating agreement and owner-funding records privately.

The certificate instructions explicitly say not to attach the operating agreement. A submission receipt is not a substitute for checking the approved record.
  2. Separate channel from priority

Paper fees and optional priority are different costs.

The current forms page warns of approximately 7–10 days' processing and links to processed-through dates. This is a queue estimate, not a fixed delivery guarantee. Recheck the live queue when the actual filing is ready.

The certificate lists $40 additional for expedited service or $100 for same-day service. The current FAQ says same-day requests must arrive by 1 p.m. Mountain Time. Confirm availability and the appropriate submission route; those priorities do not accelerate an IRS application or a bank's review.

For example, the $100 online base plus $40 priority is $140. A $120 paper base plus $100 same-day priority is $220. The calculator chooses one filing channel and one processing priority rather than adding alternative base fees together.

  3. Free does not mean optional

File the annual report in the anniversary month and retain confirmation.

The ordinary annual-report deadline is the end of the entity's registration-anniversary month, starting the following year. An October 2026 formation ordinarily first reports by October 31, 2027. Verify the exact due date on the entity record and follow the current SOSBiz report prompts.

The online state report fee is $0. The Secretary of State's solicitation warning distinguishes that state charge from a vendor's optional annual-report service fee. A commercial invoice should not be mistaken for a mandatory government payment.

Review the addresses, agent and governor information and submit even if nothing changed. Failure to report can lead to administrative dissolution. Do not interpret a zero-dollar fee as permission to abandon the filing or as proof that no taxes or provider renewals are due.

  4. Arrange control of the record

A missing company in your dashboard can be an access problem.

SOSBiz help explains how to associate an existing entity with an account using Request Access and the PIN process. This matters when someone else originally filed the LLC. Arrange the authorised account and monitored email while your formation provider is still available.

Dashboard access is administrative access, not proof that membership ownership was transferred. Record ownership changes, signing authority and contributions in the company's private records, and separately file any required public updates.

Use the official business search to check status and saved filings. If the venture ends, review dissolution and final tax work; if it was already administratively dissolved, use the appropriate reinstatement process and resolve outstanding requirements before resuming business.

  5. The federal application

Use the approved name and responsible-party details for the EIN.

Idaho does not issue the federal EIN. The IRS provides it free; follow SS-4 and the international channels that apply to the founder's circumstances. If the responsible party lacks and is ineligible for an SSN or ITIN, follow line 7b's foreign or N/A instruction.

A commercial-agent address does not by itself make the online IRS tool available. Keep the IRS confirmation, approved certificate, operating agreement and ownership evidence together for a bank's separate review of countries, activity and actual business location.

  6. Idaho-source income and foreign owners

A nonresident-owner agreement is not an exemption from the owner's tax.

For a partnership-classified business with Idaho-source distributable income, review the Tax Commission's nonresident-owner rules. Its current PTE-NROA instructions describe composite reporting or withholding for qualifying nonresident individuals with at least $1,000 of Idaho distributable income, subject to the stated exceptions and elections.

A signed Nonresident Owner Agreement can change withholding treatment, but the entity must approve it. The instructions explain potential entity liability if the owner does not file as agreed. Do not promise that signing a form removes Idaho tax or every return.

Classification, ID K-1 reporting, sales, employees and local permissions require separate review. Use the applicable tax-year forms rather than copying a rate from an older PTE-01 PDF; a $0 SOS report says nothing about those liabilities or home-country taxation.

  7. Maintain transaction evidence

Owner funding can create federal information reporting before trading.

A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Contributions and distributions can be relevant. A missing, late or substantially incomplete required filing can trigger a $25,000 penalty, so retain owner transfers from the first payment.

Multiple members or a corporate election change the return review. FinCEN's current exemption for US-created entities is separate from IRS reporting, public governor details and bank identity checks. A pre-existing overseas entity registered in Idaho has a different BOI analysis.

  8. Compare the practical administration

Idaho's low registry cost comes with a named governor and an annual task.

The five-year electronic registry example is $100 formation plus four $0 reports, or $100. Agent service, advice, operating permissions, optional priority and taxes are additional. Paper processing and other filings can also add charges.

For actual Idaho operations, another formation state may still require Idaho foreign registration. For a wholly overseas business, compare the address-consent arrangement, public governor field, banking eligibility and support without assuming a particular state is automatically accepted or rejected by banks.

Questions

Questions about an Idaho LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can someone outside the US own an Idaho LLC?

Generally, yes. Arrange the Idaho agent, accurate office information, named governor and ongoing reporting. The formation does not itself provide immigration permission, a tax exemption or banking.

What does governor mean on the Idaho form?

It means a manager of a manager-managed LLC or a member of a member-managed LLC. The certificate requires at least one named governor and address; it is not asking for a state official.

Can I use my agent's address as the principal office?

The April 2026 certificate provides an option where the commercial registered agent consents to that use. Obtain the actual consent and provider terms. That option does not remove governor disclosure or guarantee a bank will accept the address.

Is formation $100 or $120?

The electronic base is $100. Paper adds $20 for manual processing, making $120. Optional expedited or same-day service and provider fees are separate.

Is the Idaho annual report optional because it is free?

No. The $0 online state report remains required annually, ordinarily by the end of the anniversary month from the following year. Verify the due date on the official record and keep confirmation.

Should I upload the operating agreement with the certificate?

No. Idaho's certificate instructions expressly say operating agreements are not filed with the office. Keep the agreement and ownership records privately.

Does a nonresident-owner agreement erase Idaho tax?

No. PTE-NROA concerns withholding arrangements and the owner's filing commitment. Review Idaho-source income, classification, entity approval and the current-year exceptions and returns.
