The first decision from abroad

Owning a Colorado LLC and serving as its agent are separate questions.

A person outside the United States can generally own a US LLC. Colorado's base filing is $50 online, followed by a $25 annual Periodic Report. Those low state charges do not include agent service, operating permissions or tax work, and ownership does not provide immigration permission to work in the US.

Before filing, arrange an eligible registered agent with a physical Colorado address and consent to act. A business run abroad can have an overseas principal office, but it still needs the local legal-notice appointment. Paying for mail forwarding does not automatically establish agent eligibility or a real operating office.

The agent rules changed under HB24-1137. From July 1, 2025, individuals serving as agents must meet Colorado identification or residency-verification requirements; an entity agent must be in good standing. Resolve this before committing to a formation date or assuming you can name yourself from overseas.

A practical filing dependency

Confirm the agent's verification route before opening the articles.

For an individual agent, follow the state's current Colorado driver's licence or ID validation process. If the person lacks that ID, the SOS offers an alternative residency-verification route using a requested passcode. That route verifies Colorado residency; an overseas passport alone is not a substitute for it.

The alternative route requires a recent qualifying document showing the person's name and Colorado street address. Requests enter a review queue, and an approved passcode expires after 45 calendar days. Check the current document rules and allow review time rather than promising an instant filing in every case.

For a business entity agent, confirm its good standing, Colorado place of business, authority where applicable and consent. A newly forming LLC cannot simply select itself at the first step: the SOS describes an initial eligible agent followed by a later change if the LLC qualifies to act for itself.

Agent ID verification is separate from your status as owner. Do not enter someone else's name, address or identity details without permission.

Costs and worked example

What does a Colorado LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

Colorado domestic LLC costs · checked October 17, 2026

Late-report penalties and curing delinquency are remedial charges, not standard formation costs. The calculator excludes them and does not treat $25 annual reporting as a substitute for tax returns or licensing.

  1. Accurate addresses, limited privacy

Use the real principal office and understand what the public record shows.

The principal office must be a physical street address. Colorado's report instructions expressly accommodate addresses outside the United States, including country and province where applicable. A separate mailing address can be used where mail is delivered elsewhere. Keep these fields distinct from the agent's Colorado street address.

The articles identify the person forming the LLC and the individuals causing the filing, with addresses. The former need not be an owner. The filing asks whether managers or members manage the company and affirms that at least one member exists; that does not make it a complete public ownership register.

Public filings and attachments can expose information you supply. An owner who forms and files personally may appear under those roles. Review the whole document before payment, keep written consent to use names and addresses, and keep passports and private ownership records out of optional public attachments unless specifically required.

  2. Prepare, submit, verify

How to form the Colorado LLC online from abroad.

Use the official business forms list and choose Articles of Organization under Limited liability companies. The domestic articles are for a new Colorado entity, including one with a foreign owner. The state does not provide a paper alternative for this formation filing.

    Colorado online formation sequence
    1. Check the name

Choose a distinguishable name with a permitted LLC ending. Separate reservation is optional when filing directly.

    2. Prepare addresses and consent

Use the principal office, mailing address if different and eligible Colorado agent. Retain written consent for the names and addresses used.

    3. Choose management and filers

Select member or manager management and identify the people forming and causing the filing accurately.

    4. Review and pay

Check public details and any effective date, then pay the $50 state fee using an accepted payment method.

    5. Save the result

Keep the receipt, filed articles and Colorado entity ID. Check the public summary and arrange the EIN, records and report calendar.

Payment uses credit, debit or a prepaid account; the checklist says checks and cash are not accepted. Confirm your payment method works before relying on a same-day result.
  3. What immediate processing means

The filing may be immediate; the company's usable start date can differ.

The SOS says online filings are processed in real time after payment confirmation. That describes the state filing, not EIN issuance, bank approval, agent verification or permission to trade. Scheduled maintenance can also interrupt the online process, so finish and retain the actual confirmation.

A delayed effective date can postpone the document's effect by up to 90 days. A formation record with a delayed date is not active until that date, even if the filing is visible in its history. Do not treat a payment receipt as proof the company is already active if you selected a future start.

For a founder abroad, set deadlines for each dependency separately: verified agent, completed filing, effective date, EIN, account review and required licences. Check the state's time conventions when choosing an effective date rather than assuming the date in your home country controls.

  4. Your recurring SOS obligation

Track the assigned report month, not just an anniversary reminder.

Find the Periodic report month on the entity's official Summary page. The $25 report can be filed from two months before that month through two months after without penalty. For a record with an October report month, the ordinary penalty-free window is August 1 through December 31 in the applicable reporting year.

Search the business by its ID or name, open the correct record, choose File a form and then the Periodic Report. Review the addresses and agent information, pay and save the receipt. A draft or reminder email is not the completed filing, and the report is still required if nothing changed.

If the report option is missing, the SOS says it may already be filed, not yet available or unavailable because of the entity's status. Check the record rather than creating a second LLC. Email reminders are a courtesy; the company remains responsible for tracking dates.

  5. If a deadline is missed

A late report and curing delinquency are different filings.

The state distinguishes Noncompliant from Delinquent. Its published January-report-month example shows why the current status matters:

SOS example for a January report month
Point in the cycleWhat the state describes
By March 31Last day to file within the ordinary window.
After March 31The entity becomes Noncompliant; the example gives May 31 as the late-report deadline.
After May 31 without the reportThe record becomes Delinquent. A Statement Curing Delinquency is needed to return to good standing.
The fee schedule lists a $50 late-report penalty in addition to the $25 report, and $100 for a Statement Curing Delinquency. Do not add all of those to a routine renewal budget or assume they are interchangeable remedies. Follow the options shown on your current record.
  6. Maintain access from abroad

Keep control of filings and a separate internal ownership record.

Colorado offers optional Secure Business Filing to restrict online filings through authorised accounts. Set it up from the formation confirmation or follow the existing-record process. For an existing record, the SOS describes mailing a PIN to its principal-office mailing address, so access to that mail matters if you wait until later.

Agree with your agent or formation provider who will control access, monitor notices and hand over documents if the relationship ends. Record the business ID, filing confirmations, agent consent and reporting calendar somewhere you can access independently of a provider's inbox.

Prepare an operating agreement and ownership ledger covering contributions, decision-making, transfers and distributions. Keep company finances separate. A public filing's management checkbox does not replace those records or prove the ownership information a bank or tax authority may request.

  7. The separate federal identifier

Get an EIN without confusing it with the Colorado entity ID.

Colorado assigns a business record ID after filing; it is not the federal EIN. Apply to the IRS after preparing the entity's legal name, formation details, ownership and responsible-party information. The IRS does not charge for the number, although a provider may charge for application assistance.

Eligible international applicants can use the Form SS-4 application routes. If the responsible party has no SSN or ITIN and is ineligible to obtain one, follow the line 7b instructions for foreign or N/A. An agent's Colorado address does not automatically make an overseas business eligible for the online EIN application.

Use the current IRS instructions for application channels and contact details, submit through one method for the entity and retain the confirmation. An EIN is a tax identifier; it does not establish bank acceptance, a licence or immigration status.

  8. Beyond the $25 report

Separate state income-tax treatment, sales tax and local permissions.

The Department of Revenue generally follows the LLC's federal income-tax classification. A single-owner disregarded entity, partnership-classified LLC and LLC taxed as a corporation need different analyses. A low SOS report fee does not settle tax on Colorado-source activity or the owner's home-country obligations.

For a partnership with nonresident owners, review Colorado's composite-return and partner-agreement rules. The state describes DR 0107 agreements and DR 0108 remittance where applicable. Do not assume distributions abroad remove the company's reporting or remittance responsibilities.

SOS formation is separate from Revenue tax accounts. Assess taxable sales, employees and the relevant licences. A state sales-tax licence covers state and state-administered jurisdictions; home-rule cities can have their own requirements. Check the actual city and activity rather than treating one state registration as every permission needed.

  9. Foreign-owner compliance

Plan reporting before the first sale, including owner funding.

A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Contributions and distributions can count, including startup funding before sales. A missing, late or substantially incomplete required filing can trigger a $25,000 penalty. Assign bookkeeping and tax-preparation responsibility from the start.

A multi-member LLC or one electing corporate treatment needs its own federal classification and return review. The annual Colorado Periodic Report does not replace federal filings, and an information-return obligation can exist even where the owner expects no income tax.

Under FinCEN's current rule, US-created entities, including a Colorado LLC owned from abroad, are exempt from CTA BOI reporting. An existing non-US entity registering in Colorado is a different case. This exemption does not remove bank identity checks, IRS reporting or information in state filings.

  10. If you already have an entity

Check Colorado authority before creating a second company.

An LLC formed in another US state or another country is foreign to Colorado. If its activity requires authority there, the relevant filing is a Statement of Foreign Entity Authority, currently $100 online, rather than $50 domestic articles. The owner's nationality does not determine that distinction.

Review the existing entity's activities, including a Colorado office or remote employee, before deciding whether qualification is required. Tax registration and local permissions still need separate consideration. If the business stops, use the appropriate dissolution or withdrawal and final tax-account steps rather than simply ignoring future reports.

  11. Compare the real trade-offs

When is Colorado a practical choice for a founder abroad?

Colorado has a low base state budget: $50 to form plus four $25 reports gives $150 in a five-year example. Add the real costs of an eligible agent, accurate address arrangements, tax preparation and any permissions. If you operate in Colorado, forming there directly may simplify an otherwise two-state structure.

For a business run entirely abroad, compare service availability, disclosures, ongoing administration and the requirements of your intended bank or payment provider. State selection alone does not establish account eligibility. Ask providers about your actual residence country, activity and operating address before making a commitment.

BaseAcross forms companies in Wyoming and Delaware. Review our plans if one of those fits your business after comparing obligations. If Colorado fits, follow the SOS route or use a Colorado provider; our service offer is not Colorado formation or foreign qualification.

Questions

Questions about a Colorado LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a non-US resident own a Colorado LLC?

Generally, yes. Arrange an eligible Colorado registered agent, accurate business addresses and required filings. Ownership does not grant immigration permission, licensing or bank approval.

Can I use my overseas principal-office address?

Colorado's report instructions accommodate a physical principal-office address outside the United States, including country and province where applicable. The registered agent still needs a Colorado physical address. Keep mailing and operating addresses accurate.

Can I be my Colorado LLC's registered agent from abroad?

Ownership alone does not qualify you. Individual agents must meet the current Colorado location and identification or residency-verification requirements. The alternative passcode route verifies Colorado residency; it does not turn an overseas mailing address into an eligible agent address.

How much does Colorado LLC formation cost?

The base online articles fee is $50. A separate name reservation is optional and costs $25 if used. Annual Periodic Reports cost $25, while agent service, permits and professional help are additional.

When is a Colorado Periodic Report due?

Check the Periodic report month on the official entity Summary page. The report can be filed from two months before through two months after that month without penalty. For an October month, the ordinary window is August 1 through December 31 in the reporting year.

What if my Colorado LLC becomes Delinquent?

Use the filing options on the current record. The SOS says a Statement Curing Delinquency is needed to return a delinquent entity to good standing; the fee schedule lists $100. A late report while Noncompliant is a different stage.

Does Colorado keep the LLC owner anonymous?

Do not assume anonymity. Formation identifies the people forming and causing the filing, with addresses, and public documents show information you supply. An owner filing personally can appear under those roles even where the form is not a complete ownership register.

Is the Colorado business ID my EIN?

No. The SOS business ID identifies the state record. The IRS issues the separate EIN for federal tax purposes. Eligible international applicants can follow Form SS-4 routes without an SSN or ITIN under the responsible-party instructions.
