West Virginia · A guide for founders abroad
Forming an LLC in West Virginia from outside the United States.
You can generally own a West Virginia LLC from abroad. Separate formation from business registration, plan public management disclosures and check the July 2026 reporting changes.

Choosing West Virginia
First identify whether you will actually do business there
A founder abroad can generally own an ordinary West Virginia LLC. Local operations may justify forming there; a purely overseas business should compare the registration, tax and disclosure consequences before choosing on a headline fee.
This guide concerns a new domestic LLC. Registering an existing company created in another jurisdiction is a different route. A foreign owner does not turn a West Virginia-created LLC into a foreign LLC, and ownership does not grant US work permission or guaranteed banking.
The ordinary formation and business-registration certificate are separate charges. Public management information and the 2026 reporting-law change also deserve attention before a founder commits.
Formation versus registration
The usual $130 example has two different parts
The ordinary articles fee is $100. Where the business registration certificate is required and no exemption applies, the Tax Division charges $30 per location. One ordinary location therefore gives a $130 setup example before service or payment charges.
The tax certificate is generally permanent while the qualifying details remain unchanged; it is not a universal $30 annual renewal. A change in legal name, ownership or physical location can require reissuance and the applicable fee. Additional locations and specialist licences need their own check.
Eligibility-based waivers and fee exemptions should be assessed using the official criteria. A founder’s foreign residence or age alone is not proof that a particular waiver applies. The budget assumes ordinary nonwaived articles and one taxable registration location.
Costs and worked example
What does a West Virginia LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The certificate is conditional on activity and exemptions, generally permanent while qualifying details remain unchanged.
Annual report and later biennial election are distinct; the controlling deadline is June 30.
Current 2026 tax rates and forms need checking separately from older published return PDFs.
Filing sequence
Use LLD-1 and decide how legal notices will reach you
Check the proposed name and LLC designation, decide member-managed versus manager-managed status, and gather the actual principal/designated-office and correspondence details. Complete the current LLD-1 route through the SOS or One Stop instructions and preserve the accepted filing.
West Virginia is different from states that universally mandate a privately appointed local registered agent. Section 31B-1-108 says the LLC may maintain the local office and agent; the SOS also has a statutory attorney-in-fact service role. Do not invent a compulsory commercial-agent subscription. Confirm the current service route, notice address and implications with the SOS before relying on an overseas-only arrangement.
If appointing a private agent, use an eligible person or entity and obtain the required consent/signature. A practical legal-notice plan remains necessary whichever route applies; missing a forwarded document can have consequences even where a paid agent was optional.
Adopt an operating agreement matching the management choice, contributions, signing authority and ownership. Complete required Tax Division registration and local/industry licensing before conducting the relevant activity. Save the SOS identifier, tax confirmations and account access separately.
Reporting after July 2026
New companies start annually; biennial reporting must be earned
The ordinary report is $25 and must be filed by 11:59 PM on June 30. The published annual form lists a $50 late charge, giving $75 after the deadline. For an October 2026 formation, plan the first ordinary annual cycle in 2027 and confirm the SOS record.
Effective July 1, 2026, the law allows a $50 biennial election after five consecutive timely annual reports while in good standing. It is not an automatic option for a newly formed LLC. The normal election is made with the fifth timely report; existing qualifying companies have a transition window in 2027.
The first biennial report then falls in the second calendar year after election, with June 30 controlling the payment deadline. Confirm the implemented SOS election process and selected record. The change does not excuse old delinquencies.
Public management fields
The articles and report are public documents
LLD-1 requires all members for a member-managed LLC or all managers for a manager-managed LLC, with addresses. Do not advertise the ordinary filing as owner-anonymous or assume that manager-managed status removes every owner disclosure elsewhere.
The published annual form asks for the relevant members or managers having signature authority to sign filings. Follow the current form for the registered structure rather than merging both role charts or assuming this is an entirely private ownership update.
Keep unnecessary sensitive identifiers out of public submissions: the report specifically warns against supplying Social Security, bank, credit-card or driver’s-licence numbers. Banks and tax agencies have their own secure identification processes; public management reporting is not a substitute.
State tax and owners
Nonresident withholding needs its own plan
An LLC’s federal classification and West Virginia-source activity determine the applicable state return. A partnership-classified LLC should review PTE-100, owner allocations, relevant NRW-4 agreements and nonresident withholding rather than assume foreign residence removes the obligation.
Composite IT-140NRC and the elective pass-through entity tax are distinct choices with their own conditions. The Tax Division describes the elective tax as replacing relevant nonresident withholding when properly elected. Check the current-year forms, credits and whether an owner still needs a separate return.
The state enacted another personal income-tax reduction in March 2026, retroactive to January 1, 2026. Older return PDFs and some general pages can show earlier percentages. Do not apply a 2024/2025 withholding or composite rate blindly to a 2026 obligation; confirm current Tax Division instructions for the actual filing.
Sales/use, employer and local business duties remain separate from the $30 certificate and $25 report. Budget an adviser for both US classification and the owner’s home-country treatment.
EIN and federal reporting
Owner contributions can matter before sales begin
Apply to the IRS for the EIN after formation; the direct IRS fee is $0. An overseas responsible party who cannot use the online tool should follow SS-4 and the applicable international channel. Use the permitted entry where the person lacks and is ineligible for an SSN or ITIN.
A wholly foreign-owned US disregarded LLC can need Form 5472 with a pro forma Form 1120 for reportable transactions, including owner funding or distributions. No sales does not necessarily remove the filing. The initial failure penalty is $25,000. Partnership and corporate classification need different returns and potentially foreign-owner withholding.
Under current FinCEN guidance, a US-created West Virginia LLC is exempt from BOI reporting. An entity created abroad and later registered in the state needs a separate foreign-entity analysis. Public management fields, BOI and IRS disclosures have different purposes.
Remote banking
Show the actual business, owners and address arrangements
Prepare accepted articles, EIN confirmation, the operating agreement, the ownership chart and identity/residential-address evidence for owners and controllers. Describe actual operations, countries and expected transactions.
Ask the provider about supported residence countries, activity, remote opening and address requirements before buying a service. The optional nature of a private state agent does not waive a bank’s address or verification rules. State acceptance is not bank approval.
Five-year budget and exit
Small registry charges still require reliable administration
For an ordinary nonwaived one-location example at unchanged rates, $100 articles, $30 business certificate and four $25 reports total $230 over the first five years, for an LLC formed by 30 June. One formed after 30 June, such as October 2026, has a fifth report inside the period: $255. The new biennial option does not reduce this new-company example because it first requires five timely annual reports.
Maintain current notice and correspondence details, monitor SOS and Tax Division accounts and retain payment confirmations. If closing, follow the official termination route and separately close tax registrations and final returns. Letting reporting lapse is not a complete winding-up plan.
Questions
Questions about a West Virginia LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can an overseas founder own a West Virginia LLC?
Generally yes for an ordinary LLC, subject to activity and other restrictions. Use the domestic route for a new West Virginia entity and plan legal notices, tax, licensing and banking separately.
Is the ordinary setup example $100 or $130?
The ordinary articles fee is $100. One required, nonexempt Tax Division business-registration certificate adds $30, giving a $130 example before other charges. Registration depends on the actual activity and exemptions.
Does the $30 business certificate renew every year?
Generally it is permanent while qualifying details stay unchanged. Changes in legal name, ownership or location can require reissuance and the applicable charge. It is separate from SOS reporting.
Is the report due July 1?
The current law requires filing and payment by 11:59 PM June 30. The ordinary annual fee is $25; the published late annual total is $75, including a $50 late charge.
Can a new West Virginia LLC report every two years?
Not immediately. The July 2026 law permits a $50 biennial election after five consecutive timely annual reports and good standing. Confirm the current election process and actual record.
Must every LLC buy a commercial registered agent?
No universal paid-agent requirement should be assumed. West Virginia permits a private local agent and has an SOS statutory service role. Confirm the applicable notice arrangements; a reliable legal-notice plan remains essential.
Are West Virginia members private?
The ordinary articles publicly list all members if member-managed or all managers if manager-managed, with addresses. The published report requests applicable roles with filing-signature authority. Banks and tax agencies require separate ownership information.
