Illinois · A guide for founders abroad
Forming an LLC in Illinois from outside the United States.
Illinois requires public managing-person details and an annual report before the anniversary month starts. Review the $150 filing, $75 report, replacement tax and current PTE rules before choosing it from abroad.
Checked against the official state, IRS and FinCEN sources below. BaseAcross files in Wyoming and Delaware. We do not form Illinois LLCs; this guide helps you assess Illinois and follow its official filing route.

A business connection and a tax classification
Illinois formation does not make every LLC a tax-free pass-through.
A founder abroad can generally own a US LLC. Illinois can make sense for Illinois operations, contracts or another concrete reason, but compare its $150 standard formation and $75 annual report with the actual tax classification before choosing.
A partnership-classified LLC with Illinois taxable income can face 1.5% replacement tax, as well as owner-level tax and nonresident reporting. A disregarded single-member LLC or corporate election needs a different analysis. Neither the LLC label nor foreign residence establishes that no Illinois return is required.
This is a guide to an ordinary domestic LLC. Series companies and licensed professional activities have different filing choices and fees. Creating the entity does not approve a regulated practice, US immigration status or a financial account.
What the actual articles request
Disclose the managers and members with manager authority accurately.
LLC-5.5 asks for the names and business addresses of managers and any member with the authority of a manager, as well as organiser information. That is more precise than saying every passive owner is automatically listed or that an organiser service hides whoever runs the business.
The form requires a principal place of business where records are kept; a PO box alone or care-of address is unacceptable. The registered office is a separate Illinois service location. Confirm the real principal address and current online foreign-address handling before filing from abroad.
Keep the operating agreement and full ownership ledger in your private company records. Public managing-person details do not replace the beneficial-owner evidence a bank or tax authority may request.
Costs and worked example
What does an Illinois LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
Future annual reporting is not added to the formation subtotal. Tax classification matters more than a generic claim that an LLC itself never pays tax.
Ordinary LLC-5.5 filing
Choose the standard company, principal office, agent and effective date.
Use the Secretary of State's official articles service or follow the paper instructions. The ordinary LLC-5.5 fee is $150. Choose the standard LLC deliberately rather than selecting a series structure merely because the portal offers it.
Illinois standard LLC preparation Decision What to verify Name and entity Check a distinguishable permitted LLC name. Professional activities require their own permitted purpose and naming review. Office and local agent Prepare the principal business/records address and eligible Illinois agent and street office. Management Name the managers and members with manager authority, using accurate business addresses. Effective date and signature Use immediate effectiveness or a permitted delayed date; LLC-5.5 permits a specified date no more than 60 days after filing. Obtain authorised organiser signatures. Payment and record Pay the standard filing and any chosen service, then retain the approved articles and state file number. Paper articles must be submitted in duplicate using a payment method accepted in the current instructions. Do not assume an ordinary personal cheque or a provider's submission confirmation meets those requirements.A reliable Illinois service location
Registered-agent appointment is separate from a bank's address review.
The articles require an Illinois-resident individual or a business entity authorised to act as agent in the state. The registered office needs the required Illinois street address. Arrange consent, forwarding abroad, a monitored contact and renewal terms before submitting the provider's name.
Paid priority, where available, concerns the state filing. The SOS guide lists a $100 additional expedite for ordinary articles, making a $250 filing example. Check current eligibility and timing; this does not accelerate a separate EIN, licensing review or bank application.
Earlier than many founders expect
File before the anniversary month begins, not by its last day.
The annual report is due before the first day of the organisation-anniversary month each year. An LLC organised in October 2026 ordinarily files its first report before October 1, 2027: by September 30. Do not borrow another state's end-of-month rule.
The normal report fee is $75. Confirm addresses, agent, management and the signer using the actual company record. Keep a reminder under the founder's control and save filing confirmation even where a provider submits it.
Delinquency starts when the due date is missed. The SOS guide describes a $100 penalty if a report remains unfiled within 60 days after the deadline, and administrative dissolution after the further stated delinquency period. The penalty is not a 60-day extension of the filing deadline.
Choose the right maintenance document
An annual report cannot make every requested company change.
The online report instructions say a separate amendment is needed for changes such as company name, duration, purpose or management type. Filing the report electronically does not itself amend those provisions. Use the appropriate form and fee for the change.
The same instructions exclude some companies from online reporting, including those with more than eight managers or, if there are no managers, more than eight members, and entities in specified dissolved or revoked statuses. Confirm eligibility instead of assuming a failed online step means no report is due.
If you cease operations, review winding up, termination and final tax work. If the company has already been dissolved, reinstatement and overdue requirements are a separate task. The normal $75 report is not a complete quote for curing an old entity.
Federal application and private records
The Illinois file number does not replace the EIN or the ownership agreement.
Apply to the IRS with the approved legal name and responsible party. The EIN is free; follow the international SS-4 method applicable to your circumstances. If the responsible party does not have and is ineligible for an SSN or ITIN, use the line 7b foreign or N/A instruction.
A registered office does not automatically establish online EIN eligibility. Retain the IRS confirmation, approved articles, operating agreement, contributions and signing authority. Ask the intended bank about supported residence countries, activities and real operating-address evidence; approval is a separate decision.
Separate the layers of Illinois taxation
Replacement tax, PTE tax and nonresident withholding are different rules.
Illinois Revenue distinguishes replacement tax from ordinary Illinois income tax. Partnerships generally pass income to partners for income tax but pay replacement tax on Illinois net income; the published rate for partnerships and S corporations is 1.5%. An LLC's classification must be resolved before applying that summary.
Qualifying partnerships may elect the 4.95% PTE tax under the current rules. Publication 129 separately explains nonresident pass-through withholding and applicable exemptions where the entity does not make that election. Electing PTE tax is not the same as paying the Secretary of State's $75 report charge.
Review Illinois-source income, owner type, credits and required entity/owner returns, as well as sales, payroll and local licensing for the actual operations. Formation alone is not a complete nexus or tax analysis, and home-country treatment of the LLC may differ.
A current-year tax development
The July 2026 bulletin changes the partnership PTE election analysis.
Illinois Revenue's FY 2027-01 bulletin describes two tax-base methods for electing partnerships for tax years ending on or after December 31, 2026. One uses Illinois-sourced shares for all partners; the other combines full shares of resident partners with Illinois-sourced shares of nonresident partners.
The partnership must select the method on IL-1065 and review estimated payments. This matters particularly with mixed resident and nonresident ownership; the alternatives should not be collapsed into a blanket statement that all LLCs owe the same percentage of worldwide profit. Use the applicable year's final instructions.
Begin bookkeeping with contributions
State reports and a BOI exemption do not complete federal compliance.
A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Startup funding and distributions can be relevant before there is revenue. A missing, late or substantially incomplete required filing can trigger a $25,000 penalty.
FinCEN currently exempts US-created entities from CTA BOI reporting. That exemption does not remove the federal tax return analysis, Illinois managing-person disclosure or bank verification. A partnership-classified LLC, corporate election or an existing foreign entity registering here needs its own review.
Make the state choice on actual needs
Price the recurring filing and the business connection, not just the articles.
A five-year base registry comparison is $150 formation plus four $75 reports, or $450. Add agent service, tax preparation, operating permissions and any selected priority. Replacement tax is an activity/classification-dependent liability, not a fixed filing fee to include for every founder.
Illinois may be appropriate where the business will operate. An out-of-state LLC can still need Illinois admission and tax compliance. A wholly overseas founder should assess the public management record, support and costs without relying on a promise that any formation state ensures banking.

Questions
Questions about an Illinois LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can a non-US resident own an Illinois LLC?
Generally, yes. Prepare an eligible local agent, accurate articles and ongoing state/federal compliance. Ownership alone does not grant work permission, licensing or banking.
What are Illinois's standard formation and report fees?
Ordinary articles cost $150 and the annual report costs $75. Formation plus the first report is $225; a five-year example with four reports is $450. Agents, tax work, licences and optional priority are extra.
Who is named in Illinois LLC articles?
LLC-5.5 asks for managers and any member with manager authority, with business addresses, plus organisers. Do not equate this with either complete anonymity or automatic listing of every passive owner.
When is the first annual report due?
Before the first day of the organisation-anniversary month in the following year. For an October 2026 organisation, the ordinary first deadline is September 30, 2027, before October begins.
Does Illinois charge the $100 late penalty immediately?
The SOS guide describes delinquency when the deadline is missed and the $100 penalty when the report remains unfiled within 60 days after the due date. That does not extend the original deadline.
Can I change the management type through the annual report?
The online instructions require a separate amendatory filing for management-type changes, as well as certain name, duration and purpose changes. A report alone does not amend every provision.
Does every Illinois LLC pay 1.5% replacement tax?
Do not apply that rate to every LLC label. It applies to specified classifications, including partnership-classified LLCs with Illinois net income. Disregarded entities, corporate elections, nonresident withholding and the PTE election need separate review.
