New Mexico · A guide for founders abroad
Forming an LLC in New Mexico from outside the United States.
New Mexico has $50 articles and no recurring LLC registry report. Understand what remains: local agent maintenance, private ownership evidence, applicable business tax registration and foreign-owner IRS filings.
Checked against the official state, IRS and FinCEN sources below. BaseAcross files in Wyoming and Delaware. We do not form New Mexico LLCs; this guide helps you assess New Mexico and follow its official filing route.
$50 ordinary domestic articles. No annual LLC registry report; payment charges, agent renewals and tax work remain separate.Official fees and forms
No ordinary LLC registry renewal
New Mexico has $50 articles and no LLC annual or biennial report.
A founder abroad can generally own a New Mexico LLC. The ordinary Articles of Organization filing is $50 under section 53-19-63. Ordinary LLCs do not file a recurring annual or biennial SOS report; corporation and limited-liability-partnership reporting rules should not be imported into the LLC checklist.
No report does not mean the company can be left unattended. Maintain the registered agent/office, accurate state records, ownership documents and applicable tax accounts and returns. Provider renewals can still recur even where the SOS has no annual LLC charge.
The five-year ordinary registry benchmark is therefore $50 at current rates, before payment charges, agent renewals, tax work and any optional or later filings. It is not a five-year all-in operating price.
The old paper route is no longer current
Use SOS Enterprise through the state’s current instructions.
New Mexico’s business-services page says all business applications have moved online and paper filings are no longer accepted. It directs filers to enterprise.sos.nm.gov, with forms under the Forms tab after creating or accessing an account.
Start from the current SOS page and user guides rather than a legacy portal.sos.state.nm.us bookmark or an old printable formation packet. Save the accepted articles, certificate, business identifier and account access independently of any provider.
The live forms portal returned an access error in this review, so no current checkout was completed. The $50 is the statutory base, and any live payment charge remains unpriced. Do not turn an unverified processing estimate into an advertised final payment.
Costs and worked example
What does a New Mexico LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The possible $50 corporate franchise tax is classification-dependent and is not an ordinary flat tax on every LLC.
The live portal returned an access error; the base fee comes from the official LLC Act, and unverified checkout charges remain unpriced.

Prepare the articles’ actual statements
The form needs management and single-member statements, not a complete owner list.
Section 53-19-8 calls for the name, registered office/agent, different current principal business address where applicable, any nonperpetual duration and statements concerning manager management and single-member operation when applicable.
A company created under New Mexico law is domestic regardless of the founder’s nationality. An existing company formed elsewhere reviews the foreign-registration route and its different fee; a foreign owner alone does not turn $50 domestic articles into the $100 foreign registration category.
New Mexico ordinary LLC formation preparation Name and structure
Check a compliant available name and whether the activity can use an ordinary LLC.
Agent and addresses
Obtain eligible New Mexico agent consent and the local registered office. Prepare the accurate principal business address if different.
Article statements
Specify duration when nonperpetual and the applicable manager-managed/single-member statements.
Organiser and submission
Use the current online process, required signatures and agent acceptance; review payment before submitting.
Private records
Retain approval, establish the ownership/authority ledger and agreement, then complete the correct EIN and tax-registration work.
No annual report does not suspend local notice duties
Maintain an eligible New Mexico agent and registered office.
The LLC Act allows a New Mexico resident individual or an eligible domestic/authorised entity with the required local business location. An overseas owner does not become eligible personally simply by renting a mailbox.
The agent accepts appointment, and a change uses the applicable state filing. Confirm forwarding abroad, urgent escalation, renewals and access to legal notices. The registered office and the principal business address are distinct fields with different purposes.
A notice-service address is not automatically accepted as an operating address by a bank. Keep real business-location evidence and assess the provider’s country/activity rules separately rather than assuming New Mexico registration solves every identity check.
Limited public ownership fields still need private evidence
An organiser’s signature is not a complete ownership certificate.
The ordinary articles do not require a complete member or manager name list, but the agent, registered office, applicable principal business address and organiser/signature information are filing data. Extra provisions or a founder signing personally can reveal more.
Keep a signed operating agreement, member ledger, contribution records and evidence of who may bind the company. These are useful when a bank or counterparty needs to reconcile the public organiser with the actual owner and authorised representative.
Avoid a claim that owners can never appear in any public document. Amendments, litigation and other records can disclose additional information, and tax authorities and banks can require full beneficial ownership details independently of the minimum articles fields.
State tax registration follows the applicable business duties
The New Mexico BTIN is different from the federal EIN.
Taxation and Revenue says anyone engaging in business in New Mexico must register. Review the actual activity and tax-account requirements rather than treating a company’s $50 formation certificate as a completed business tax registration.
Gross receipts tax is separate from tax on profit. The Department’s guidance addresses receipts from relevant New Mexico business transactions, with exemptions, deductions and sourcing rules requiring their own analysis. A non-US owner is not an automatic exemption, while a bare claim that every worldwide receipt is taxable just because the LLC was formed here is also unsupported.
Determine where services are performed and used, what customers receive, physical/economic presence, payroll and any taxable receipts. Register the appropriate BTIN/accounts through the current tax system when required and maintain assigned filing obligations, including periods without payment when applicable.
No SOS annual fee does not mean no entity tax
Corporate tax elections and nonresident pass-through owners change the analysis.
New Mexico’s corporate tax guidance includes LLCs taxed as corporations in its corporate income/franchise scope. The stated corporate franchise tax is $50 per taxable year or fraction when applicable. It should not be added universally to a default disregarded LLC or omitted universally for every corporate-taxed structure.
Relevant pass-through entities review nonresident-owner withholding, an eligible entity-level election and qualifying composite reporting under the Department’s current guidance. A sole-owner disregarded business and a partnership do not automatically use the same returns.
Beginning with tax year 2023, the published pass-through guidance reports applicable withholding on the entity’s PTE, S-Corp or FID-1 return; it does not direct current filers universally to the old standalone RPD-41367 workflow. Review the actual owner type, source income, election conditions and tax year.
Use the IRS international application rules
An EIN is free; paid application help is optional.
Use the approved legal name and actual responsible party. SS-4 line 7b provides the foreign or N/A instruction when that individual lacks an SSN or ITIN and is ineligible to obtain one. A local agent address alone does not establish eligibility for the online EIN assistant.
Keep the IRS confirmation and check banking eligibility before funding commitments. Neither the EIN nor a private ownership record guarantees account approval, and LLC ownership does not grant US residence or work permission.
Keep funding and reimbursement records
A company without sales can still need Form 5472.
A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner contributions and distributions can qualify. The initial failure-to-file penalty for a required complete form is $25,000.
Assign bookkeeping and return/extension responsibility before the first owner transfer. Multi-member or corporate-taxed structures require their own filing analysis. FinCEN currently exempts US-created entities from BOI reporting; that exemption does not cancel IRS information returns, state tax duties or bank checks.
Close the legal entity and its tax accounts deliberately
No annual report is not a substitute for dissolution when the business ends.
Use the applicable winding-up and articles-of-dissolution process, resolve liabilities and distributions and retain records. Section 53-19-63 lists a $25 base dissolution filing; verify the current online payment and applicable requirements before submitting.
Finish final tax returns and close the relevant accounts through Taxation and Revenue. Cancelling the agent, stopping sales or ignoring a tax portal does not independently complete those tasks.
New Mexico’s low registry burden can be a valid reason to consider it alongside actual activity, privacy needs, tax treatment and service costs. No unsupported claim that a Wyoming company automatically receives better bank treatment is needed. BaseAcross forms Wyoming and Delaware; our alternative-state offer does not form New Mexico LLCs or manage their tax accounts.
Questions
Questions about a New Mexico LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can I own a New Mexico LLC while living outside the US?
Generally yes. Maintain an eligible New Mexico registered agent and office, accurate articles and ownership records, and applicable federal, state and home-country tax compliance.
Does a New Mexico LLC have an annual report or annual SOS fee?
Ordinary LLCs have no annual or biennial SOS report. The $50 formation-only registry benchmark excludes agent renewals, tax obligations, amendments, professional help and later dissolution.
Can I still mail New Mexico LLC articles?
The current SOS business-services instructions say business applications must be filed online through SOS Enterprise and paper applications are no longer accepted. Use the current official instructions rather than a legacy printable packet.
Are New Mexico LLC owners completely anonymous?
No complete member/manager list is required in ordinary articles, but organiser/signature, agent and address details are filing data and other records can reveal more. Banks and tax authorities can require complete ownership and authority evidence.
Is a New Mexico BTIN the same as my EIN?
No. The EIN is federal. New Mexico business tax registration and relevant BTIN/accounts are separate, based on the Department’s registration rules and actual business activity.
Does every New Mexico LLC pay the $50 corporate franchise tax?
No universal charge is assumed. Corporate-taxed LLCs fall within the corporate tax analysis when applicable; default disregarded and partnership structures need their own owner/pass-through review.
Does having no revenue eliminate Form 5472?
Not necessarily. A foreign-owned US disregarded LLC may have reportable related-party contributions, distributions or other transactions before sales. Review Form 5472 with a pro forma Form 1120 and keep the first funding records.
Does BaseAcross form New Mexico LLCs?
BaseAcross forms Wyoming and Delaware companies. The New Mexico guide supplies official resources and the local requirements; its alternative-state offer does not include New Mexico formation or tax registrations.
