Texas · A guide for founders abroad
Forming an LLC in Texas from outside the United States.
You can generally own a Texas LLC from abroad. Compare the actual payment cost, annual public reporting and franchise-tax rules before relying on a “no tax due” headline.
Checked against the official state, IRS and FinCEN sources below. BaseAcross files in Wyoming and Delaware. We do not form Texas LLCs; this guide helps you assess Texas and follow its official filing route.

Should you choose Texas?
Texas operations matter more than the no-income-tax headline
A non-US resident can generally own a Texas LLC without a US partner. Forming the company does not confer immigration status or guarantee a bank account. Regulated activities and sanctions require their own eligibility checks.
Texas can be a practical home for a business with Texas staff, facilities or actual operations. A founder serving customers remotely from another country should first establish where business activity creates registration and tax duties. A Wyoming or Delaware registration does not erase Texas obligations if the company actually operates there.
Texas has no individual state income tax, but LLCs fall within a separate franchise-tax and public-reporting system. “No tax due” can be the correct tax result and still leave an annual filing obligation. This guide covers a new domestic Texas LLC rather than registering an existing non-Texas company.
True formation cost
Separate the $300 state fee from the payment method
The ordinary Form 205 filing fee is $300. The official instructions add a 2.7% convenience fee for credit-card payments: $8.10 on a $300 filing, producing $308.10. A qualifying check payment uses the $300 base; follow the current instructions for a check drawn on a US bank.
The calculator treats the card and check examples as alternatives so it does not count both. Neither includes a registered-agent subscription, optional preparation service, translations, accounting or address products. Confirm the live portal payment options before paying.
The $300 five-year registry comparison assumes one formation filing, no charge for the ordinary annual Public Information Reports and no franchise tax under each applicable year’s actual rules. It is a registry illustration, not a promise that five years of business activity will be tax free. The published 2026–2027 threshold must not be projected indefinitely.
Costs and worked example
What does a Texas LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The published $2,650,000 threshold applies to 2026 and 2027 reports. Check the actual threshold and liability for every later reporting year.
A $0 tax result does not cancel the annual PIR or federal foreign-owner filings.
US records-address arrangements, agents, payment eligibility and professional work need actual quotes.
Certificate steps
Form 205 makes management structure a public-record decision
Check legal name availability and use the required LLC designation. Confirm whether a professional or regulated activity requires a different entity or filing. The ordinary Form 205 is not a substitute for professional-entity advice.
Choose a qualifying Texas registered agent and registered office. The LLC cannot act as its own agent. Obtain the agent’s consent and preserve it; a service address and consent are not replaced by a virtual mailbox or an overseas principal office.
Decide whether managers or members will manage the LLC. The certificate identifies each initial manager if manager-managed, or each initial member if there are no managers, with the required address. The organiser signs the filing; the standard form does not require notarisation.
Use the current SOS forms index to reach the supported filing system. Where SOSPortal provides an electronic workflow, follow its instructions rather than uploading a completed PDF into a field that says not to attach it. Submit the correct information and payment, then retain the accepted certificate and SOS file number.
Prepare an operating agreement matching the management choice, ownership, capital contributions and signing authority. Arrange business records and account access so a founder abroad can receive official notices and satisfy later reporting requirements.
Franchise tax threshold
For 2026 and 2027, the threshold is $2,650,000
The Comptroller publishes a $2,650,000 no-tax-due threshold for 2026 and 2027 reports. The test uses annualised total revenue under Texas rules. It is not simply profit, cash left in the bank or Texas customer receipts. Short periods and combined reporting can change the calculation.
An entity at or below the applicable threshold generally no longer files a No Tax Due Report for report years 2024 onward. A Texas LLC still files its Public Information Report. Do not confuse the removal of that tax report with removal of all annual reporting.
Above the threshold, the margin calculation, available deductions, rates and relevant special rules determine the tax. Texas formation or Texas nexus can bring an entity within the system even if its owner lives abroad. Sales/use tax, employer duties, local permits and obligations in another state or country are additional questions.
Annual reporting
A $0 tax result still needs an annual PIR
A domestic Texas LLC normally files Form 05-102, the Public Information Report, with the Comptroller. The Ownership Information Report is used by other covered entity types; it is not the interchangeable default form for an ordinary domestic LLC.
The normal annual reporting schedule is May 15, starting in the year after formation. For a company formed in October 2026, plan the first reporting cycle in 2027 and confirm the actual due date, including any weekend or holiday adjustment. Filing the certificate with the SOS does not submit that later Comptroller report.
Keep the Comptroller taxpayer number, SOS file number and Webfile access details secure. Verify the actual annualised-revenue period, submit the PIR and any required franchise report, retain confirmations and update changes rather than approving prefilled information without checking it.
Public roles and addresses
Texas disclosure reaches beyond the formation certificate
The annual PIR instructions require all managers and, for a member-managed domestic LLC, all members, plus any officers. These public reporting roles make Texas unsuitable for a promise that every owner’s name will remain off the public record. Appointing a manager does not erase ownership disclosure to banks or tax authorities.
The report also asks about relevant entity ownership interests of 10% or more. Read those entity-to-entity fields separately from the management chart; neither should be described as the same thing as a universal individual beneficial-owner list.
The Comptroller’s online instructions describe a US principal-office address where records are kept and a separate principal place of business for day-to-day operations. An overseas founder should resolve these actual recordkeeping and address requirements before filing. Do not invent Texas operations or assume the registered agent automatically permits its address for every field.
EIN and federal filings
A Texas threshold does not decide federal tax
Once the LLC exists, obtain its EIN directly from the IRS without an IRS application fee. The online application has eligibility limits. An international responsible party without an eligible US taxpayer number should follow current SS-4 instructions and use the applicable international application channel instead of borrowing another person’s identity.
A foreign-owned single-member LLC that is federally disregarded can owe Form 5472 with a pro forma Form 1120 when reportable transactions occur, including owner funding. The initial nonfiling penalty is $25,000. That obligation can arise even if the Texas franchise tax due is zero.
A multi-member LLC normally starts with partnership classification unless a valid election changes it; foreign-partner withholding and owner returns need their own review. Check US-source and effectively connected income, relevant treaties and home-country treatment before treating the business as tax free.
Current FinCEN guidance exempts US-created entities from BOI reporting. A newly formed Texas LLC can be foreign-owned and still fall within that domestic exemption. A company created abroad and registered in Texas requires a different analysis; check the current guidance at the time of action.
Remote bank preparation
Ask about residence and business eligibility before buying extras
Use the accepted certificate, EIN confirmation and operating agreement to document the company. Prepare identity and residential-address evidence for beneficial owners and controllers, a business description, expected payment flows and any requested proof of operations.
A provider may restrict supported countries, industries, addresses or remote applications. Neither a Texas certificate nor the $308.10 card example buys bank approval. Confirm whether the actual US records address and overseas operating location are accepted before paying for an address package or making customer promises.
Changes and closure
Manage both the SOS record and Comptroller account
Maintain a consenting registered agent, current office details and accurate annual PIR information. Preserve notice access from abroad. A filing service renewal is not evidence that the Comptroller report has been filed or a tax balance paid.
When stopping, follow the official SOS termination and Comptroller tax-clearance requirements for the actual entity. Check final federal and foreign-owner reporting as well. Simply ceasing sales, abandoning the agent subscription or letting the entity lose good standing can leave unresolved obligations.
Questions
Questions about a Texas LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can a non-US resident form a Texas LLC?
Generally yes, subject to industry and other restrictions. You need a qualifying Texas agent and accurate filings. Ownership does not grant US work permission or guarantee remote banking.
Does a Texas LLC cost $300 or $308.10?
The ordinary certificate fee is $300. The published 2.7% credit-card charge adds $8.10, making that payment example $308.10. A qualifying check route uses the $300 base. Services are additional.
Does no franchise tax due mean no annual filing?
No. A domestic Texas LLC still files its Public Information Report. At or below the applicable threshold, the separate No Tax Due Report is generally no longer required for report years 2024 onward.
What is the Texas no-tax-due threshold in 2026?
The published threshold is $2,650,000 of annualised total revenue for 2026 and 2027 reports. It is not a profit threshold and should not be assumed unchanged for later years.
Which Texas owners or managers become public?
The certificate names initial managers, or initial members if there are no managers. Annual PIR instructions require all managers, all members for a member-managed LLC, and any officers. Banks and tax agencies have separate ownership requirements.
Can my overseas office be used for every Texas report field?
No automatic assumption is safe. The Comptroller instructions describe a US principal-office address where records are kept and a separate day-to-day business location. Confirm the appropriate recordkeeping and address arrangement.
Does a Texas LLC below the threshold avoid Form 5472?
Not necessarily. A foreign-owned US disregarded LLC can have a separate federal Form 5472 and pro forma Form 1120 obligation for reportable transactions even with no Texas tax due.
