South Carolina · A guide for founders abroad

Forming an LLC in South Carolina from outside the United States.

South Carolina’s ordinary LLC route has no recurring SOS annual report, but tax classification matters. Compare the $110 statutory filing with the published $125 online total, manager disclosures and nonresident partner duties.

No ordinary annual report is a limited statement

A corporate tax election brings a different report and licence-fee regime.

A founder abroad can generally own an ordinary South Carolina LLC. The statutory Articles of Organization fee is $110. An LLC with ordinary disregarded or partnership treatment has no recurring SOS annual report, but that is not a promise of no ongoing filings or tax.

SCDOR distinguishes LLCs taxed as corporations: the corporate return includes its annual report, Schedule D, and applicable licence fee. That filing is with Revenue rather than an ordinary annual LLC report at the Secretary of State.

Assess classification before budgeting. The $110 base formation/no-recurring-registry-report example assumes ordinary noncorporate LLC treatment; it is not a quoted five-year cost for every tax election. A registered-agent renewal is a commercial service, separate from both registry and tax obligations.

The partner’s foreign address does not settle withholding

Review SC1065 and the I-309 route before paying owners.

A partnership-taxed LLC reviews SC1065 and relevant nonresident partner withholding. SCDOR explains that a qualifying signed I-309 Nonresident Shareholder or Partner Affidavit and Agreement can shift compliance responsibility to the partner under its conditions.

The partnership attaches the applicable I-309 forms to SC1065 or its SC8736 extension under current instructions. This is a documented compliance route, not a blanket assumption that every overseas owner owes no South Carolina tax. Eligible composite treatment also needs a separate review.

Consider actual South Carolina-source activity, owner returns, estimated payments and classification. A single-member disregarded LLC and a corporation-taxed LLC require their appropriate analysis. The company’s formation document and a federal EIN do not replace those tax tasks.

What does a South Carolina LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

South Carolina ordinary domestic LLC costs · checked October 17, 2026

The published per-filing online fee is distinct from the statutory charge and should be confirmed in the live transaction.

No ordinary SOS annual report does not mean no SCDOR returns, corporate-election duties or nonresident withholding.

  1. Use the correct articles and actual management structure

The initial designated office and agent are separate from private ownership records.

Create a domestic company when the new entity is organised under South Carolina law. An existing company formed elsewhere reviews foreign authority; an owner living abroad does not change a newly created domestic LLC into a foreign entity.

Section 33-44-203 requires the company name, initial designated-office address, initial agent and service address, each organiser’s name/address, any term-company designation, required management information and whether members accept specified company-debt liability. Arrange a consenting eligible agent and local service address before signing.

Use the SOS official Business Entities Online route or current downloadable instructions, check the name and execution requirements, and retain the accepted document. The SOS FAQ says a separate name reservation is unnecessary when ready to organise; a name search alone still does not guarantee acceptance.

    South Carolina ordinary LLC preparation
    1. Scope and name

Confirm ordinary LLC, compliant available name and any regulated activity.

    2. Local arrangements

Prepare the designated-office information and eligible registered agent/service address.

    3. Management and organisers

Choose the actual management structure and supply required organisers and initial manager details.

    4. Submit

Confirm the $110 statutory base, any online service charge and the accepted effective date.

    5. Private/federal setup

Document members and authority, arrange the EIN and assess tax/licence accounts.

    6. Ongoing

Maintain agent/details and applicable tax compliance even without an ordinary SOS annual report.

  2. Member-managed does not mean every filing is private

    Manager-managed articles identify initial managers.

The articles state whether management is vested in managers and, if so, give each initial manager’s name and address. They also disclose organisers and the agent. A manager can be a member or a different person; it is inaccurate to equate every named manager with the complete ownership roster.

The ordinary member-managed article route does not request a complete passive-owner list. Optional provisions, additional filed statements and other records may still identify people. A commercial agent does not remove required manager or organiser fields.

Keep the operating agreement, membership ledger, funding and signing-authority evidence accurate and available. Banks and tax authorities can require ownership details beyond the public articles, so do not sell the absence of an ordinary annual report as anonymity.

  3. The online service charge is separate from the statute

Budget $110 base or the published $125 online combination.

Section 33-44-212 lists $110 for ordinary LLC articles. SC.gov’s published Business Entities Online subscriber terms describe a $15 per-filing service charge for that system. Together they produce the familiar $125 online formation figure, while the ordinary paper base is $110.

The linked service-fee document is an older published agreement, so confirm the current live transaction before paying, including any optional items. This review did not complete a paid filing. Do not import a corporate CL-1 charge into every ordinary LLC formation merely because both are business entities.

The calculator treats online and paper formation as exclusive routes. It does not add both prices or add a recurring ordinary annual-report charge. Provider preparation, agent service, licences and tax work remain separate from either route.

  4. SOS approval does not provide every permission

Retail, professional and local licences use other agencies.

The SOS FAQ distinguishes DOR retail licences, professional licensing through the relevant regulator and city/county business licences. The SOS also does not register ordinary DBA/trade names. Confirm the appropriate name/permission route for the activity rather than assuming the articles include it.

A remote founder should identify who monitors agent mail, who updates the public record and which tax accounts must stay active. A company with no recurring ordinary SOS report still needs accurate agent information and real records of ownership, contracts and transactions.

If business expands into another state, review that state’s authority, tax and licensing rules. The state on the formation certificate does not control every compliance obligation created by staff, inventory, property or customer activity.

  5. Apply for the free EIN with the real responsible party

IRS online eligibility is separate from the state portal.

Follow SS-4 and its international instructions after confirming the company’s accepted name. Where the responsible party has no SSN or ITIN and is ineligible for either, line 7b explains the foreign or N/A entry. Do not substitute an agent’s personal identity for the actual responsible party.

Keep the IRS notice, articles, agreement and authority/ownership evidence for banking. Providers independently assess country, activity and address eligibility. South Carolina formation does not guarantee an account or US immigration permission.

  6. No annual registry report does not remove Form 5472

Record funding and withdrawals before trading.

A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner contributions and distributions can be reportable, even before sales. The initial penalty for a required missing or incomplete Form 5472 is $25,000.

Assign bookkeeping, tax returns and extensions early; other tax classifications need different filings. FinCEN currently exempts US-created entities from BOI reporting, but that does not cancel IRS returns, relevant SCDOR reporting, agent maintenance or bank checks.

  7. The ordinary online registry benchmark is $125

Choose the formation state around actual operations.

For an ordinary noncorporate LLC with no later change filings, $110 articles plus the published $15 online service charge gives a $125 five-year registry benchmark. Paper formation is $110 base. Agent renewals, taxes/returns, licensing, support and later termination are excluded.

Chapter 44 distinguishes dissolution, winding up and filing articles of termination; the statutory termination filing is $10. Complete the relevant final tax/account tasks as well. Cancelling an agent subscription does not complete the legal and tax closure.

South Carolina can fit local business, and forming elsewhere does not remove applicable local authority/tax rules. BaseAcross forms Wyoming and Delaware companies. Our alternative-state offer does not include South Carolina articles, registered-agent service, licences or tax returns.

Questions

Questions about a South Carolina LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can I form a South Carolina LLC while living abroad?

Generally yes, with an eligible local registered agent and the required office, management and organiser details. A new South Carolina-law entity is domestic even with overseas owners.

Does a South Carolina LLC file an annual report?

Ordinary disregarded/partnership LLCs have no recurring SOS annual report. Corporate-taxed LLCs review the SCDOR corporate return, annual report and licence-fee regime instead.

Is South Carolina LLC formation $110 or $125?

The statutory articles base is $110. Published SC.gov terms describe a $15 Business Entities Online service charge, producing $125 online. Confirm the actual transaction and optional charges; paper base is $110.

Does South Carolina publish every LLC owner?

Manager-managed articles identify initial managers, while organisers and agent information are also filed. That is not a complete passive-owner roster, but it is meaningful public disclosure and not an anonymity guarantee.

Can a nonresident partner use I-309 to avoid every tax duty?

No. A qualifying I-309 is a documented agreement shifting relevant compliance to the owner under its conditions. Assess SC1065 attachments, actual South Carolina income and the owner’s return or eligible composite route.

Does SOS approval include retail and local business licences?

No. Retail licensing, professional licensing and city/county business licences use their respective authorities. The SOS also does not register ordinary DBA/trade names.

What is included in the $125 five-year comparison?

It is $110 ordinary articles plus the published $15 online service fee with no recurring ordinary SOS report. It excludes agents, taxes, licences, professional services and later changes or termination.

Does BaseAcross form South Carolina LLCs?
