Choosing Wisconsin

Low registry fees come with public management reporting

A founder abroad can generally own an ordinary Wisconsin LLC. The Department of Financial Institutions, not a Secretary of State, handles its formation and annual report. Wisconsin may suit actual local operations; a remote founder should compare activity-based registration and owner tax obligations first.

A new Wisconsin-created company is domestic even when the owner is overseas. Registering a pre-existing entity formed elsewhere uses foreign registration and a different reporting schedule. Neither structure automatically provides US immigration permission, bank eligibility or exemption from regulated-industry rules.

The May 2026 annual form is important: it requests at least one manager or, for member-managed companies, at least one member. A claim that a member-managed Wisconsin LLC never publicly identifies a member is not supported by the current form.

Filing channels

Use $130 online or $170 paper, and price reports separately

The current DFI schedule lists $130 for ordinary online articles and $170 for paper articles. Domestic annual reports are $25 online; paper filing adds the $15 surcharge, giving $40 for one current annual report. Choosing paper formation does not force paper reports forever.

The published next-business-day expedite is an additional $100. The fee schedule also lists in-person faster tiers with separate conditions. Do not copy an older $25 expedite figure or treat a processing request as guaranteed approval of defective documents.

At unchanged rates, online articles plus four online annual reports give $230 registry-only. Paper articles plus four $40 paper reports give $330; paper articles followed by online reports give $270. Agent services, taxes, licences and support are extra.

Costs and worked example

What does a Wisconsin LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

Wisconsin ordinary domestic LLC costs · checked October 17, 2026

A member-managed LLC is not exempt from public member naming on the current annual report.

Formation and report channels are independent; future report fees are excluded from setup.

PW-1, composite reporting, approved PW-2 relief and electronic payments require separate analysis.

  1. Formation steps

Keep the registered-agent email and real principal office current

Check the legal name and LLC designation in DFI’s records and review whether the activity needs professional or other specialised treatment. Name availability is finally determined when DFI examines the filing; a search is not a guarantee or trademark clearance.

Appoint a qualifying Wisconsin registered agent at a genuine street office, with the required email. The office must be the agent’s business office; a PO box, mailbox service or telephone answering service alone is not enough. The LLC cannot name itself as its own agent.

Form 502 identifies the agent, registered office, principal office, each organiser and the drafter, with an organiser signature. The principal office need not be in Wisconsin. Follow the current online or paper route, use accurate addresses and keep the accepted articles and entity identifier.

Adopt a written operating agreement specifying ownership, contributions, transfers and who manages. Under the current instructions, management defaults to members unless the written agreement provides for manager management. Match later report roles and signing authority to the actual arrangement.

  2. Public record

Formation and renewal ask different questions

The ordinary articles list organisers and the registered agent and office information. The May 2026 annual report expressly requires the name of at least one manager if manager-managed, or at least one member if member-managed. The report says the information becomes public.

This does not mean every passive beneficial owner is necessarily on the ordinary report. It does mean a universal “no members disclosed” sales claim is wrong. An owner who is also an organiser, signer or agent may appear through more than one role.

Private ownership records, bank due diligence and IRS reporting still require accurate information. Do not interpret a narrower public field as permission to hide an actual owner from a required filing.

  3. Quarter-based deadlines

Domestic renewal follows the formation quarter, not one national date

A domestic Wisconsin LLC reports each calendar year after formation, during the quarter containing the formation anniversary. The quarter-end deadlines are March 31, June 30, September 30 and December 31. An October 2026 formation normally first reports by December 31, 2027.

An existing non-Wisconsin entity registered there follows the foreign first-quarter schedule instead. Owner residence does not decide which calendar applies. Use the actual DFI entity record and current instructions.

Keep the agent email, registered office and principal office current. Review rather than blindly approve prefilled information, retain acceptance and payment evidence and arrange independent reminders. A tax return or agent subscription does not submit the DFI report.

  4. Nonresident-owner tax

A composite return does not automatically remove PW-1 withholding

Wisconsin activity, income source and federal classification determine the state return. A partnership-classified LLC should review Form 3 and owner schedules. Corporate treatment and a valid entity-level tax election create different requirements; a foreign individual cannot assume every election is available or beneficial.

The Revenue withholding FAQ says a nonresident included in a composite Form 1CNP still needs appropriate PW-1 reporting and withholding. A composite return is not a universal substitute for that process. Relevant PW-2 exemption affidavits require the applicable conditions and approval; obtain advice before stopping payments.

The 2026 PW-ES instructions require estimated pass-through withholding when total withholding for the year is $500 or more. They use 7.65% for income passed to individuals and fiduciaries, and 7.9% for relevant entity recipients, subject to the actual rules and exceptions. These are withholding calculations, not a statement that every owner’s final tax equals that percentage.

Review current electronic filing and payment requirements as well as any approved waiver. State sales/use registration, employer obligations, federal foreign-owner reporting and home-country returns remain separate from DFI renewal.

  5. EIN and IRS filings

Prepare the international application and funding records

Apply for the EIN after acceptance; the IRS direct fee is $0. A responsible party abroad who cannot use the online tool should follow the current SS-4 international instructions and permitted entry where no eligible SSN or ITIN exists. Do not buy a borrowed responsible-party identity to bypass eligibility.

A wholly foreign-owned US disregarded LLC can require Form 5472 with a pro forma Form 1120 for reportable owner transactions, including contributions before revenue. The initial failure penalty is $25,000. A multi-member default partnership or corporate election has a different return and potentially foreign-owner withholding.

Current FinCEN guidance exempts US-created entities, including a Wisconsin LLC owned abroad, from BOI reporting. Some older state explanatory text describes the earlier domestic reporting regime; check FinCEN directly for the current rule. A company formed outside the US and registered in Wisconsin needs the separate analysis.

  6. Banking from abroad

An accepted Wisconsin office field is not a bank guarantee

Gather accepted articles, EIN confirmation, the operating agreement and ownership chart, owner/controller identity and residential evidence, and documents explaining the actual activity and operating location. A bank may need more than the public DFI record.

Check supported residence countries, industries and remote account opening with the chosen provider. A registered-agent street office does not automatically satisfy every bank operating-address field. There is no verified basis here to promise that banks prefer Wyoming or reject Wisconsin because of the formation state.

  7. Maintaining and closing

Keep DFI and Revenue actions distinct

Late or missing reports can lead to administrative dissolution after the applicable notices and opportunity to correct. Preserve access to the agent email and DFI account when changing providers; a paid agent invoice is not proof of report filing.

When the company stops, use the current DFI dissolution or termination route and separately resolve Revenue and federal final returns and account closures. The current schedule distinguishes online and paper termination charges. Confirm the correct transaction instead of treating inactivity or an empty bank account as legal closure.

Questions

Questions about a Wisconsin LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can I own a Wisconsin LLC from outside the US?

Generally yes for an ordinary LLC, subject to activity and other restrictions. You need a qualifying Wisconsin agent and accurate filings, plus separate tax and banking planning.

Is Wisconsin formation $130 or $170?

The ordinary articles fee is $130 online and $170 on paper. Provider help, optional expedite, licensing and tax work are separate.

Does a member-managed Wisconsin LLC name a member publicly?

Yes. The current May 2026 annual form asks for at least one member if member-managed, or at least one manager if manager-managed, and says the report information becomes public.

When does an October 2026 Wisconsin LLC first report?

For an ordinary domestic LLC, the first annual report is normally due during the formation quarter in the next calendar year, giving a December 31, 2027 deadline. Confirm the DFI record.

Is the annual report $25 or $40?

The domestic online report is $25. The current paper surcharge adds $15, giving $40 for one current paper annual report. Filing channels can be chosen separately for formation and reporting.

Does a composite Wisconsin return replace PW-1?

Not automatically. The Revenue FAQ says relevant nonresidents included in a composite return still need PW-1 reporting and withholding. Review approved exemptions, current-year payments and owner returns separately.

Is the Wisconsin agent office allowed to be only a mailbox?

No. Current articles instructions require a genuine Wisconsin street office matching the agent’s business office, not solely a PO box, mailbox or telephone answering service. The principal office can be outside Wisconsin.
