Before you choose

Can you form a Louisiana LLC while living outside the US?

Yes. A non-US citizen living abroad can generally own a Louisiana LLC, including a single-member LLC. Ownership does not itself require a US visa or a move to Louisiana. Regulated activities and restrictions affecting particular owners or countries need separate review.

Louisiana can be a practical choice when your business will actually operate there. If you will run a remote business entirely abroad, compare its recurring costs and public disclosures with other states before choosing. Forming elsewhere does not remove obligations created by Louisiana operations.

Owning a company and having permission to work physically in the United States are separate questions. If you plan to move, travel to work, or hire in the US, resolve those requirements as part of the plan.

Choose the right filing

A foreign owner is different from a foreign LLC.

The word foreign describes where an existing entity was formed, not its owner's nationality. Choose the filing for your company rather than the one whose name sounds like your immigration status.

Which Louisiana filing applies?
  1. Your situation

You live abroad and are creating a new Louisiana company

    The route

Domestic LLC: Articles of Organization and an initial report, using the Form 365 instructions.

  2. Your situation

You already have an LLC formed in another US state

    The route

Foreign qualification if its Louisiana activity requires registration: Form 972, rather than new Louisiana articles.

  3. Your situation

You already have a company formed outside the US

    The route

Get advice on registering that entity or forming a US subsidiary. Its legal structure and tax treatment matter.

For foreign qualification, Louisiana requests a home-jurisdiction certificate of good standing or existence less than 90 days old. That is a different document pack from forming a new domestic LLC.

Costs and worked example

What does a Louisiana LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

Louisiana domestic LLC costs · checked October 16, 2026

Already have an LLC formed elsewhere? The foreign-qualification filing is $185 before payment charges. It is not the $125 domestic formation above.

  1. Your preparation checklist

What to have ready before filing.

Prepare the filing information first. Then keep a separate identity and banking pack: a passport is commonly requested by service providers and banks, but that does not make it an attachment to every state formation filing.

    • A proposed LLC name and an alternative, checked against the state's business records.
    • The company purpose, ownership percentages, and a decision about member management or manager management.
    • A Louisiana registered agent, its qualifying street address, and its agreement to accept the appointment.
    • The names and municipal addresses of the initial managers, or members when they manage the company, for the initial report.
    • Accurate business and correspondence addresses, an email you monitor, and the signer or authorized representative for the filing.
    • For later provider checks: valid identification, foreign residential-address evidence, and a clear description of the actual business.
Use the current Form 365 package linked from the official fee schedule as your field checklist. An online account, a name reservation, and an EIN are not evidence that Louisiana has approved the LLC.
  2. Agent and addresses

    Which address goes where?

Your registered agent receives legal notices in Louisiana. The agent's address does not automatically become your personal residence or the place where you conduct business. Ask the agent what mail and address uses its contract actually includes.

    Keep these address roles separate
    AddressWhat it is for
Louisiana registered officeThe qualifying physical address for the agent and service of process. A PO box alone does not meet the street-address requirement.
Manager or managing memberThe municipal address required in the initial report. Review the disclosure before submitting it.
Business and mailing addressesWhere operations take place and where correspondence is received. They can serve different purposes; use truthful information.
Owner's residential addressYour actual home address for identity checks. A bank's requirements are separate from the state filing.
  3. The filing walkthrough

How to form your Louisiana LLC from abroad.

Use this sequence to prepare the work. Before submitting, confirm your filing channel and the current document instructions with the Secretary of State or your Louisiana filer.

From name check to an approved Louisiana company
    1. 1 · Check the name

Search the state's records and include an allowed LLC designation. A domain registration does not reserve a legal company name.

What to keep: The available name and any reservation confirmation.

    2. 2 · Appoint the agent

Arrange a qualifying Louisiana agent and its acceptance before submitting the initial report.

What to keep: The service agreement and appointment details.

    3. 3 · Prepare Form 365

Complete the Articles of Organization and initial report using the official package. Confirm the management choice and address disclosures.

What to keep: A checked copy of every field and attachment.

    4. 4 · Resolve signing and filing

Use geauxBIZ or a filing method accepted by the state. Arrange the required acknowledgments and agent acceptance; do not assume a scanned signature replaces notarization.

What to keep: The completed signature and acknowledgment documents.

    5. 5 · Submit and check approval

Pay the applicable fees, monitor requests for corrections, and verify the accepted filing and effective date.

What to keep: The receipt, accepted articles, initial report and state record.

    6. 6 · Prepare to operate

Document ownership in an operating agreement, complete the EIN process, and review banking, licences and tax registrations.

What to keep: An organized company record and a calendar of obligations.

Filing from abroad: Louisiana law requires acknowledgment of the articles and a notarized acceptance by each registered agent. Agree the accepted signing method with your filer before arranging a foreign notarization. geauxBIZ may also request an FEIN during its combined workflow. If you have not obtained one, ask the Secretary of State how to complete your formation route without inventing a number or applying for a different entity's EIN.
  4. Your federal tax ID

Getting an EIN without an SSN or ITIN.

The IRS issues the EIN; Louisiana does not. Applying directly to the IRS is free. A paid provider charges for its work, not for purchasing the number.

A foreign responsible party without an SSN or ITIN can use Form SS-4. The instructions allow foreign or N/A on line 7b when that person has neither number and is ineligible to obtain one. Use the correct responsible party and the LLC's exact legal name.

Do not assume the online EIN application is available to you. Follow the current SS-4 instructions for your location and eligibility: fax or mail are available routes, and telephone issuance is restricted to qualifying international applicants. Submit one application through the appropriate route.

If Louisiana's portal requests an EIN before your formation is accepted, resolve the sequence with the state and your filer. Keep the proposed name and the eventual approved entity consistent across both agencies.
  5. Plan the whole timeline

State approval, EIN and banking are separate stages.

A faster state filing does not speed up IRS processing or guarantee a bank's decision. Ask which milestone a quoted turnaround actually covers, and leave time for corrections and delivery.

    Three milestones to plan separately
    1. Louisiana approval

Filing channel, the current queue, complete signatures and any corrections. Confirm the current estimate with the state; expedited processing is a separate choice.

    2. EIN issuance

The IRS route and completeness of Form SS-4. Its instructions describe fax processing generally within four business days and mail around four weeks; these are estimates, not guarantees.

    3. Bank or payment account

The provider's country coverage, identity checks, business review and requests for more information. Formation approval is not account approval.

  6. Understand the public record

Are Louisiana LLC owners' names and addresses public?

The initial report identifies the initial managers when managers run the LLC, or the members when management is reserved to them, with municipal addresses. If they have not yet been selected, the law requires a supplementary report after selection. Annual reports also identify the applicable managers or members.

That is more precise than saying every beneficial owner is always listed. Hiring a registered agent does not by itself remove the management disclosures. Review the actual management arrangement with a Louisiana professional rather than appointing someone solely to create a misleading record.

Public-record privacy is also different from disclosure to a bank, the IRS, or your home-country authorities. A state with fewer public disclosures does not make the owner invisible to those institutions.

  7. After state approval

Prepare the company for banking and real business.

Keep the accepted formation documents, operating agreement, EIN confirmation, ownership records and receipts together. Record money you contribute and expenses you pay personally for the company from the beginning.

    • Before applying for an account, confirm that the provider accepts the owners' countries, the activity and remote onboarding. Prepare identity, residential-address and business evidence.
    • Distinguish a bank account from a payment processor or money-services account. Compare the actual features, fees and protections you need.
    • Check business licences and tax registrations for the activity and location. geauxBIZ provides a checklist of possible federal, state and local requirements.
    • Separate business and personal transactions, agree who keeps the books, and arrange the first compliance review before the year closes.
  8. Your continuing obligations

What must a foreign-owned Louisiana LLC file each year?

State maintenance, federal returns and your own country's rules are separate. An LLC with no profit can still have filing obligations. Work out the tax classification and reporting calendar before assuming there is nothing to file.

Build a calendar around these obligations
    ObligationWhat to check
Louisiana annual reportDue on or before the formation anniversary each year. Keep the registered agent and required management details current.
Louisiana taxesTreatment depends on federal classification and Louisiana-source activity. The state corporation franchise tax was repealed for periods beginning January 1, 2026; income tax and other taxes can still apply.
Federal tax classificationA single-member domestic LLC is generally disregarded; two or more members generally means partnership treatment, unless an election changes it. The applicable returns follow that treatment.
Foreign-owned single-member reportingA foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Formation funding and distributions can count even without sales.
Beneficial ownership reportingUnder FinCEN's current rule, US-created entities are exempt from BOI reporting, including a Louisiana-created LLC with foreign owners. Some entities created outside the US and registered here remain covered.
Your home countryAsk a local adviser how the LLC, income, distributions and foreign accounts must be reported. US treatment does not determine treatment at home.
For a calendar-year foreign-owned disregarded entity required to file the Form 5472 package, the usual deadline is April 15, subject to applicable calendar rules and extensions. Keep records of owner funding and transfers. The IRS lists an initial $25,000 failure-to-file penalty; a filing extension does not automatically extend a tax payment deadline.
  9. Make the decision

Louisiana or Wyoming: start with where you will operate.

For a business with Louisiana premises, employees or property, investigate direct Louisiana formation first. Forming a Wyoming LLC and then registering it in Louisiana can add a second state's filings, fees and agent arrangement. The right answer depends on the activity, rather than where the owner happens to live.

For a business run entirely abroad, compare public disclosures, recurring costs and the requirements of your intended bank or processor. Louisiana's base five-year state charges are lower than Wyoming's in the comparison below. Wyoming generally requires fewer public ownership disclosures on its standard filings. Neither choice guarantees banking or payment approval.

Illustrative scenario: a founder abroad opening a New Orleans premises should compare a Louisiana LLC with the total cost of a Wyoming LLC plus Louisiana foreign qualification. A remote consultant with no Louisiana operations has a different decision. These are examples, not customer case studies.

Questions

Questions about a Louisiana LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can I form a Louisiana LLC without visiting the United States?

You can arrange formation from abroad, but you still need a qualifying Louisiana registered agent and correctly executed documents. Confirm the accepted signing and acknowledgment route with the state or your filer. A bank can impose separate identity or in-person requirements.

Does a foreign owner need foreign LLC registration?

Not simply because the owner lives abroad. Creating a new Louisiana LLC is domestic formation. Foreign qualification concerns an existing entity formed in another jurisdiction that needs authority to operate in Louisiana.

Do I need an SSN or ITIN to get an EIN?

Not in every case. The IRS Form SS-4 instructions allow foreign or N/A on line 7b if the responsible party has neither number and is ineligible to obtain one. Choose the appropriate application route rather than assuming you can use the online assistant.

Is my registered agent's address my business address?

Not automatically. It is the address for the agent's legal-notice role. Confirm separately what mailing services are included and which business and residential addresses the state, IRS and account provider require.

Can my Louisiana LLC have no income and still need tax filings?

Yes. A foreign-owned US disregarded entity can have Form 5472 reporting when it has reportable related-party transactions, including certain owner contributions and distributions. State maintenance and other tax filings must be assessed separately.

Does a Louisiana LLC owned by a foreigner need a BOI report?

Under the current FinCEN rule checked October 16, 2026, entities created in the United States are exempt. Foreign ownership alone does not turn a Louisiana-created LLC into a foreign-created reporting company. This does not remove bank identity checks or IRS filing obligations.

Does BaseAcross form LLCs in Louisiana?
