Kansas · A guide for founders abroad
Forming an LLC in Kansas from outside the United States.
Kansas cut its formation fee to $85 online in 2026. Understand the later 5% member disclosure, biennial April reports, local agent and foreign-owner tax work before choosing it from abroad.
Checked against the official state, IRS and FinCEN sources below. BaseAcross files in Wyoming and Delaware. We do not form Kansas LLCs; this guide helps you assess Kansas and follow its official filing route.
Online formation is $85; paper is $90. Future reports, agent service and tax work are separate.Official fees and forms
Start with the current form
Kansas formation now costs $85 online or $90 on paper.
An overseas founder can generally own a Kansas LLC. The current ordinary domestic articles, revised February 27, 2026, list $85 online and $90 paper. The Secretary of State's May 26 announcement confirms the fee reduction. Older $160 online or $165 paper quotations should not drive your budget.
These are registry charges, not a complete service package. A founder without an eligible local presence still needs a Kansas resident agent; accounting, tax returns, operating permissions and banking have separate requirements and costs.
A company created under Kansas law is domestic even when its owner lives overseas. If you already have a company formed elsewhere and want it to do business in Kansas, investigate foreign registration rather than automatically creating another entity.
Privacy changes at the reporting stage
The short articles do not eliminate the later 5% member disclosure.
Ordinary domestic articles ask for the LLC name, resident agent, registered office and authorised signatures. They do not contain a full member register. The later information report is different: each member holding 5% or more of the capital must be named with an address where that member may regularly be located.
The threshold is capital ownership, not a label such as manager or a generic beneficial-owner percentage. The ILC form also requests a physical principal-office address and includes country fields. Work out the actual membership and addresses before committing to this disclosure model.
The SOS warns that its filings are public records and may be viewable online. Hiring an organiser or agent does not remove a reportable member. Banks and tax authorities can request the entire ownership chain, including people below the public-report threshold.
Costs and worked example
What does a Kansas LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The calculator selects one formation channel. Future reports are shown for planning but cannot be added as if payable at formation. Unknown service and tax costs remain unpriced.
The Kansas filing sequence
Use the domestic LLC route and keep the approved articles.
Choose a distinguishable name with a permitted LLC identifier, confirm the resident agent's legal name and Kansas office, and use the official registration service linked by the SOS. A separate name reservation is not part of the ordinary articles fee.
Kansas ordinary domestic LLC workflow Choose the legal entity
Select an ordinary domestic Kansas LLC only if creating a new Kansas company; resolve professional or series structures separately.
Confirm local service
Appoint an eligible resident agent and a Kansas street office where legal notices can be received.
Complete and sign
Enter the legal name, agent and office; obtain an authorised person's signature and check effective details.
Choose one filing channel
Submit online for $85 or send the signed paper package with $90; do not submit both for the same formation.
Verify approval
Download or obtain the filed, certified articles and receipt, then preserve the state business ID and account access.
The official instructions say online processing happens within minutes. That describes the state filing channel, not a guaranteed end-to-end time for an EIN, bank account or operational launch. An address with a defined job
The resident agent needs a Kansas physical office, not just a mailing label.
The articles instructions allow an eligible individual, a Kansas-registered business, or the LLC itself to serve, with a Kansas address where the agent may regularly be present. A PO box is not accepted as the registered office. Living abroad does not establish that you can personally satisfy that local role.
Ask the provider about acceptance of legal documents, forwarding abroad, response times, annual renewal and what happens if service ends. Obtain permission before putting its address into a principal-office or other business-address field; those fields describe different functions.
Keep the registered office current and maintain direct access to state reminders. The principal-office requirement on the information report cannot be satisfied by leaving it blank because operations are overseas.
A calendar based on odd and even years
A Kansas LLC formed in 2026 first reports by April 15, 2028.
For-profit information reports are biennial. A company formed in an even year reports in each succeeding even year; an odd-year company follows odd years. A 2026 formation reports in 2028 and 2030. A 2027 formation reports in 2029 and 2031. The deadline is April 15 of the reporting year, not the formation anniversary.
The ILC instructions list $90 online or $110 paper. These are future report charges, separate from the new $85 online formation price. An ordinary LLC can use either channel; the form says a series of an LLC must use paper for its information report.
Check the principal office and every reportable member, enter the reporting year, sign and retain the stamped filing. Filing a report does not pay income tax or replace an agent renewal.
Do not treat the grace period as a deadline
The state allows three months of delinquency before forfeiture.
The SOS describes a three-month interval after the report due date during which a delinquent business can still report, with limits on what other documents it can file. After that interval, the entity forfeits and must submit overdue reports and obtain reinstatement before making other filings.
An overdue or forfeited company needs a record-specific review. Check outstanding report years and the current reinstatement instructions rather than sending only the newest report or assuming a tax filing restores registry status.
If you intend to stop operating, arrange formal winding up and tax-account closure. An expired agent subscription or forfeiture is not a substitute for handling creditors, final distributions and required tax returns.
A notice included with the articles
Certain foreign principals with covered real-property interests face separate registration.
The current DL and ILC instruction packages carry a Kansas Attorney General notice about specified foreign principals owning or acquiring covered real-property interests near military installations. It describes a 100-mile boundary test and interests connected to listed countries and designated organisations, including certain controlling interests through companies.
This is not a blanket rule that every foreign founder must make an extra LLC filing. If your ownership and intended property could fall within the notice, have counsel check the covered definitions, locations and registration deadline before acquiring the interest. The notice describes a 90-day registration requirement in the covered circumstances.
Use the full notice and current Attorney General process; a domestic LLC does not remove a foreign principal's separate property obligations. A business without such property should not confuse this specialised registration with its ordinary biennial report.
Federal identity after formation
Apply for the EIN through the international route that actually fits your business.
The IRS issues EINs without an application fee. Confirm the approved LLC name and responsible party before completing SS-4. If the responsible party lacks an SSN or ITIN and is ineligible to obtain one, line 7b provides foreign or N/A instructions.
A Kansas agent address by itself does not make an overseas business eligible for the online EIN assistant. Follow the current international phone, fax or mail instructions as applicable. Keep the confirmation with the articles, operating agreement and contribution records.
A state approval or EIN does not guarantee banking. Check the provider's actual country eligibility, industry restrictions, physical-address evidence and owner-identification requirements before purchasing related services. LLC ownership also does not itself grant immigration status or permission to work in the US.
The SOS report is not the tax return
K-120S and the SALT election need a separate classification and activity review.
Kansas Revenue publishes K-120S instructions for partnerships and S corporations. An LLC taxed as a partnership with Kansas operations or Kansas-source income needs to assess that return and the owners' Kansas reporting. A disregarded single-member LLC is a different income-tax case; do not assign a partnership return merely because the entity is called an LLC.
Eligible partnerships and S corporations may elect entity-level taxation under the SALT Parity Act on K-120S. The election is not a general exemption for foreign owners. Review the tax year, eligible owners, apportionment, credits and estimates with a preparer; the linked 2025 booklet is the latest published annual instruction set checked here, not a promise that every 2026 line or rate is identical.
Sales, payroll, licensed work and activity in other states can create further registrations. The owner's home country may classify or tax the US LLC differently. Running the company abroad and paying a biennial registry fee do not establish a zero-tax outcome.
Record funding as well as sales
Related-party transfers can create federal information-reporting duties.
For a foreign-owned US disregarded entity, reportable related-party transactions generally require Form 5472 attached to a pro forma Form 1120. Owner contributions and distributions can count, including funding before the first customer payment. The initial penalty for a missing, late or substantially incomplete required Form 5472 is $25,000.
Multiple owners or a corporate election change the filing analysis. Assign bookkeeping and filing responsibility early and preserve dates, counterparties, currency conversions and evidence of payments made for the company.
FinCEN currently exempts US-created entities from BOI reporting. That does not waive the IRS return, Kansas's 5% member report, bank due diligence or a covered foreign-principal property registration. A non-US entity registering to do business in Kansas needs its own BOI analysis.
Make the comparison on current fees
Kansas can be inexpensive without being a private ownership jurisdiction.
A 2026 formation with online reports in 2028 and 2030 has $265 in five-year base registry fees: $85 plus two $90 reports. Paper formation and two paper reports total $310. Neither amount includes an agent, tax preparation, operating registrations or property-specific compliance.
Kansas may fit actual Kansas operations or another concrete business need. Forming elsewhere does not remove Kansas foreign-registration or tax obligations when the activity still requires them. For a business run abroad, compare the disclosure threshold, total support cost and banking eligibility on their merits.

Questions
Questions about a Kansas LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can I form a Kansas LLC while living outside the United States?
Generally, yes. A new Kansas company is domestic regardless of your nationality. Arrange an eligible Kansas resident agent, accurate public filings and federal/state tax compliance; professional activities and covered property interests need separate review.
Is the Kansas online formation fee still $160?
No. The current DL instructions, revised February 27, 2026, list $85 online and $90 paper. Those are formation fees; the biennial information report has its own $90 online or $110 paper charge.
Will Kansas publish my name as an LLC owner?
The domestic information report names each member owning 5% or more of the capital and an address where that member may regularly be located. The ordinary articles have different fields, but an agent or organiser does not remove the later member disclosure.
When is the first report for a Kansas LLC formed in 2026?
By April 15, 2028, then April 15, 2030. Companies formed in odd years follow succeeding odd years. The reporting schedule is biennial and follows calendar-year parity, not the exact formation anniversary.
What happens if I miss the Kansas information report?
The SOS describes a three-month delinquency interval with filing limitations, followed by forfeiture if unresolved. A forfeited business needs overdue reports and reinstatement. Check the actual record and current requirements.
Does a Kansas LLC automatically avoid tax for an overseas owner?
No. Federal classification, related-party transactions, Kansas-source income, business activity and home-country treatment matter. Partnership-taxed LLCs need to review K-120S and any SALT election separately from the registry report.
Does every foreign owner have an extra Kansas property filing?
No. The articles package describes specialised registration for specified foreign principals with covered real-property interests near military installations. Review the full notice and proposed ownership and property with counsel if potentially covered.
