Alaska · A guide for founders abroad
Forming an LLC in Alaska from outside the United States.
You can generally own an Alaska LLC from abroad. Understand the filing, local agent, free initial report, paid biennial reports and separate business licence before choosing the state.
Checked against the official state, IRS and FinCEN sources below. BaseAcross files in Wyoming and Delaware. We do not form Alaska LLCs; this guide helps you assess Alaska and follow its official filing route.

Before you choose
Can you own an Alaska LLC while living outside the US?
Generally, yes. A non-US citizen living abroad can own a US LLC, including as its only member. Alaska requires a local registered agent, but that is different from requiring the owner to live there. Review any restrictions affecting your activity, country or ownership before paying for formation.
Alaska is worth considering when the business will have local operations, staff or property. For a remote business run abroad, compare reporting, licence requirements, privacy, banking eligibility and professional support. Forming a company does not grant a US visa or permission to work physically in the United States.
Choose the filing route
A foreign owner does not make your new LLC a foreign LLC.
For Alaska registration, domestic and foreign describe where an entity was created. Select the route for the company, rather than for your nationality.
Your situation
You live abroad and want a new Alaska LLC
The route to assess
Domestic Articles of Organization: $250 base filing fee.
Your situation
An existing LLC from another US state will transact business in Alaska
The route to assess
Foreign registration if qualification is required: $350 registration and a $200 biennial report, rather than domestic rates.
Your situation
You already own a company formed outside the United States
The route to assess
Assess registering that entity or creating a US subsidiary. The legal form, tax classification and reporting consequences differ.
Costs and worked example
What does an Alaska LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
For example, a 2026 formation reports in 2028 and 2030. Licence periods use calendar-year expiry, with extra coverage for a new licence issued after October 1; use its printed expiry to calculate your actual renewal payments. A foreign LLC pays different registration and report fees.
Your preparation checklist
What should you prepare before submitting the articles?
Choose the business structure and management arrangement before filling in the application. Keep the company filing documents separate from the identity evidence your bank or service provider will request.
- Check that the legal name is distinguishable and uses a permitted LLC ending. A separate name reservation is optional when you are ready to form directly.
- Describe the business purpose and select the appropriate Alaska NAICS activity code using the current form instructions.
- Confirm the Alaska registered agent's legal name, physical address and mailing address, and arrange reliable notice delivery to you abroad.
- Decide whether members or managers will manage the LLC. Prepare the organiser's details, signature and the company's actual addresses where requested.
- Agree ownership, contributions and decision-making in an internal operating agreement; do not attach private internal documents to the public filing unless specifically required.
The filing sequence
How to form the Alaska LLC from abroad.
Start at the state's forms-and-fees page and choose Domestic LLC Articles of Organization. A name search, business licence and EIN each serve a different purpose; none replaces the articles.
From application to company records Prepare the application
Check name, purpose, activity code, agent and management selection against the current articles instructions.
Submit the articles
File online or use the current paper route. The domestic filing fee is $250; do not send a second duplicate application or payment.
Check approval
Save the approved articles, entity number and receipt. Confirm the recorded details before using them for the EIN and bank.
Complete the initial report
File the free domestic initial report within six months. Save its confirmation separately from the articles.
Plan the operating requirements
Arrange any required business or professional licence before the relevant activity begins, then maintain your tax and reporting calendar.
Alaska offers immediate processing for eligible online filings. Optional provisions can trigger manual examination; paper filings normally take 10–15 business days and can take longer during busy periods. EIN processing and bank review add separate time.Addresses and notices
Which Alaska address do you actually need?
Your registered agent must maintain physical and mailing addresses in Alaska and be available for official notices. An eligible agent is an Alaska-resident individual or an authorised corporation; an LLC, LLP or LP cannot itself serve as the registered agent under the state's guidance.
An owner abroad should compare notice scanning, forwarding, response times and renewal prices before selecting an agent. The agent's address does not automatically become your trading premises or a bank-approved operating address. Ask which address services are included and use truthful business-location details.
Where the application asks for the company's business or principal-office address, Alaska's general entity guidance allows an in-state, out-of-state or foreign address. That does not relax the separate requirement for the agent to be physically in Alaska.
Initial and biennial reports
When are the first reports due? A 2026 example.
The free initial report and the paid recurring report are separate filings. For a new domestic Alaska LLC formed in 2026, use this sequence and verify the exact dates in its official entity record.
Example: domestic LLC formed October 16, 2026 Filing Example deadline and fee Initial report Within six months of formation: April 16, 2027 in this example. No state filing fee. First biennial report January 2, 2028. Domestic LLC fee: $100. Next biennial report January 2, 2030, then every second year on the same even-year cycle. Alaska uses the entity's creation-year parity, not the year you happen to submit the initial report. A 2027 formation follows the odd-year cycle, with the first biennial report in 2029. Check the entity record and file by the due date rather than treating the later late-fee threshold as extra time.Permission to operate
Do you need an Alaska business licence?
Entity formation and business licensing are separate. Alaska generally requires a business licence before engaging in business in the state, subject to specific exemptions. A remote founder should check applicability from the actual activity; simply choosing Alaska as the formation jurisdiction does not answer every licensing question.
The standard licence fee is $50 per year, with one- or two-year licensing periods. Ordinary expiry is December 31. A new licence issued after October 1 includes the remainder of that calendar year plus the purchased period. This can change the first renewal date, so use the expiry printed on the licence.
Professional permissions, local requirements and any endorsements are additional checks. The state's senior and disabled-veteran sole-proprietor discounts do not apply to an LLC.
Public records
Is an Alaska LLC anonymous?
Do not treat an Alaska LLC as anonymous. The initial report collects officials and ownership information, and recurring reports keep the record current. Review the members, managers and addresses required for your management structure before filing.
A registered-agent service can handle legal notices, but it does not remove required company disclosures. Keep an operating agreement and other private internal records in your own files. Banks and tax authorities may request ownership and identity information separately from the public state record.
Changes also need attention between reports. Use the correct change form for officials or addresses. A registered-agent change cannot be made through the biennial report itself.
Federal tax identity
How do you get an EIN without an SSN or ITIN?
An eligible international applicant can obtain an EIN using Form SS-4. If the responsible party has no SSN or ITIN and is ineligible to obtain one, the instructions permit foreign or N/A on line 7b. You must still identify the actual responsible party.
Check the IRS's current international application routes and contact details. The online tool has eligibility restrictions; an Alaska registered agent does not automatically make your application eligible. The IRS charges no EIN application fee; provider assistance is separate.
The Alaska entity number and the federal EIN are different. Save both confirmations and use the correct identifier for each filing.Banking and daily operations
What comes after the LLC and EIN are approved?
Finish the operating agreement, document owner contributions and keep company funds separate. Maintain bookkeeping from the first payment, including money you personally put into the company before it earns revenue.
Before relying on a bank or payment processor, confirm its current support for your residence country, activity, ownership and actual operating address. Prepare identity documents, the approved articles, EIN confirmation, ownership information and evidence of the business. Formation does not guarantee account approval.
Build one calendar for company reports, licence expiry, tax work and agent renewal. If you hire, hold inventory, sell into other jurisdictions or start a regulated activity, check the resulting registrations and obligations before operating.
Tax and federal reporting
What should a foreign owner check beyond state fees?
An LLC's tax treatment depends on its owners and elections. A domestic single-member LLC is generally disregarded, while a domestic multi-member LLC generally defaults to partnership treatment. Ask an adviser to check Alaska, federal, other-state and residence-country obligations for your actual activities rather than assuming that a state choice makes the business tax-free.
A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner funding and distributions can matter even without sales. An incomplete or late required filing can trigger a $25,000 penalty, so arrange records and filing responsibility early.
Under FinCEN's current rules, an entity created in the United States is exempt from Corporate Transparency Act BOI reporting, including an Alaska LLC with a foreign owner. Registering an entity formed outside the US is a different case. That exemption does not remove IRS returns or bank identity checks.
Make the decision
Should you choose Alaska or form somewhere else?
Choose around where the business will operate. If Alaska registration is required anyway, forming elsewhere first can add foreign-registration fees and a second agent. Compare the full arrangement instead of comparing only the initial articles fee.
For a business run entirely abroad, compare recurring reports, public disclosures, applicable licences, adviser support and bank eligibility. Wyoming or Delaware may fit a different set of needs, but neither avoids obligations created by Alaska operations or your home country's tax rules.
BaseAcross forms companies in Wyoming and Delaware. If one of those states fits after comparison, review our service and renewal prices below. If you need Alaska, follow its official filing resources or use an Alaska provider.
