California · A guide for founders abroad
Forming an LLC in California from outside the United States.
California's $70 filing is only the beginning. Understand the $800 annual tax, first 90-day statement, public management details and California business connections before forming from abroad.
Checked against the official state, IRS and FinCEN sources below. BaseAcross files in Wyoming and Delaware. We do not form California LLCs; this guide helps you assess California and follow its official filing route.
Ordinary disregarded-entity or partnership tax treatment; exceptions and other costs are explained below.Official fees and forms
Start with the business location
Does your business need a California LLC, or just a US company?
A founder abroad can generally own a US LLC. California may fit a business with local operations, property, staff or another concrete reason to establish there. Ownership is separate from immigration permission, professional licensing and whether a bank will accept your application.
The standard California LLC budget starts with $70 for articles, $20 for its initial Statement of Information and $800 annual tax: $890 before an agent, tax preparation or operating permissions. This guide assumes the LLC is taxed as a disregarded entity or partnership; corporate elections need a different tax analysis.
If you will run the business entirely abroad, compare the continuing obligations before choosing California for its name recognition. If the business has California connections, forming in another state does not automatically remove them. Base your choice on where and how the business actually operates.
Before choosing another state
A Wyoming LLC can still have California filing and tax obligations.
Secretary of State registration and Franchise Tax Board tax nexus are different tests. An existing out-of-state or non-US LLC may need foreign registration to transact intrastate business. The tax definition of doing business also considers activity, commercial domicile and California sales, property or payroll, including percentage tests.
An overseas business does not need a California office to require a tax review. Customer location and the assignment of receipts can matter. Equally, one California customer is not enough information to decide every registration, income-tax and sales-tax question. Assess the facts against each agency's rules.
The FTB page reviewed here publishes inflation-adjusted amounts through 2025. Do not reuse that table as a verified 2026 threshold. Check the applicable tax-year figures and the percentage tests with an adviser before relying on a no-California-obligation conclusion.
Costs and worked example
What does a California LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The interactive formation subtotal includes the initial statement but excludes annual tax and later statements. It is not a complete first-year quote. Put the $800 payment on your tax calendar even where no income-based LLC fee is due.

Create the entity
File California Articles of Organization, then build the company records.
Start from the Secretary of State's bizfile Online route, choose Register a Business and then Articles of Organization – CA LLC. A foreign owner forming a new California entity uses domestic articles; foreign registration is for an entity already formed elsewhere.
Prepare the California formation before submitting Decision What to prepare Name and management Choose an available LLC name and select one manager, more than one manager or all members. Use a management arrangement that reflects actual authority. Addresses and agent Prepare the principal-office street address, separate mailing address if needed and eligible agent for service of process. Resolve overseas-address fields before paying. Articles and signature Check LLC-1 information, organiser authority and the $70 filing fee. Keep the approved articles, receipt and SOS entity number. Operating agreement The state requires an operating agreement, kept with the company records rather than filed with the SOS. Document ownership, contributions, authority and distributions. Follow-up filings Assign responsibility for the initial statement, EIN and tax calendar. Approval of articles does not complete those steps. Use the state's current processing dates when planning. Filing review, EIN issuance, bank checks and permits are separate stages; a fast formation approval does not guarantee a business launch date.Plan the public record
Agent service does not make the LLC anonymous or supply every required address.
The articles require a principal-office street address. An individual agent must reside in California and have a California street address; a registered corporate agent is another option. Get permission before naming a provider, and agree how legal notices will reach you abroad.
LLC-12 asks for manager names and business or residential addresses, or each member if no managers are appointed. It also asks about the CEO, if any, and the California office. Filed addresses are public. An organiser or agent does not replace the required management disclosures.
If your principal office is abroad, confirm how the current portal handles its address and the separate California-office field for your arrangement. A legal-notice or mail service is not automatically your operating premises. Use accurate addresses and check bank requirements separately.
The first 90 days
File the $20 statement and establish portal access before the deadline.
The initial Statement of Information is due within 90 days. Subsequent required statements cost $20 every two years, in the formation month and preceding five months. For an October 2026 formation, the next regular window is May 1 through October 31, 2028, separate from the initial 90-day deadline.
Since August 1, 2026, the SOS requires web User Access for online statement filings. The filing option is visible only after access is established. If it is missing, use the portal's access-request process and the state's instructions rather than assuming there is nothing due.
Agree who controls access if a provider files for you. Keep a monitored email and save confirmations. Changes between regular filing periods need an updated statement; a paid tax bill does not update the SOS record or grant portal access.
Late statement filing can result in a $250 penalty and suspension or forfeiture. Resolve an access problem early instead of waiting until the due date. The separate tax calendar
The $800 annual tax starts in the first tax year under the standard rule.
The broad first-year exemption applied to tax years beginning in 2021 through 2023. It is not a general exemption for a company formed in 2026. No sales or profit does not by itself remove the annual tax for an organised California LLC under the usual disregarded-entity or partnership treatment.
The first payment is due on the 15th day of the fourth month measured from formation, counting the filing month as month one. For example, a June 18, 2026 formation has a September 15, 2026 first payment deadline. It is not four full months plus fifteen days after approval.
For a calendar-year LLC, later annual payments normally fall on April 15. For example, an October 2026 formation normally has its first $800 due January 15, 2027 and the next tax year's $800 due April 15, 2027. Budget by tax year, not by the anniversary of forming the LLC.
FTB 3522 is the annual-tax voucher when paying by mail. Use the correct tax-year instructions and identifier. Online payment options differ, credit-card payments carry a convenience fee, and mailed payments must be in US dollars drawn on a US financial institution. An additional charge
At $250,000 of total California income, check the separate LLC fee.
The income-based LLC fee is additional to the $800 annual tax. Its base is total income derived from or attributable to California under the state's calculation, not simply net profit or every dollar of worldwide turnover. Have your preparer apply the income worksheet and sourcing rules.
Current California LLC fee bands, separate from annual tax Total California income for fee purposes Additional LLC fee Less than $250,000 $0 under this fee schedule $250,000–$499,999 $900 $500,000–$999,999 $2,500 $1,000,000–$4,999,999 $6,000 $5,000,000 or more $11,790 Estimated fee payments generally use FTB 3536 by the 15th day of the sixth month of the current tax year. Short years have a different timing rule. FTB 3536 does not replace the $800 annual-tax payment, and an estimate below the fee owed can bring a penalty.Paying is not the same as filing
Form 568 and foreign-owner withholding need their own review.
A California LLC under disregarded-entity or partnership treatment generally has a Form 568 filing obligation as well as payments. The return deadline depends on classification and ownership. Partnership-classified LLCs generally use the fifteenth day of the third month after year-end; a disregarded LLC owned by an individual generally uses the fifteenth day of the fourth month after the owner's year-end.
Use the applicable tax-year booklet when preparing the return. The 2025 booklet linked below explains the framework; it is not a substitute for the 2026 return instructions when released. A filing extension does not turn the annual-tax payment into an anniversary payment.
California-source income paid or allocated to an owner abroad can create withholding and owner-return work. Foreign partner or member withholding has its own forms and timing, so do not apply a generic domestic nonresident rate to every foreign owner. Review distributions and allocations with a preparer before moving money out of the company.
Limited exceptions, real closure
No activity is not a general exemption; check the actual exception conditions.
The FTB describes a narrow 15-day exception: the taxable year must be 15 days or less and the LLC must conduct no business in California during it. It is not a fifteen-day grace period for every formation. Other specialised exemptions also exist; the normal budget should not assume eligibility.
Short-form cancellation within twelve months can provide first-year annual-tax relief only if all required conditions are met. LLC-4/8 requires, among other things, no business since formation, final-return compliance, asset distribution, returned investor payments and the required approval to dissolve. Merely filing a cancellation within a year after trading does not qualify.
If the short-form conditions are not all true, use the normal cancellation process and settle final tax work. Abandoning the LLC or closing its bank account does not close the entity. The FTB also limits refunds of annual taxes or fees already paid before a short-form cancellation; get advice before treating cancellation as a way to recover a payment.
For owners outside the US
Obtain the EIN and plan federal reporting from the first owner contribution.
An EIN is a free IRS identifier, separate from the California entity number. International applicants can use the Form SS-4 routes. If the responsible party lacks and is ineligible for an SSN or ITIN, follow the line 7b instructions for foreign or N/A. A California agent's address alone does not establish online EIN eligibility.
A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner funding and distributions can be reportable before the company makes sales. A missing, late or substantially incomplete required filing can trigger a $25,000 penalty. Multi-member LLCs and corporate elections need their own federal analysis.
Under FinCEN's current rule, US-created entities, including a California LLC owned from abroad, are exempt from CTA beneficial ownership reporting. A non-US entity registering in California is a different case. This exemption does not remove bank identity checks, IRS returns or California disclosures.
Before you accept business
Check operating permissions, records and banking separately.
The SOS does not issue your business licences. Check local and professional permissions for the activity and location. CDTFA separately administers seller's permits, use-tax registration and other accounts; the correct account depends on what you sell and where the business operates.
Keep the approved articles, operating agreement, owner contribution records, EIN confirmation, statements and tax receipts together. Confirm bank support for your residence country, activity and real operating address before relying on an account opening. Formation approval is only one part of that application.
If California fits your operations, use its official filing route or a California provider. BaseAcross forms companies in Wyoming and Delaware. Our plans may fit after comparing states, but choosing one does not remove obligations your California activity creates.
Compare the continuing commitment
Choose California for a business reason you can explain.
If your business will operate in California, forming there directly may be simpler than maintaining a Wyoming or Delaware entity plus California registration. Compare the complete arrangement, including both states' agents and filings where two jurisdictions are involved.
For a business run from abroad without California connections, compare fees, disclosures, support and the needs of customers or counterparties. The figures below are base state-charge examples, not complete operating budgets or a finding that another state removes California nexus.

California: $70 articles + five $800 annual-tax payments + three $20 statements = $4,130 over the first five years, for an LLC formed by 15 April. One formed after 15 April makes a sixth $800 payment inside five years: $4,930. This assumes standard disregarded-entity or partnership treatment and statements initially and in years three and five. Wyoming includes its $2.40 online formation charge. Agents, income-based fees, other taxes, permits, payment charges and professional work are additional.
Questions
Questions about a California LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can a non-US resident form a California LLC?
Generally, yes. Arrange an eligible California agent, accurate business addresses and the required filings. Ownership does not itself provide immigration permission, professional licensing or bank approval.
What is the minimum standard first-year California LLC state budget?
The standard example is $890: $70 articles, $20 initial Statement of Information and $800 annual tax. It assumes disregarded-entity or partnership tax treatment and no exemption. Agent service, income-based fees, advice and permits are additional.
Is the first-year $800 annual tax still waived in 2026?
The broad exemption only covered tax years beginning in 2021 through 2023. The standard 2026 budget includes the tax. Narrow exceptions, including the short taxable-year rule and qualifying short-form cancellation, have conditions; no revenue alone is not an exemption.
When is the first $800 payment due?
The fifteenth day of the fourth month measured from formation, counting the formation month as month one. A June 18 formation has a September 15 deadline under the published example. Later calendar-year payments normally fall on April 15.
When does the additional California LLC fee start?
At $250,000 of total California income for fee purposes, the current fee is $900, on top of annual tax. The bands rise to $11,790. The calculation uses California sourcing and income rules, rather than net profit alone.
Why can I not see the online Statement of Information filing option?
Since August 1, 2026, California requires established web User Access for online statement filings. Follow the SOS access-request instructions and confirm authorisation before the deadline. The initial statement is still due within 90 days.
Does California publish LLC owners' names?
LLC-12 identifies the managers, or each member when no managers are appointed, with business or residential addresses. Other filed addresses are public too. An agent service does not remove these required disclosures.
Can I avoid California obligations by forming in Wyoming?
Not automatically. California foreign registration and tax nexus use different tests. Actual operations, commercial domicile, sales, property and payroll can matter regardless of the formation state. Assess the applicable rules for your business.
Does BaseAcross form California LLCs?
BaseAcross forms companies in Wyoming and Delaware. This guide explains California's process; BaseAcross does not provide California formation or foreign qualification.
