District of Columbia · A guide for founders abroad
Forming an LLC in the District of Columbia from outside the United States.
DC's $99 articles are only one step. Understand the ownership and control disclosures, next-year biennial report, local-agent requirement and separate licensing and franchise-tax decisions before forming abroad.

Before selecting DC
DC's ownership disclosure goes beyond naming an organiser.
A non-US resident can generally own a US LLC, but a DC formation requires substantial information about the people behind it. DLC-1 asks for each member or manager whose direct or indirect governance or distribution interest exceeds 10%, and smaller-interest people who control financial or operational decisions or can direct day-to-day operations.
The instructions require both residence and business addresses for the relevant people. Hiring an organiser or agent does not erase those disclosure tests. Review the ownership chain and actual control before filing, including indirect holdings rather than just names on the first layer of ownership.
The base domestic fee is $99, with a separate $300 biennial report and activity-dependent licensing and taxes. DC may fit actual District operations; for a company run entirely abroad, compare these commitments before choosing it simply for a Washington address.
Arrange local service of process
A DC registered agent needs a real District street address.
DLCP permits commercial and noncommercial agents, but requires a physical street address in the District. A PO box, third-party mailbox or out-of-District address does not meet that requirement. Get the agent's agreement and terms for forwarding legal notices abroad before naming it.
The principal office and disclosed persons' addresses are separate fields from the agent. Use actual addresses; do not treat a registered office as automatic proof of an operating location or eligibility for a home-occupation permit.
If you use people within the organisation as agents, review DLCP's requirements for the individual and location. A business operated outside the US still needs a reliable local appointment and a plan for responding to served documents.
Costs and worked example
What does a District of Columbia LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The calculator does not add a licence or franchise-tax estimate automatically. Verify whether they apply and budget them separately before trading.
Use the current online route
Prepare DLC-1 and file through BOSS, formerly CorpOnline.
DLCP now directs filers to BOSS. Older PDFs still refer to CorpOnline and Access DC, so start from the current agency link rather than assuming every old screenshot describes today's portal.
DC LLC formation decisions Name and activity
Choose a permitted LLC name. Licensed professional activity needs its own entity and licensing review.
Addresses and agent
Provide the principal-office street address and the eligible agent's District details.
Ownership and control
Identify people meeting DLC-1's more-than-10% or control tests and the required residence/business addresses.
Effective date and organiser
Confirm the intended effective date, organiser authority and signature. Keep the disclosures accurate when there are indirect owners.
Submit, then confirm
Pay the $99 base fee, retain submission evidence and check the approved filing and entity record. Submission is not itself operating permission.
The agency offers mail and walk-in routes as well; its domestic LLC page states an additional $100 one-day expedite charge for walk-in service. Check the route and current service conditions before budgeting or travelling. The first report arrives next year
Biennial does not mean waiting two years for the first report.
The first BRA-25 is due April 1 of the calendar year after registration. For a DC LLC formed in December 2026, that means April 1, 2027. Subsequent reports are due April 1 every two years thereafter: 2029 and 2031 in that example.
The for-profit report fee is $300. A report filed after April 1 in its due year carries a $100 late fee under the current schedule, making $400 for that late report before any other charges. Keep it separate from licence renewal and tax-return dates.
BRA-25 updates the principal office, agent, purpose and beneficial-owner information. Review changes in ownership and control, not just the mailing address. Save the filed confirmation and monitor the official record if someone submits for you.
Formation is one approval
A business licence can require tax registration, clean hands and a valid location.
DLCP's general business licence page lists corporate registration where applicable, tax registration and a Clean Hands Certificate, plus a Certificate of Occupancy or Home Occupation Permit. These are operating requirements, not documents automatically delivered with LLC articles.
The current general-business schedule offers a two-year licence at $99, with other term lengths. Regulated activities can need a different category, inspections or further approvals. A generic $99 example should not be treated as the licence quote for a rental business, professional practice or every online company.
For founders abroad, establish whether the proposed DC activity and location require licensing, and whether the premises qualify. An agent service or purchased mailing address does not automatically satisfy occupancy or home-occupation rules. Review location permissions before signing a lease or promising a launch date.
A separate tax decision
DC can tax an unincorporated business even when federal treatment is pass-through.
An LLC's federal classification does not by itself settle DC franchise tax. OTR describes unincorporated-business reporting where gross receipts exceed $12,000, with minimum tax of $250 when DC gross receipts are $1 million or less and $1,000 above that level, subject to applicable exemptions and classification.
The current DC Code sets 8.25% for taxable years beginning after 2017, supporting the rate beyond the OTR summary table, which stops at 2025. Use the applicable-year return instructions for the calculation. The $300 biennial fee is not payment of franchise tax.
A statutory exemption can apply when more than 80% of gross income comes from personal services actually rendered by members and capital is not a material income-producing factor. Both conditions matter; a company calling itself a consultancy is not enough to establish exemption. Corporate tax treatment and other statutory exclusions require their own review.
Federal work remains separate
Keep the entity number, EIN and owner-reporting obligations distinct.
Get the EIN from the IRS, not DLCP. Eligible international applicants can follow SS-4 routes without an SSN or ITIN under the responsible-party instructions; a US agent address alone does not establish online EIN eligibility. The IRS number is free, while paid assistance is a separate service.
A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Formation funding and distributions can be relevant before the first customer pays. A missing, late or substantially incomplete required filing can trigger a $25,000 penalty.
FinCEN currently exempts US-created entities from CTA BOI reporting. That federal exemption does not repeal DC's own ownership disclosures on DLC-1 or BRA-25, remove IRS reporting or guarantee bank acceptance. Existing non-US entities registering in DC need a separate BOI analysis.
An existing or ending business
Use the right registration and close each agency's obligations deliberately.
An entity already formed outside DC may need foreign registration rather than new domestic articles. The fee summary lists $220 for a foreign for-profit registration, versus $99 domestic. The owner's foreign nationality alone does not make a newly formed DC LLC a foreign entity.
Maintain an operating agreement, ownership ledger, contributions and authority to sign. Review bank requirements for your residence country, activity and operating address independently. LLC ownership does not supply a visa or work permission in the US.
If the venture ends, review corporate dissolution or withdrawal, licence cancellation, tax-account closure and final returns together. Letting a report or licence lapse is not a reliable closure plan, and curing a revoked record may involve more than the ordinary report fee.
Cost the actual DC business
The formation-only comparison is smaller than the operating budget.
A five-year base corporate-filing example is $99 articles plus two $300 reports, or $699, for a company formed by 1 April. For a 2026 formation the reports fall in 2027 and 2029, and the next in 2031. Formed after 1 April, that 2031 report also falls inside the five years, so it's three reports: $999. This excludes licences, agents, taxes, late fees and professional help.
If you operate in the District, an out-of-state company can still face qualification, licensing and taxes there. If you operate wholly abroad, compare whether DC's disclosure and administration provide a concrete benefit for your business.

Questions
Questions about a District of Columbia LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can a non-US resident form a DC LLC?
Generally, yes. Prepare an eligible District agent, principal-office information and the required ownership/control disclosures. Formation and ownership do not automatically provide operating licences, banking or immigration permission.
Which owners does a DC LLC disclose?
DLC-1 asks for people exceeding 10% in the specified direct or indirect ownership interests, plus smaller-interest people with financial/operational control or day-to-day direction. The instructions require residence and business addresses. Review actual control as well as percentages.
When is the first DC biennial report due?
April 1 in the calendar year after registration. A December 2026 formation first reports by April 1, 2027, then April 1, 2029 under current rules.
What are the base DC LLC filing costs?
Domestic articles cost $99 and a for-profit biennial report costs $300. Articles plus the first report total $399. Over five years it's two reports, or $699, for a company formed by 1 April, and three, or $999, for one formed after it. Licences, agents, taxes and advice are additional.
Does the federal BOI exemption remove DC owner disclosures?
No. FinCEN's current exemption for US-created entities is separate from DC's own articles and biennial-report information requirements.
Does every consultant automatically avoid DC franchise tax?
No. The personal-services exemption has conditions, including the more-than-80% income test and capital not being a material income-producing factor. Review the actual facts and applicable-year instructions.
Can a mailbox be my DC registered agent address?
DLCP requires a physical street address in the District and excludes PO boxes and third-party mailboxes. The registered-agent appointment also does not establish occupancy approval for operating premises.
Does BaseAcross form DC LLCs?
