Rhode Island · A guide for founders abroad
Forming an LLC in Rhode Island from outside the United States.
Rhode Island’s $150 articles are followed by a $50-base registry report and a separate $400 ordinary pass-through tax charge. Understand the short-year cost, single-member tax deadline and public filing choices before forming from abroad.

The $50 report is only one recurring charge
An ordinary pass-through LLC also budgets $400 each tax year.
A founder abroad can generally own a Rhode Island LLC. The domestic articles cost $150 base, but the recurring budget includes a separate $400 annual charge to the Division of Taxation as well as the $50-base Department of State report.
The tax charge applies to relevant single-member and multi-member pass-through LLCs even without profit or business activity. The state says the minimum is not prorated for how long the entity operated in the calendar year. An October formation should not budget just a quarter of $400.
Classification changes the return and can change the tax amount: an ordinary pass-through LLC uses RI-1065, while a corporate-taxed LLC reviews the applicable corporate return and minimum/higher tax. The guide’s example uses the ordinary $400 annual charge, not a guarantee that every corporate election produces a $400 final bill.
Keep the registry and tax calendars separate
A calendar-year single-member LLC does not use the partnership due date.
The ordinary registry report is filed February 1 through May 1 starting the next calendar year. An October 2026 LLC plans its first registry report by May 1, 2027. The $25 late-report penalty begins June 1; that later penalty date is not the ordinary deadline.
The published 2025 RI-1065 instructions distinguish return timing: calendar-year and non-June-30 fiscal-year single-member LLCs use the 15th day of the fourth month after year-end; other RI-1065 filers generally use the 15th day of the third month. For an ordinary calendar year, that means April rather than March for the stated SMLLC category, subject to weekend/holiday rules.
A broad earlier notice summarises March 15 for pass-through LLCs; read the more specific return instructions for the sole-member exception. For 2026 tax-year returns, confirm the actual published 2026 instructions and adjusted 2027 dates rather than importing a past year’s weekend adjustment.
Costs and worked example
What does a Rhode Island LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The $400 minimum is not prorated for a short operating year; a corporate tax election can produce a higher liability.
The official report page’s conflicting $2.50/$3 electronic figures are not silently resolved here. Confirm the actual checkout.

Form 400 asks for management and intended federal classification.
A new company created under Rhode Island law is domestic even if its founder lives abroad. Form 400, revised March 2026, costs $150 base. An existing entity formed elsewhere reviews foreign registration and its required supporting documents instead.
Supply an eligible resident agent and Rhode Island street office, not a PO box. The form separately asks for the principal office if determined, intended federal treatment, management structure and authorised-person execution. An article checkbox does not itself make an IRS tax election.
A later effective date may be specified within 90 days of filing. The instructions say successful filings do not produce a mailed confirmation; verify the company record and retrieve the accepted document. Keep the actual effective date and entity identifier under company control.

A manager chart is not a complete ownership ledger
Management structure changes article disclosures.
For a member-managed LLC, Form 400 instructs the filer not to fill the manager chart. For a manager-managed LLC, it calls for managers’ names and addresses if known. The authorised person, resident agent and other filed details also remain public.
The ordinary annual Form 632 asks for company/contact information and an authorised signature, rather than a complete ownership roster. It does not turn the initial manager disclosures into an anonymity guarantee. Keep the private member ledger, contributions, operating agreement and authority evidence accurate.
The report requires the true principal place of business and warns against simply substituting the agent’s address. Changes to the resident agent require the appropriate separate Form 642; checking the report’s agent-information box is not an all-purpose change filing.
Use the verified base and confirm electronic charges
The official report page displays inconsistent surcharge figures.
The registry report base is $50. As checked October 17, the official report page shows an enhanced-access figure of $2.50 in its table and also text stating an extra $3 online charge. This review does not resolve those into a falsely precise universal online total.
Confirm the amount in the current official transaction before paying. The formation’s electronic charge must also be checked separately rather than copied from the annual-report transaction. Paper base-fee comparisons below explicitly exclude electronic charges.
Agent renewals, the $400 tax charge and professional preparation are separate from both the state report fee and a service provider’s filing fee. Ask for an itemised quote identifying the tax return, registry report, state charges and provider renewals.
The minimum charge does not settle owner tax
Review PTW withholding and any eligible entity election.
Relevant Rhode Island income passed to nonresident owners can require withholding through RI Schedule PTW with the appropriate entity return. The Tax Division lists exceptions and the interaction with an eligible Schedule PTE election; neither route should be assumed without checking owner and income facts.
Keep the $400 annual charge, any entity election, nonresident payments and the owner’s return distinct. A federal disregarded LLC can still have the RI-1065 obligation; disregarded does not mean the state ignores it for every purpose.
Review sales-tax and employer registrations, regulated activity and local requirements where relevant. The guide does not treat an overseas home address, zero distributions or absence of a Rhode Island shop as a blanket cancellation of state duties.
Obtain the federal number separately
The IRS application fee is $0.
Use SS-4 with the accepted legal name and actual responsible party. If that person has no SSN or ITIN and is ineligible for either, follow the line 7b foreign or N/A instructions. State filing access and a local agent do not automatically establish IRS online eligibility.
Preserve the IRS notice, articles, ownership ledger and agreement/authority records for banking. A bank or payment provider independently checks supported countries, activity and addresses; state approval does not guarantee an account or immigration permission.
Bookkeeping begins with capital, not the first customer
Foreign-owner information returns can be required without sales.
A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner contributions and distributions can be reportable. The initial penalty for a required incomplete or missing Form 5472 is $25,000.
Assign bookkeeping, returns and extensions from formation and review different classifications separately. FinCEN currently exempts US-created entities from BOI reporting; that does not remove Rhode Island’s registry report, tax charge, IRS filing duties or bank identity checks.
A short first year still has a full minimum charge
The ordinary five-year base is $2,350 to $2,400 before services.
For a calendar-year ordinary pass-through LLC formed by 1 May, the five-year example is $150 formation + four $50 registry reports + five $400 tax charges = $2,350 at current base rates. One formed after 1 May, such as October 2026, has five reports inside five years: $2,400. Electronic charges, agents, further taxes, licences and support are additional. The first $400 relates to the formation tax year even though its return/payment deadline follows year-end.
When closing, the RI-1065 instructions call for a separate good-standing request for dissolution/withdrawal with the final-return procedure. Follow the current Tax Division and DOS closure steps, rather than assuming a stopped agent subscription removes future tax or report obligations.
Rhode Island can fit actual local business; registration elsewhere does not remove applicable Rhode Island duties. BaseAcross forms Wyoming and Delaware companies. Our alternative-state offer does not include Rhode Island formation, annual reports or tax returns.
Questions
Questions about a Rhode Island LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can a non-US resident own a Rhode Island LLC?
Generally yes, with an eligible Rhode Island resident agent and street office. A new Rhode Island-law entity is domestic regardless of its owner’s residence. State tax and reporting requirements still apply.
Does a Rhode Island single-member LLC owe $400 with no profit?
Relevant pass-through LLCs, including single-member LLCs, owe the $400 annual charge even without profit or activity. It is separate from the $50 registry report and is not prorated for a short operating year.
Does every RI-1065 filer use March 15?
No. The published 2025 instructions give calendar-year and non-June-30 fiscal-year single-member LLCs the fourth-month 15th deadline; other RI-1065 filers generally use the third-month 15th. Check the actual return year and holiday adjustments.
When is a Rhode Island LLC registry report due?
Between February 1 and May 1, beginning the calendar year after registration. The base fee is $50. The separate $25 late penalty begins June 1; that is not an extension of the ordinary deadline.
What is the exact Rhode Island online report surcharge?
The reviewed official page shows both $2.50 enhanced access and text saying an extra $3 online. The guide retains the verified $50 base and directs filers to confirm the actual transaction rather than guessing a universal total.
Must all Rhode Island LLC owners be listed in the articles?
The member-managed option does not complete the manager chart. The manager-managed option calls for manager names/addresses if known. Other public filed information and bank/tax ownership checks still apply.
What is included in the $2,350 to $2,400 five-year Rhode Island example?
It includes $150 formation, four $50 reports and five $400 ordinary pass-through tax charges, $2,350, for an LLC formed by 1 May. One formed after 1 May has a fifth report: $2,400. It excludes electronic charges, agents, additional taxes, licences and professional services.
